ELECTRIC EASEMENT
THIS INDENTURE, made this c~)~'fl day of October, 2012, between Edwards Avenue
Corp., a New York Corporation duly organized and existing under the laws of the State of New
York, having its principal office at 538 Edwards Avenue, Calverton, New York 11933 (the
"Grantor") and Shelter Island Sound, Inc., a New York Corporation duly organized and existing
under the laws of the State of New York, having its principal office at 538 Edwards Avenue,
Catverton, New York 11933 (the "Grantee"),
WHEREAS, the Grantor is the owner in fee simple of certain property in the Town of
Southold, State of New York, commonly known as 750 Paradise Point Road, Southold, New
York, with a Suffolk County tax designation of SCTM 1000-081.00-03.00-026.001; and
WHEREAS, the Grantee is the owner in fee simple of certain property in the Town of
Southold, State of New York, commonly known as 900 Paradise Point Road, Southold, New
York, with a Suffolk County tax designation of SCTM 1000-081.00-03.00-025.002 ("Grantee's
Property");
WITNESSETH, that the Grantor, for good and valuable consideration paid by the
Grantee, does hereby grant and release unto the Grantee, its successors and assigns, forever an
easement and right-of-way on, over, under, across, through, and along a certain portion of the
land of the Grantor, commonly known as 750 Paradise Point Road, Southold, New York, (SCTM
1000-081.00-03.00-026.001) which easement and right-of-way herein granted is more
particularly described in Schedule A annexed hereto.
Said easement and right-of-way hereby granted include the following right and
privileges:
FIRST: The permanent and perpetual non-exclusive easement, right, privilege and
authority to maintain the existing underground electric wires/cables that are located within the
easement and right-of-way, servicing the adjoining the Grantee's Property and to repair,
maintain, and replace said underground electric wires/cables at Grantee's sole pleasure and at
Grantee's sole cost, as said Grantee may now and from time to time deem necessary. Access by
Grantee shall be upon reasonable notice, except in emergencies, to Grantor, its successors and
assigns, at reasonable times and limited in time and scope to those professionals and/or
equipment necessary to achieve the maintenance, repair and servicing of electric wires/cables
serving the Grantees' Property.
SECOND: Grantee agrees to restore the surface of the easement and right-of-way
area to its prior condition in the event there is repair or replacement work to the electric service.
THIRD: Grantee hereby indemnifies and holds harmless the Grantor, its successors
and assigns, from and against any and all claims, damages, actions, liabilities, expenses and
costs, (including but not limited to, attorneys fees) arising in any way from the rights, privileges,
use and authority established by this easement.
FOURTH: Grantor agrees not to erect or maintain within the easement and right-of-
way area any building, structure or obstruction, including trees and shrubbery of any kind or
nature whatsoever or permits the same to be so erected or maintained, except such as the Grantee
may specifically consent to in writing.
This easement and right-of-way hereby granted, shall run with the land, and shall be
binding upon and inure to the benefit of the successors and assigns of the respective parties
hereto.
IN WITNESS WHEREOF, the Grantor has caused these presents to be duly executed the
day and year first above written.

All that certain plot, piece or.parcel of land situate, lying and be/rig in the Town of
Southold, County of Suffolk and State of New York, known and designated as part of Lot
I and Lot 2 as shown on a certain map entitled "Re-Subdivision (Lot Line Change) For
'Char'les & Amy Schat0 approved by the Planning Board Town of Southold on March 12,
2012 being bounded and described as follows:
Beginning at a poim on the southerly line of Lot 1 distant 334.78 feet easterly from the
easterly side of Paradise Point Road along the southerly line of LOt I as shown on the
aforesaid map;
Running Thence in a northerly direction across Lots I and 2 of the aforesaid map, the
following ten (I 1) courses and distances;.
