THIS INDENTURE, made the 13~ day of Septcn~ber, two thousand and twelve,

party of the first part, and
Town Creek Lane LLC and New York Limited Liability Company with an address at 77 Seventh
Avenue, Apt. 21 H, New York, NY 1001 l,
party of the second pan,
WITNESSETH, that the party of the first part, in consideration often ($10.00) dollars, lawful
money of the United States, paid by the party of the second part, does hereby remise, release and
quitclaim unto the party of the second part, the heirs or successors and assigns of the party of the second
part forever,
ALL that certain plot, piece or parcel of land, with the improvements thereon erected, situate,
lying and being in the Town of Southold, County of Suffolk, State &New York and being a private road,
which premises is more particularly described in Schedule A attached hereto and made a pan hereof;
BEING subject to certain rights of way, easements, agreements and/or covenants and restrictions
of record;
TOGETHER with all right, title and interest, if any, of the party of the first part in and to any
streets and roads abutting the above described premises to the center lines thereof,
TOGETHER with the appurtenances and all the estate and rights of the party of the first pan in
and to said premises,
TO HA VE AND TO HOLD the premises herein granted unto the party of the second part, the
heirs or successors and assigns of the party of the second pan forever.
SAID premises are intended to be the same as that conveyed to the party of the first part by deed
dated 12/08/2003 and recorded 05/04/2004 in Liber 12317, Page 33.
AND the party of the first pan, in compliance with Section 13 of the Lien Law, covenants that
the party of the first part will receive the consideration for this conveyance and will hold the right to
receive such consideration as a trust fund to be applied first for the purpose of paying the costs &the
improvement and will apply the same first to the payment of the cost of the improvement before using
any part &the total of the same for any other purpose.
The word "party" shall be construed as if it read "parties" whenever the sense of this indenture so
requires.
