THIS INDENTURE made the /f�day of December Nineteen Hundred Ninety-Eight
BETWEEN
FRANKLIN CREDIT MANAGEMENT CORP., having an office at 6 Harrison Street, New York
City, New York 10.013, parry of the first part,
AND
JOSEPH MCCARTHY and THERESA MCCARTHY, Husband and Wife, residing at 8320 No.
Bayview Road, Southold, New York 11971, party of the.second part;
WITNESSETH that the party of the first part, in consideration of Ten Dollars and other
valuable consideration paid by the party of the second part, does hereby grant and release
unto the party of the second part, their heirs or successors and assigns of the party of the
second part forever,
ALL that certain plot, piece or parcel of land, with the buildings and improvements thereon
erected, situate, lying and being in the town of Southold, County of Suffolk, State of New
York, bounded and described as follows:
BEGINNING at a point on the westerly side of Seawood Drive, distant 787.72 feet southerly
from its intersection with the southerly side of Bayview Road, as measured along the
westerly side of Seawood Drive;
RUNNING THENCE along the westerly side of Seawood Drive the following two courses and
distances:
(1) South 12 degrees 56 minutes 00 seconds West 32.79 feet to a point;
(2) South 32 degrees 04 minutes 30 seconds West, 67.30 feet to land now or formerly of
Harold Reese;
THENCE North 63 degrees 21 minutes 00 seconds West along last mentioned land now or
formerly of Harold Reese, 148.51 feet to land now or formerly of Seawood Acres, Inc.
THENCE North 21 degrees 33 minutes 20 seconds East along said land now or formerly of
Seawood Acres, Inc. 99.16 feet to land now or formerly of McIver;
THENCE South 63 degrees 21 minutes 00 seconds East along said land now or formerly of
McIver, 155.93 feet to the westerly side of Seawood Drive and the point or place of
BEGINNING.
BEING the same premises conveyed to grantor hereinbx deed dated August 14,1998, and

This transaction is being made in the ordinary course of business of the Grantor and does
not constitute a transfer of all or substantially all of the Corporation's assets.
TOGETHER with all right, title and interest, if any, of the party of the first part in and
to any streets and roads abutting the above described premises to the center lines
thereof; TOGETHER with the appurtenances and all the estate and rights of the party
of the first part in and to said premises; TO HAVE AND TO HOLD the premises herein
granted unto the party of the second part, the heirs or successors and assigns of the
party of the second part forever.
AND the party of the first part covenants that the party of the first part has not done or
suffered anything whereby the said premises have been encumbered in any way whatever,
except as aforesaid.
AND the party of the first part, in compliance with Section 13 of the Lien Law, covenants
that the party of the first part will receive the consideration for this conveyance and will hold
the right to receive such consideration as a trust fund to be applied first for the purpose of
paying the cost of the improvement and will apply the same first to the payment of the cost
of the improvement before using any part of the total of the same for any other purpose.
The word "party" shall be construed as if it read "parties" whenever the sense of this
indenture so requires.
IN WITNESS WHEREOF, the party of the first part has duly executed this deed the day and
