THIS INDENTURE, made effective as of thel st day of December, 1998, BETWEEN
C & C ASSOCIATES, a partnership consisting of VINCENT M. CLAPS and ALFRED
CILETTI, the address of the partnership and the partners being 44655 County Road 48,
P.O. Box 312, Southold, New York 11971, party of the first part, and V.A. REALTY INC.,
a New York corporation whose address is 44655 County Road 48, P.O. Box 312, Southold,
New York 11971, party of the second part:
WITNESSETH, that the party of the first part, in consideration of Ten Dollars
($10.00) and other valuable consideration paid by the party of the second part, does
hereby grant and release unto the party of the second part, the heirs or successors and
assigns of the party of the second part forever,
ALL that certain plot, piece or parcel of land, with the buildings and improvements
thereon erected, situate, lying and being in the Town of Southold, County of Suffolk, and
State of New York, being more particularly bounded and described as follows:
BEGINNING at a point on the easterly side of Horton's Lane where the same is
intersected by the northwest corner of land now or formerly of Batuyios and the southwest
corner of the premises about to be described herein, said point being distant 77.96 feet
northerly as measured along the easterly side of Hortons Lane from the northerly end of
a curve connecting the northerly side of Middle Road (C.R. 48) with the easterly side of
Hortons Lane;
Running thence from said point or place of beginning along the easterly side of
Hortons lane, North 08, 57' 10" West 50.66 to land now or formerly of Conway Bros.
Running thence along said land North 71 48' 10" East 1024.06 feet to land now or
formerly of Dart;
Running thence along said land the following two (2) courses and distances: (1)
South 10 21' 50" East 50.47 feet; (2) South 09 37' 50" East 42.56 feet to the northerly side
of Middle Road (C.R.48);
Running thence along the northerly side of Middle Road South 67 06' 40' West
625.07 feet to land now or formerly of Batuyios first abovementioned;
Running thence along land noworformerly of Batuyios thefollowing two(2)courses
and distances: (1) North 22 53' 20" West 93.54 feet; (2) South 71 48' 10" West 388.36
feet to the point or place of BEGINNING.
THE SAME being the premises conveyed to the party of the first part by deed from
BCC RESTAURANT CORP. dated June 22, 1989 and recorded in the Suffolk County
Clerk's office on July 6, 1989 in Liber 10889, page 533.

SUBJECT TO all mortgages and liens of record.
TOGETHER with all right, title and interest, if any, of the party of the first part in
and to any streets and roads abutting the above described premises to the center lines
thereof;
TOGETHER with the appurtenances and all the estate and rights of the party of the
first part in and to said premises;
TO HAVE AND TO HOLD the premises herein granted unto the party of the second
part, the heirs or successors and assigns of the party of the second part forever.
AND the party of the first part covenants that the party of the first part has not done
or suffered anything whereby the said premises have been encumbered in any way
whatever, except as aforesaid
AND the party of the first part, in compliance with Section 13 of the Lien Law,
covenants that the party of the first part will receive the consideration for this conveyance
and will hold the right to receive such consideration as a trust fund to be applied first for
the purpose of paying the cost of the improvement and will apply the same first to the
payment of the cost of the improvements before using any part of the total of the same for
any other purpose.
The word"party"shall be construed as if it read "parties"whenever the sense of this
indenture so requires.
IN WITNESS WHEREOF, the party of the first part has duly executed this deed the
