The St. John's Vestry has asked me to request that the enclosed Certificate of
Incorporation, filed 10/06/09 with Judith A. Pascale, Suffolk County Clerk, be filed with
other papers that are at the museum for St. John's Church.

OF THE
CERTIFICATE OF INCORPORATION
OF
ST. JOHN'S EPISCOPAL CHURCH FISHERS ISLAND
The undersigned Rector and qualified voters of St. John's Episcopal Church Fishers
Island(formerly named St.John's Protestant Episcopal Church of Fishers Island,New York and
hereinafter called the"Church")hereby certify that:
I. At a meeting of the Vestry of the Church on April 7, 2009,the following resolutions
were duly adopted by unanimous vote of the members of the Vestry present:
RESOLVED,that the Vestry of St. John's Episcopal Church Fishers Island(the
"Church")hereby recommends that Paragraphs 3 and 4 of the first resolution set forth in
the Certificate of Amendment of the Certificate of Incorporation of the Church ratified at
a special meeting of qualified voters of the Church on July 29, 1984 be amended in their
entirety to read as follows:
"3. At such next annual election one of the two church wardens shall be
elected to hold office for one year and the other to hold office for two years, and
thereafter there shall be elected at each annual election one church warden to
hold office for two years; and each church warden who has been elected for three
consecutive full terms of office shall be ineligible for reelection as a church
warden until the annual election following that at which his third consecutive full
term of office expired;and further
"4. The number of vestrymen shall be increased from eight to nine;there
shall be elected at such next annual election one-third of such number of
vestrymen to hold office for three years, one-third to hold office for two years and
one-third to hold office for one year,and thereafter there shall be elected at each
annual election to hold office for three years one-third of such number of
vestrymen; and each vestryman who has been elected for two full terms of office
shall be ineligible for reelection as a vestryman until the annual election following
that at which his second full tern of office expired; and farther".
RESOLVED,that notice of the foregoing recommendation shall be included in the
notice of a special meeting of qualified voters of the Church,which shall be held in the
Church on Sunday July 26,2009 following the 10:00 A.M. service; at such meeting such
recommendation shall be submitted for ratification,and if such recommendation be
ratified by such meeting,the presiding officer and at least two qualified voters present at
such meeting shall execute,acknowledge and cause to be filed in the office of the County
Clerk, State of New York,County of Suffolk,the certificate as to such ratification
required by law.
II. Notice of the recommendation of the Vestry set forth in the above resolutions was
given with the notice of a special meeting of qualified voters of the Church duly called by the
Vestry and held on July 26, 2009. The Rector was the presiding officer of such meeting, and
such resolutions and the recommendation of the Vestry set forth therein were ratified and
approved by vote of the qualified voters present at the meeting, so that Paragraphs 3 and 4 of the
first resolution set forth in the Certificate of Amendment of the Certificate of Incorporation of
the Church ratified at a special meeting of qualified voters of the Church on July 29, 1984 are
amended to read in their entirety as set forth above.
IN WITNESS WHEREOF,the Rector and at least two qualified voters who were present
at such special meeting on July 26, 2009 have executed and acknowledged this Certificate of
Amendment to the Certificate of Incorporation of the Church.
