WILLIAM H. PRICE, JR., as Trustee and TItE BANK OF NEW YORK, as Successor Trustee of the
MARY W. BLACKMAN LIVING TRUST AGREEMENT DATED 1/29/98~, 82 Seventh Avenue, Garden
City, New York 11530, as to a 50% interest; and
MARGARET E. DENNINGTON, residing at 4345 North Road, Greenport, New York 11944, as joint tenant
with right of survivorship, as to a 50% interest
party of the first part, and
ISLAND'S END GOLF & COUNTRY CLUB, INC., a New York corporation, having its principal place of
business at (Nog) Route 25, Greenport, New York 11944
party ofthe second part,
WITNESSETH, that the party of the first part, duly nominated and appointed Trustee under Trust Agreemem
dated 1/29/98, by virtue of the title and authority in me vested by the terms of said Trust, and in c. onsideration of
FOUR HLrNDRED THOUSAND ($400,000.00) DOLLARS paid by the party of the second part, does hereby
grant and release unto the party of the second part, the heirs or successors and assigns of the party of the second
part forever,
ALL THAT CERTAIN plot, piece or parcel of land, with the buildings and itnprovements thereon erected,
situate, lying and being in the Town of Southold, County of Suffolk, and State of New York, bounded and
described as follows:-
BEGINNING at a point on the northerly side of Main Road (S.R. 25) at the southeasterly comer of land now or
formerly of Robert J. Heaney and the southwesterly comer of land about to be described;
RUNNING THENCE North 32 degrees 07 minutes 30 seconds West, along the land now or formerly of Heaney
246.86 feet;
THENCE South 66 degrees 07 minutes 40 seconds West, still along the land now or formerly of Heaney and the
land now or formerly of David L. Gillespie, Jr. and Roda H. Gillespie, 182.95 feet to the land now or formerly
of Vivian B. Stein;
THENCE North 31 degrees 58 minutes 30 seconds West, along the land now or formerly of Stein, 55.84 feet;
THENCE south 66 degrees 01 minutes 20 seconds West, still along the land now or formerly of Stein and land
now or formerly of Mary W. Blackman Living Trust, 440.31 feet to land now or formerly of Floyd F. King, Jr.
Grantor Retained Trust;
THENCE along the land now or formerly of said last mentioned trust the following eight (8) courses and
distances: (1) North 32 degrees 42 minutes 50 seconds West, 440.98 feet; (2) North 63 degrees 53 minutes
50 seconds East, 417.20 feet; (3) North 35 degrees 39 minutes 20 seconds West, 385.86 feet; (4) north 63
degrees 53 minutes 50 seconds East, 259.70 feet; (5) North 35 degrees 39 minutes 20 seconds West, 1,015.92
feet; (6) North 53 degrees 03 minutes 40 seconds East, 257.53 feet; (7) Snuth 35 degrees 33 minutes 00
seconds East, 1,513.42feet; (8) South 36 degrees 04 minutes 00 ~econds East, 727.54 feet to the northerly side

THENCE South 60 degrees 25 minutes 25 seconds West, along the northerly side of Main Road, 366.66 feet to
the point or place of BEGINNING.
BEING AND INTENDED TO BE the same premises conveyed to the Mary W. Blackman Living Trust
Agreement dated 1/29/98 by deed from Mary W. Blackman dated 9/4/98 and recorded in the Suffolk County
Clerk's Office on 9/16/98 in Liber 11917 cp 234; and conveyed to Margaret E. Dennington by deeds from
Ernest S. Wiggins dated 1/7/70 and recorded in the Suffolk County Clerk's Office on 1/9/70 in Liber 6686 cp
294, Liber 6687 cp 473, Liber 6687 cp 475, Liber 6687 cp 471 and Liber 6687 cp 478.
TOGETHER WITH all right, title and interest, if any, of the party of the first part in and to any streets and
roads abutting the above-described premises to the center lines thereof, TOGETHER WITH the
appurtenances and all the estate and rights of the party of the first part in and to the said premises which the
party of the second part has the power to convey or dispose of; TO ltAVE AND TO HOLD the premises
herein granted unto the party of the second part and/or assigns forever.
AND the party of the first part covenants that the party of the first part has not done or suffered anything
whereby the said premises have been incumbered in any way whatever, except as afi~resaid.
AND the party of the first part, in compliance with Section 13 of the Lien Law, covenants that the party of the
first part will receive the consideration for this conveyance and will hold the right to receive such consideration
as a trust fund to be applied first for the purpose of paying the cost of improvement and will apply the same first
to the payment of the cost of the improvement before using any part of the total of the same for any other
purpose.
The word "party" shall be construed as if it read "parties" whenever the sense of this indenture so requires.
