DECLARATION OF COVENANTS AND RESTRICTIONS
This Declaration, made this 17th day of September, 2010, by Zip Peconic Wells, LLC, a
New York Limited Liability Company with an office located at 717 Fifth Avenue, 19th Floor,
New York, NY 10022, hereinafter referred to as the "Declarant,"
WITNESSETH:
WHEREAS, Declarant is the owner in fee simple of certain real property located along
NYS Route 25, Peconic, Town of Southold, County of Suffolk, State of New York, more
particularly bounded and described as set forth in Schedule "A" annexed hereto and made a part
hereof; and
WHEREAS, for and in consideration of the granting of approval of the conservation
minor subdivision map entitled, "Subdivision Map of Zip Peconic Wells, LLC" the owner has
deemed it to be for the best interests of the Town of Southold, the owner, subsequent owners,
and the interests of the surrounding community that the within Covenants and Restrictions be
imposed in said parcel, and that the within Declaration be recorded in the Suffolk County
Clerk's Office;
NOW, THEREFORE, IT IS HEREBY AGREED AS FOLLOWS:
That the Declarant for the purposes of carrying out the intents above expressed do hereby
make known, admit, publish, covenant and agree that the said premises herein-described shall
hereinafter be subject to the following covenants which shall run with the land and shall be
binding upon all purchasers and holders of said premises, their heirs, executors, legal
representatives, distributees, successors and assigns, to wit:
1. That a Drainage Area to be constructed and maintained by the landowner is presently
shown on the above subdivision map to be filed with the Suffolk County Clerk (alternate
designs, differing fr6m that shown on the filed map may be created, however such designs must
be approved by the Southold Town Planning Board and Town Engineer in writing by letter prior
to the change).
2. The Declarant and all subsequent landowners shall be responsible to construct,
maintain and clean the Drainage Area, other than the area to be constructed and maintained by
the Town, so that it will provide an adequate area for the storage and recharge to the ground of
stormwater runoff equal to the volume of 32,865 cubic feet (this volume may also be changed by
the same method as above, depending on the nature of the vegetation in the contributing area).
3. A landscaped berm, or a landscaped buffer, shall be placed and maintained in
perpetuity along the southern side of the common access driveway and the northern boundary of
residential lots 1 and 2 bordering the farm field as shown on the subdivision map of Zip Peconic
Wells, LLC, so as to minimize wind, dust, noise and possible run-off from the farm.
4. The landscaped berm or landscaped buffer referenced in paragraph 3 above shall be
planted only with vegetation choices identified in the approved Town of Southold Planning
Board Native/Natural Buffer Planting Specifications following Sonthold Town Planning Board
Approval.
5. The existing trees along the eastern boundary of residential lots 1 and 2 on Wells Road
shall be maintained to be in compliance with Southold Town Code §240-49(I).
6. When the existing trees referenced in paragraph 5 above naturally expire, they shall be
replaced with street trees and/or landscaping only with vegetation choices identified in the
approved Town of Southold Planning Board Native/Natural Buffer Planting Specifications
following Southold Town Planning Board Approval.
7. The lots in the subdivision are clustered, resulting in open space (21,734 sq.ft.),which
is preserved from future residential development and is being dedicated to the Town for drainage
and open space.
8. That the within Declaration may not be annulled, waived, changed, or modified unless
and until authorized by the Planning Board of the Town of Southold, or its successors.

BEGINNING at a comer formed by the intersection of the southerly side of Main Road and the
sofithwesterly side of Wells Road;
THENCE from said beginning along the southwesterly side of Wells Road, South 33 degrees
18 minutes 25 seconds East 871.83 feet to a stake;
THENCE along the westerly side of Wells Road, the following courses and distances:
1. South 08 degrees 03 minutes 45 seconds East 973.21 feet to apoint;
2. South 30 degrees 56 minutes 15 seconds East 235.54 feet to lands now or formerly of
