WARRANTY DEED WITH FULL COVENANTS
THIS INDENTURE, made as of the 23a day of December, 2011 from LINDA HILL, '
residing at 3190 Haywaters Road, Cutchogue, NY 11935 ("Grantor") to LINDA HILL, DANIEL HILL
AND MITCHEL HILL, AS TRUSTEES OF THE LINDA HILL 2011 PERSONAL RESIDENCE
TRUST, DATED DECEMBER 9, 2011, having and address at 3190 Haywaters Road, Cutchogue, NY
11050 (collectively, "Grantee").
WITNESSETH, that Grantor, in consideration of the sum of TEN ($10.00) DOLLARS
and other good and valuable consideration paid by Grantee, does hereby grant and release unto Grantee,
the heirs or successors and assigns of Grantee forever,
ALL that certain plot, piece or parcel of land, with the buildings and improvements
thereon erected, situate, lying and being in the Town of Southold, County of Suffolk, and State of New
York, known as 3190 Haywaters Road, Cutchogue, NY 11935, and more particularly bounded and
described in Schedule A annexed hereto and made a part hereof (the "Premises").
TOGETHER with all right, title and interest, if any, of Grantor in and to any streets and
roads abutting the Premises to the center lines thereof; TOGETHER with the appurtenances and all the
estate and rights of Grantor in and to the Premises; TO HAVE AND TO HOLD the Premises herein
granted, or mentioned and intended so to be, with such right, title and interest, if any, in said streets and
roads, and such appurtenances, unto Grantee, the heirs or successors and assigns of Grantee forever.
AND Grantor covenants as follows, exclusively to and for the benefit of Grantee and not
to or for lhe benefit of any subsequent grantee of the Premises: (a) that Grantor is seized of the Premises
in fee simple, and has good right to convey the same; (b) that Grantee shall quietly en.~oy the Premises; (c)
that the Premises are free from encumbrances, except as may be set forth in the Title Policy (as
hereinafter defined) and such other encumbrances to which Grantee is a party; (d) that Grantor will
execute and procure any further necessary assurances of the title to the Premises; and (e) that Grantor will
forever warrant the title to the Premises. Notwithstanding anything to the contrary contained in this deed
or otherwise, Grantor's liability to Grantee for any claim based on, in connection with or arising out of
any of the foregoing covenants shall be limited to the proceeds for such claim actually received by
Grantor under owner's title insurance policy no.1202023-0027459 (LTNYC-1579-S-08), dated May 1,
2008, issued to Grantor by First American Title Insurance Company of New York (the "Title Policy"),
less any costs and expenses incurred by Grantor to collect such proceeds.
AND Grantor, in compliance with Section 13 of the Lien Law, covenants that Grantor
will receive the consideration for this conveyance and will hold the right to receive such consideration as
a trust fund to be applied first for the purpose of paying the cost of improvement and will apply the same
first to the payment of the cost of improvement before using any part of thc total of the same for any other
purpose.
AND the Premises being and intended to be the same premises conveyed by deed, dated
May 1, 2008, from JSC Resources, Inc. to Grantor, recorded in the Office of the County Clerk, County of
Suffolk on May 13, 2008 in Liber D00012550, Page 897 (the "Preceding Deed").
AND Grantor is the grantee named in the Preceding Deed.
