ADOPTED AT THE REGULAR MEETING OF THE SOUTHOLD TOWN BOARD ON
OCTOBER 23, 2012:
RESOLVED that the Town Board of the Town of Southold hereby authorizes Supervisor
Scott A. Russell to execute the 2012-2013 Memorandum of Agreement be~veen the Town of
Southold Shellfish Advisory Committee and Cornell Cooperative Extension of Suffolk
County, in connection with collecting, transporting and storing samples, at a cost not to exceed
$100.00, and the possible testing of samples, at a cost not to exceed $2,001.00, pursuant to the
Town's MS4 efibrts, subject to the approval of the Town Attorney.

2012-2013 MEMORANDUM OF AGREEMENT BETWEEN
TOWN of SOUTHOLD
and CORNELL COOPERATIVE EXTENSION OF SUFFOLK COUNTY
This agreement is made between Town of Southold Shellfish Advisory Committee and Cornell Cooperative
Extension of Suffolk County (CCE), 423 Griffing Ave., Riverhead, New York, 11901.
SPECIFIC ROLES AND RESPONSIBILITIES
A. Cornell Cooperative Extension of Suffolk County agrees to:
As part of a stormwater educational effort for NYS, CCE will work with Town of Southold to learn
about the sources of bacteria pollution in stormwater runo~.. This information can be used by the
Town of Southold to help develop and implement the best BMPs relative to those pollutant sources.
CCE agrees to run water quality samples through the DNA fecal coliform sourcing library. The
samples will be collected by Southold Shellfish Advisory Committee and transported to the CCE
laboratory. A total of 3 samples will be cultured and preserved for a period of up to one year. CCE
will verify E. coli bacteria and nm the DNA analysis upon written request from the Town of Southold
for the purpose of identifying the source(s) of fecal coliforms. The Town of Southold reserves the
right to determine how many of the samples (if any) will be nm through the DNA library.
2. The samples will be processed at the Suffolk County Marine Environmental Learning Center
(SCMELC) located at 3690 Cedar Beach Road, Southold NY 11971.
3. Key Personnel: The following individual is identified as key personal for the performance of the
project: Scott Curatolo-Wagemann, Principal Investigator
B. The Town of Southold agrees to:
Pay CCE $100.00 to transport the samples to the laboratory, to culture and to preserve the samples
for possible future analysis in 2013. The Town of Southold will determine how many of the 3
samples to run through the library (if any) in 2013, and will then pay CCE $667.00 per sample to
complete the verification orE. coli bacteria and continue with DNA analysis, solely within the
discretion of the Town. The cost breakdown reflects the expected $700 cost per sample for 2013
project. The $667 is the cost to mn the selected samples through the DNA library. The Town of
Southold is not obligated to pay for testing of any samples until budgeting for same is allotted and
authorization is given to the CCE to perform testing.
Payments will be made to Comell Cooperative Extension of Suffolk County, 423 Griffing Ave.,
Riverhead, NY 1 t901.

RESOLVED that the Town Board of the Town of Southold hereby authorizes and directs
Supervisor Scott A. Russell to execute an Agreement with Cornell Cooperative Extension,
in connection with 2012 Southold Town Shellfish Program,
in the amount of $20,000, for the term January 1, 2012 through December 31, 2012,
all in accordance with the approval of the Town Attorney.

CONTRACT FOR SERVICES
THIS AGREEMENT, entered into this 1st day of January 2012, between the Town of
Southold, with offices at 53095 Main Road, Southold, New York 11971, hereinafter
called the "Town" and Cornell Cooperative Extension, with offices at 423 Griffing
Avenue, Riverhead, New York 11901 hereinafter called the "Contractor"
WITNESSTH
WHEREAS, the Town of Southold desires to engage the consultant to render certain
professional services hereinafter described in connection with an undertaking.
NOW, therefore, the parties hereto mutually agree as follows:
1. Employment of the Contractor - The Town hereby agrees to engage the
Contractor and the Contractor hereby agrees to perform the services hereinafter
set forth.
2. Scope of Work - The Contractor shall perform and carry out, on a satisfactory
and proper manner the services described in Exhibit A: attached hereto and made
a part of the contract.
3. Personnel - A. The Contractor represents that all personnel engaged in the work
shall be fully qualified by reason of training and experience to perform such
service set forth herein. B. None of the work or services covered by this contract
shall be subcontracted without the prior written approval of the Town.
4. Time of Performance - The services of the Contractor are to commence upon
execution of this contract and shall end on December 31, 2012 or at the
completion of the task outlined in Exhibit A.
5. Compensation - The Town agrees to pay the Contractor the total sum not to
exceed $20,000.
6. Method of Payment- The payment shall be made in accordance with the billing
schedule and upon receipt by the Town of Southold of a properly completed
voucher form supplied by the Town. It is expressly understood and agreed that in
no event will the total compensation and reimbursement be paid hereunder exceed
the maximum sum of $20,000 for all of the services required
7. Monthly Reports and Activity Reports - Monthly activity reports should be
submitted along with a monthly voucher for reimbursement of approved
expenditures.
8. Additional Rights and Remedies - This contract shall be governed by, subject to
and construed according to the laws of the State of New York
IN WlTNESSOF, the parties hereto have executed this contract as of the date
hereinabove set forth.

The above represents the contractual expense for the operation of the hatchery and grow-
out facihty for the Town of Southold' s 2012 Shellfish Program(s).
The Suffolk County Marine Environmental Learning Center will spawn and grown-out
hard clams, oysters and scallops in the quantities recommended by the Town of Southold,
for seeding Southold's Creeks and Bays.
