THIS IS TO CERTIFY THAT THE FOLLOWING RESOLUTION NO. 2011-494 WAS
ADOPTED AT THE REGULAR MEETING OF THE SOUTHOLD ToWN BOARD ON
JULY 5, 2011:
RESOLVED that the Town Board of the Town of Southold hereby authorizes and directs
Supervisor Scott A. Russell to execute all necessary documents in connection with the
Ouitclalm Deed regarding the transfer of two parcels, as shown and designated on a certain
map entitled "Map of Orient by the Sea, Section 3", from the County of Suffolk to the
Town of Southold (Suffolk County Tax Map Nos. District 1000, Section 015.00~ Block
05.00, Lot 024.028 and District 1000, Section 015.00~ Block 05.00, Lot 025.002), subject to
the approval of the Town Attorney; and
BE IT FURTHER RESOLVED that the County of Suffolk wilt convey both parcels to the
Town of Southold for consideration in the sum orS1.00; and
BE IT FURTHER RESOLVED that the Town of Southold has been, and continues to,
maintain said parcels and will acquire parcel SCTM #1000-15-5-24.28 for drainage purposes and
parcel SCTM #1000-15-5-25.2 for road maintenance; and
BE IT FURTHER RESOLVED that the recording fees, which are estimated to be
approximately $400.00 be charged toA 1010.4.500.700.

BETWEEN the COUNTY OF SUFFOLK, a municipal corporation of the State of New York,
having its principal office at the Suffolk County Center, Center Drive, Riverhead, New York
11901, party of the first part, and
TOWN OF SOUTHOLD, a municipal corporation of the State of New York, having its principal
offices at 53095 Route 25, P.O. Box 1179, Southold, New York 11971, party of the second part,
WlTNESSETH, that the party of the first part, pursuant to Resolution Number 776-2011
adopted by the Suffolk County Legislature on September 15, 2011 and, thereafter, approved by
the County Executive on September 23, 2011, in consideration of One ($1.00) Dollar paid by
the party of the second part, does hereby remise, release, and quitclaim unto the party of the
second part, the heirs or successors and assigns of the party of the second part forever,
ALL, that certain plot, piece or parcel of land with any buildings and improvements thereon
erected, situate, lying and being in the Town of Southold, County of Suffolk and State of New
York, described on the Tax Map of the Suffolk County Real Property Tax Service Agency as
Distdct 1000, Section 015.00, Block 05.00, Lot 024.028, and acquired by Tax Deed on May 18,
1990, from General L. Rains, the Deputy County Treasurer of Suffolk County, New York and
recorded on May 25, 1990, in Liber 11074, CP 159 and, known and designated as a Leaching
Area on a certain map entitled "Map of Orient-By-the-Sea, Section 3', and filed in the Office of
the Clerk of the County of Suffolk on October 6, 1974 as Map No. 6160,
FURTHER, notwithstanding the above description, it is the intention of this conveyance to give
title only to such property as was acquired by the County of Suffolk by Tax Deed on May 18,
1990, from General L. Rains, the Deputy County Treasurer of Suffolk County, New York and
recorded on May 25, 1990, in Liber 11074, CP 159.
PROVIDED, however, that the party of the second part will be restricted in its use of the
subject premises and will use said premises solely and exclusively for municipal purposes; with
all dght title and interest reverting to the party of the first part:
1) If the property is not used for the above-described public govemmental purposes within three
(3) years after delivery of the deed to the party of the second part; or
2) If the party of the second part attempts to sell, transfer, or otherwise dispose of the property
or does sell, said property being used thereafter for the above described public governmental
purposes, at any time, uses or attempts to use said subject premises for other than municipal
purposes or attempts to sell, transfer or otherwise dispose of said subject premises without said
premises being used thereafter for municipal purposes. This covenant and restriction shall run
with the land and shall bind the heirs or successors and assigns of the party of the second part,
TOGETHER with all right, title and interest, if any, of the party of the first part of, in and to any
streets and roads abutting the above-described premises to the center lines thereof;
TOGETHER with the appurtenances and all the estate and rights of the party of the first part
in and to said premises;
TO HAVE AND TO HOLD the premises herein granted unto the party of the second part, the
heirs or successors and assigns of the party of the second part forever.
SUBJECT to the condition that neither Grantee nor any Municipality shall bill or charge back
to Grantor any cost incurred or projected to be incurred for the cleaning up of any debds on said
property. In the event that such charge back or bill is rendered to the Grantor this Deed shall be
void ab initio and the realty shall revert to the Grantor.
SUBJECT to any state of facts which an accurate survey might show.
AND the party of the first part, in compliance with Section 13 of the Lien Law, hereby
covenants that the party of the first part will receive the consideration for this conveyance and
will hold the dght to receive such consideration as a trust fund to be applied first for the purpose
of paying the cost of the improvement and will apply the same first to the payment of the cost of
the improvement before using any part of the total of the same for any other purpose.
THE WORD "PARTY" shall be construed as if it read "parties" whenever the sense of this
indenture so requires.
