THIS DEED dated as of this day of December, 1996,by and between 6CI Mortgage
Corporation, a corporation duly organized and existing under the laws of the State of Delaware,
having an office at 816 Congress, Austin,TX 78701 (the "Grantor").
and
Wilshire Funding Corporation, a corporation duly organized and existing under the laws of the
aS�te�Delaware, aving an office at 1776 S.W. Madison St., Portland, OR 97205 (the
"Grantee").
WITNESSETH,that the Grantor,in consideration of the sum of Ten Dollars
($10.00) and other good and valuable consideration paid by Grantee (except as may be otherwise
provided in SCHEDULE 1 hereto), the receipt and sufficiency of which is hereby
acknowledged,does hereby grant,bargain and convey (with "quitclaim covenants", as to
Massachusetts real property only) with limited warranty unto Grantee, its successors and assigns
all of its right, title and ipterest in and to that certain plot, piece or parcel of land (together with
the buildings and improvements thereon erected)described on EXHIBIT A hereto(the
"Premises").
TOGETHER WITH all right, title and interest (if any) of Grantor in and to any
streets and roads abutting the Premises to the center line thereof, as well as any gaps, strips or
gores on, around or within the Premises;
TOGETHER WITH all right, title and interest (if any)of Grantor in and to any
hereditaments and appurtenances, and all of the estate and rights of Grantor;
TO HAVE AND TO HOLD the Premises herein conveyed unto the Grantee, its
successors and assigns forever;
SUBJECT TO all covenants,conditions, restrictions,easements and
encumbrances of record;
AND notwithstanding anything to the contrary herein, this conveyance is executed
and delivered without warranties of title,express or implied,of any kind whatsoever except that
Grantor warrants that it has not done or suffered anything whereby the Premises have been
encumbered in any way whatever,except as aforesaid.
AND to the extent the Premises are situated within the Slate of New York, the
Grantor, in compliance with Section 13 of the New York Lien Law,covenants that it will receive
the consideration for this conveyance and will hold the right to receive such consideration as a
trust fund to be applied first for the purpose of paying the cost of the improvement(s) and will
