the first part will receive the consideration for this conveyance and will hold the right to receive such con-
sideration as a trust fund to be applied first for the purpose of paying the cost of the improvement and will
apply the same first to the payment of the cost of the improvement before using any part of the total of the
same for any other purpose.

This conveyance isimade and accepted subject to an
indedtedness by a mortgage upon said premises held
by North Fork bank, formerly known as Southold
Savings Bank, which mortgage was recorded in the
Suffolk County Clerk' s Office on 9/25/89 in Liber
15437 mp 470 , upon which said mortgage there is
an unpaid principal amount of $152 , 739 . 08, which
said mortgage debt the party of the second part
hereby assumes and agrees to pay as part of the
Purchase price of the subject premises; and the party
of the second part hereby separately executes and
acknowledges this deed for the purpose of complying
with the provisions of Real Property Actions and
Proceedings Law, section 1381.
