TOGETHER with an easement for sanitary sewer, cesspools and drainage field over the premises to the south and west and the right to enter upon said premises for the purpose of maintaining, repairing and replacing such sanitary sewer, cesspools and drainage field. TOGETHER with a right of way in common with others over the existing private roads situated in the premises hereinafter described. Said premises are hereby conveyed subject to the following restrictions: (a) The parties of the second part will not use the premises for any other purpose than a single family residence nor erect any outbuilding, without the written consent of Hay Harbor Realty, Inc., or its successors. WP3: 541154.1 34144.1001 (b) The parties of the second part will not erect any building, outbuilding or structure within five (5) feet of any boundaries of the premises herein conveyed. (c) The parties of the second part will not sell the premises herein described unless the parties of the second part shall have (I) received a written offer from a third party which is acceptable to the parties of the second part and (2) then have offered to sell and convey the same to Hay Harbor Realty, Inc., or its successors, at the same price and upon the same terms as contained in such offer and (3) 30 days shall have expired from the date of the making of such offer by the parties of the second part to Hay Harbor Realty, Inc., or its successors, and the latter shall not have accepted such offer in writing. (d) The premises herein described constitute a part of premises last above set forth. Within said last described plot, there are certain private roads 12' in width, title to which is reserved unto Hay Harbor Realty, Inc., and its successors, which roads are subject to mutual rights of way for ingress and egress in favor of the premises herein conveyed and other premises within the plot last described. The said roads will be maintained by Hay Harbor Realty, Inc., and its successors, but at the expense of the owners of the several dwellings within the premises last above described, and the allocation of the cost of such maintenance shall be made equitably by Hay Harbor Realty, Inc., and its successors, and the parties of the second part hereby agree for themselves, their legal representatives, successors and assigns, to pay the share of such expense allocated to them and upon their failure to do so within thirty (30) days, the amount thereof shall constitute a lien upon the premises herein conveyed. Hay Harbor Realty, Inc., and its successors shall have the right to convey said roads subject to such rigbts of way, to an association or membership corporation which, in the event of such conveyance, it will cause to be formed, and to consist of the owners of the several dwellings contained within the plot last above described, and the parties of the second part agree to become members of such association or membership corporation. The foregoing restrictions shall run with the land and shall enure to the benefit of Hay Harbor Realty, Inc., and its successors, and may be modified, amended, or changed by written agreement between the parties of the second part and Hay Harbor Realty, Inc., or its successors. The foregoing restriction numbered "c" shall not prevent the parties of the second part from obtaining a mortgage loan, and if the mortgagee shall acquire title by foreclosure or otherwise, the mortgagee shall not be required to comply with such restriction, but any purchaser from the mortgagee shall be bound thereby. The parties of the second part will cause any grantee to assume and agree to be bound by the foregoing restrictions. TOGETHER with the appurtenances and all the estate and rights ufthe party ufthe first part in and to said premises. BEING the same premises which EDWINA C. SANGER, by her Indenture dated January 28, 1976, which was recorded in the Land Records of Suffolk County, New York, on November 23, 1976, in Liber 8146 page 165, did grant and convey unto PETER D. SANGER and KATHARINE duP. SANGER, his wife. And the said PETER D. SANGER departed this life on Dc t. 16, 1986 (Register of Wills File No. ) leaving his wife, KATHARINE duP. SANGER, party of the first part, as the sole surviving tenant-by-the-entirety. TO HAVE AND TO HOLD the premises herein granted unto the parties of the second part, their heirs and assigns forever. AND, the party of the first part, in compliance with Section 13 of the Lien Law, covenants that she will receive the consideration for this conveyance and will hold the right to receive such consideration as a trust fund to be applied first for the purpose of paying the cost of the improvement and that she will apply the same first to the payment of the cost of the improvement before using any part of the total of the same for any other purpose. TOGETHER with all right, title and interest, if any, of the party ofthe first part, in and to any streets and roads abutting the above-described premises to the center lines thereof; TOGETHER with the appurtenances and all the estate and rights of the party of the first part in and to said premises; TO HAVE AND TO HOLD the premises herein granted unto the party of the second part, the heirs or successors and assigns of the party of the second part forever. AND the part of the first part covenants that the party of the first part has not done or suffered anything whereby the said premises have been encumbered in any way whatever, except as aforesaid.
