BARGAIN AND SALE DEED

This indenture, made as of ~~ ,2000, between James R. Suedmeier
and Amy L. Suedmeier ("Grantor"), having an address at 1312 N.W. Linden Street, Ankeny,
Iowa 50021 and Jonathan D. Raridon and Allie M. Raridon ("Grantee"), having an address at 11
The Gloaming, P.O. Box 259, Fishers Island, NY 06390.
WITNESSETH:
That Grantor, in consideration often dollars ($10.00) lawful money of the United States
and other good and valuable consideration paid by Grantee, does hereby grant, bargain, sell,
assign and release unto Grantee, its heirs or successors and assigns forever, that dwelling unit
(the "Unit") above the plane defined by the top ofthe concrete foundation located on that certain
plot, piece or parcel of land situate, lying and being in described as:
Lot I according to the major subdivision plan prepared for Walsh Park Benevolent
Corporation and filed in the Office of the Clerk of the County of Suffolk, State of New
York, as Map No. 8871, on December 22,1989 ("Filed Map No. 8871 n).
SEE SCHEDULE "A" ATTACHED HERETO
SUBJECT TO All restrictions, covenants and c'1ditions set forth in the Ground Lease
Agreement (the "Lease"), dated as of ~ April, 000 and intended to be recorded
simultaneously here with, between Grantor, as lessor, and Grantee, as lessee.
SUBJECT TO the Declaration of Covenants and Restrictions recorded in the Office of
the Clerk of the County of Suffolk, State of New York, in Liber 10969 at Page 329 on November
20, 1989 (the "Declaration"); and
SUBJECT TO the Intercreditor, Leasehold Recognition and Security Agreement, to
which Grantee is a party, dated as of the day and year first written above and recorded iJ:\ the
Office of the Clerk of the County of Suffolk, State of New York, concurrently herewith;'
Subject to an Assignment and Assumption Agreement dated as of the day and year first written
above and recorded in the office of the clerk of the County of Suffolk State of New York
concurently herewith; .
TOGETHER with the appurtenanc,;s and all the estate and rights of Grantor in and to said
Unit;
TO HAVE AND TO HOLD the unit herein granted unto Grantee, its heirs or successors
and assigns forever.
AND GRANTOR, in compliance with Section 13 ofthe Lien Law, covenants that it will
receive the consideration for this conveyance and will hold the right to receive such
consideration as a trust fund to be applied first for the purpose of paying the cost of the
improvement and will apply the same first to the payment of the cost of the improvement before
using any part of the total of the same for any other purpose.

AND GRANTOR, in compliance with the requit.~ments imposed by the Town of
Southold and set forth in paragraph 5 on sheet 1 of the Filed Map No. 8871 and in Section V of
the Declaration, states that a former landfill was conducted on Lot 8, Lot 9 and Lot 10 as
designated on Filed Map No. 8871.
BEING AND INTENDED TO BE the same premises as conveyed to the party of the first part by
deed from Walsh Park Benevolent Corporation, dated 05/17/96 and recorded in the Suffolk
County Clerk's Office on 06/06/96 in Liber 11777 Page 188.
IN WITNESS WHEREOF, the parties hereto have duly executed this deed as of the day
and year first written above.

SCHEDULE "A"
ALL that dwelling unit above the plane defined by the top of the concrete foundation
located and being on that certain parcel of land situate, lying and being at Fishers Island,
in the Town of Southold, County of Suffolk and State of New York, known and designated
as Lot No. 1 as shown on a certain map entitled "Map of Walsh Park Benevolent
Corporation" and filed in the Office of the Clerk of the County of Suffolk on December 22,
1989 as Map No. 8871, said lot being more particularly bounded and described to said
map as follows: .
BEGINNING at a point on the easterly side of Peter's Way; where the same is intersected
by the division line between Lots 1 and 2 on the aforesaid map;
RUNNING THENCE from said point or place of beginning along the division line between
Lots 1 and 2 North 650 55' 21" East, 347.60 feet to the westerly side of land now or
formerly of A.R. Grebe, Jr.;
THENCE along said last mentioned land due South a distance of 232.64 feet to the
northerly side of other land now or formerly of Walsh Park Benevolent Corporation;
THENCE along said last mentioned land the following two courses and distances:
1. South 880 24' 45" West, 175.79 feet;
2. South 850 41' 30" West, 120.78 feet to the easterly side of Peter's Way; and
THENCE along the Easterly side of Peter's Way the following two courses, curves and
distances:
1. North 04018' 30" West, 30.00 feet;
2. Northerly along the arc of a curve bearing to the left having a radius of
225.00 feet a distance of 77.64 feet to the point or place of BEGINNING.
