THIS INDENTURE,made the Wqday of July nineteen hundred and ninety-nine
BETWEEN STEPHEN N. PAGNOTTA, individually and as Successor Trustee of the trust
created under that certain Trust Agreement dated October 7, 1982, 701 Hancock Road,
Williamstown, Massachusetts 01267, ANN C. PAGNOTTA, 3110 Ridge Road, Durham, North
Carolina 27705, KAREN J. PAGNOTTA, 202 Nodding Oak, Chapel Hill, North Carolina
27514, and MICHELE S. PAGNOTTA, 121 Westview Drive, #106, Carrboro, North Carolina
27510, being all the beneficiaries under said trust,
party of the first part, and
JOSEPH MAYBIN GORE FRIEDRICHS and LORRAINE
CAFFERY FRIEDRICHS, husband and wife, 1303 Third Street, New Orleans, Louisiana

WITNESSETH,that the party of the first part, in consideration of Ten Dollars and other valuable consideration paid
by the party of the second part,does hereby grant and release unto the party of the second part,the heirs or successors
and assigns of the party of the second part forever,
ALL that certain plot,piece or parcel of land,with the buildings and improvements thereon erected,situate,lying and
being rolls at Fishers Island, Town of Southold, County of Suffolk and State of New York,
being more particularly bounded and described as set forth on Schedule A hereto.
BEING AND INTENDED TO BE the same premises conveyed to Joan Lahey Pagnotta, a/k/a
Joan L. Pagnotta, as Trustee under that certain Trust Agreement, dated October 7, 1982, by
deed, dated October 7, 1982 and recorded in the Office of the Clerk of the County of Suffolk on
October 18, 1982 in Liber 9257 page 20, Stephen N. Pagnotta being the successor trustee under
the aforesaid Trust Agreement and the grantors herein being all the living issue of Joan Lahey
Tax Map Pagnotta, the Settlor under said Trust Agreement, who by the terms of said Trust Agreement
Designation were entitled to equal shares of the trust estate thereunder (including the subject premises) upon
Disc the termination of the trust created under said Trust Agreement, such trust having terminated on
the fifth anniversary of the death of Joan Lahey Pagnotta, to wit, June 21, 1992.

TOGETHER with all right, title and interest, if any,of the party of the first part of, in and to any streets and roads
abutting the above-described premises to the center lines thereof, TOGETHER with the appurtenances and all the
estate and rights of the party of the first part in and to said premises; TO HAVE AND TO HOLD the premises herein
granted unto the party of the second part,the heirs or successors and assigns of the party of the second part forever.
AND the'party of the fust part covenants that the party of the first part has not done or suffered anything whereby the
said premises have been incumbered in any way whatever,except as aforesaid.
AND the party of the fust part,in compliance with Section 13 of the Lien Law,covenants that the party of the fust part
will receive the consideration for this conveyance and will hold the right to receive such consideration as a trust fund
to be applied fust for the purpose of paying the cost of the improvement and will apply the same fust to the payment
of the cost of the improvement before using any part of the total of the same for any other purpose.
The word "party"shall be construed as if it read "parties"whenever the sense of this indenture so requires.

monument being 1318.60 feet due North of a point which is 1942.85 feet due West
of another monument marking the United State Coast and Geodetic Survey

RUNNING THENCE South 21 degrees 23 minutes 15 seconds East, 142.21 feet to
another monument;
THENCE South 67 degrees 26 minutes East, 168.34 feet to a point;
THENCE North 22 degrees 00 minutes West, 274.00 feet to another monument on
the southeasterly line of said Ettrick Street;
THENCE along said street line South 64 degrees 47 minutes West, 91.80 feet to
another monument;
THENCE still along said street line South 50 degrees 17 minutes West, 28.11 feet
to the point or place of BEGINNING.
