Cook and William C. Blind, as executors under the Last Will and Testament of Peter T. Cook a/k/a Peter Trowbridge Cook, having an address c/o Morgan, Lewis & Bockius LLP, 101 Park Avenue, New York, New York 10178, who died a resident of the District of Columbia on the 10th day of January, nineteen hundred and ninety-eight party of the first part, and Arnie C. B. Cook residing at 2206 Kalorama Road, NW, Washington, DC 20008 party of the second part. WITNESSETH, that whereas ancillary letters testamentary were issued to the party of the first part by the Surrogate's Court, Suffolk County,New York on January 14, 1999 and by virtue of the power and authority given in and by said last will and testament, and/or by Article 11 of the Estates, Powers and Trusts Law, and in consideration of Seven Hundred Thousand ($700,000.00) and no/100 Dollars, paid by the party of the second part, does hereby grant and release unto the party of the second part, the distributees or successors and assigns of the party of the second part forever, ALL that certain plot, piece or parcel of land, with the buildings and improvements thereon erected, situate, lying and being at Fishers Island, in the Town of Southold, County of Suffolk and `.hate of New York, as more particularly described on Schedule "A" attached hereto. TOGETHER with all right, title and interest, if any, of the party of the first part in and to any streets and roads abutting the above described premises to the center lines thereof-, TOGETHER with the appurtenances and also all the estate which said decedent had at the time of decedent's death in said premises and also the estate therein, which the party of the first part has or has power to convey or dispose of, whether individually, or by virtue of said will or otherwise; TO HAVE AND TO HOLD the premises herein granted unto the party of the second part, the distributees or successors and assigns of the party of the second part forever. AND the party of the first part covenants that the party of the first part has not done or suffered anything whereby the said premises have been encumbered in any way whatever, except as aforesaid. AND, the party of the first part, will receive all consideration for this conveyance as a trust fund in compliance with Section 13 of the Lien Law. Anne C.B. Cook, Stephen A. Cool: and William C. Blind are acting and will act hereunder solely in a fiduciary capacity, as executors; Anne C.B. Cook, Stephen A. Cook and William C. Blind are under no obligation in any individual, corporate or non-fiduciary capacity; Arnie C.B. Cook, Stephen A. Cook and William C. Blind shall not be personally liable hereunder. The word "party" shall be construed as if it read "parties" whenever the sense of the indenture so requires. Blind, as Executor SCHEDULE "A" ALL that lot parcel of land in the Town of Southold, Suffolk County, State of New York, being a part of that portion of Fishers Island, formerly belonging to Fishers Island Corporation (which portion is sometimes called the"Park") lying Easterly of a certain line described in deeds made by Fishers Island Corporation as follows: BEGINNING at the Southeasterly comer of land owned by the United States, known as the Fort H. G. Wright Military Reservation, Mount Prospect Tract, on the shore of Block Island Sound or the Atlantic Ocean and; RUNNING THENCE Northerly 1.ollowing the East boundary of the said land of the United States to the Southerly line of East End Road (sometimes called Oriental Avenue) and which point is the Northeasterly comer of land of the United States; THENCE crossing the East End Road and following the same course as the last to the shore of West harbor or Fishers Island Sound; said lot or parcel of land being bounded and described as follows: BEGINNING at a stone monument set on the Southerly side of the road forty feet wide, said monument being 1428.18 feet East of a point which is 5598.65 feet North of another monument marking the U.S. Coast and Geodetic Survey Triangulation Station "NIN' (which said "NIN" monument is located near the western end of a ridge overlooking the South Shore of Fishers Island and on the highest point between Chocomount and Mount Prospect and lies South 45 degrees 17 minutes 26 seconds East of North Dumpling Light in Fishers Island Sound); and; RUNNING THENCE Eastwardly along the Southerly side of said road (following the arc of a curve to the right whose radius is 527.40 feet and the direction of whose radius at that point is South 8 degrees 27 minutes East) a distance of 319.64 feet to a point; THENCE Southeastwardly still allong the Southerly side of said road (and following the arc of a curve to the right whose radius is 718.31 feet and the direction of whose radius at that point is South 26 degrees 16 minutes 30 seconds West, a distance of 8.01 feet to another monument; THENCE South 24 degrees 44 minutes 30 seconds West 275.36 feet to another monument; THENCE North 71 degrees 40 minutes 20 seconds West 171.71 feet to another mFnument; and THENCE North 9 degrees 07 minutes 20 seconds West 251.62 feet to the place of BEGINNING. Containing 1.55 acres, more or less. Being the same premises as conveyed to Peter T. Cook by deed of Harold L. Williamson, Jr. dated December 12, 1988 and recorded in Liber 10801 at Page 366. Together with the benefits and the burdens of an easement referred to in that certain deed from Harold L. Williamson, Jr. to Peter T. Cook, Jr. dated December 12, 1988 and recorded in Liber 10801 at Page 336. Said premises are conveyed subject to the following: 1. Grant of Easements to Fishers Island Telephone Corp. in Liber 2135, cp 433, which may affect the premises conveyed by this deed. 2. Grant of Easements to Fishers Island Electric Corp. in Liber 2135, cp 449, which may affect the premises conveyed by this deed. 3. Mortgage made by Peter R.
