undivided one–half (1/2) interest,

WITNESSETH, that the party of the first part, to whom ancillary letters
testamentary were issued by the Surrogate's Court, Suffolk County, New York
on March10,1999(File No.251P 99) and by virtue of the power and authority given in and by said last will
and testament, and/or by Article 11 of the Estates, Powers and Trusts Law, and in consideration of one
hundred twenty–eight thousand and 00/100

paid by the party of the second part, does hereby grant and
release unto the party of the second part, the distributees or successors and assigns of the party of the second
partforever, the undivided one–half interest (1/2) of the said Donald W. Sinclair, Jr.
in and to _._,. .. . ..... .ALL that certain plot, piece or parcel of land, with the buildings and improvements thereon erected, situate,
lying and being jalix at Fishers Island, Town of Southold, County of Suffolk and State
of New York, being more particularly bounded and described as set forth on
Schedule A hereto.
BEING AND INTENDED TO BE the undivided one–half interest of the late Donald W.
Sinclair, Jr. in' premises designated on the Suffolk County Tax Map as District
1000; Section 10; Block 10; Lot 6, said premises being formerly owned by the
late Alice H. Sinclair whose Last Will and Testament was admitted to ancillary
probate in the Surrogate's Court of Suffolk County on July 29, 1998 (File No.
1394 P 1998) , the said Alice H. Sinclair having acquired a portion of such
premises with Donald Wells Sinclair by deed recorded March 21, 1949 in the Office
of the Clerk of the County of Suffolk in Liber 2931 page 420 and other portions
of such premises by deeds recorded subsequently thereto.

AND the party of the first part covenants that the party of the first part has not done or suffered anything
whereby the said premises have been encumbered in any way whatever, except as aforesaid.
Subject to the trust fund provisions of section thirteen of the Lien Law.
The word "party" shall be construed as if it read "parties" whenever the sense of this indenture so requires.
