corporation organized and existing under the laws of the State of New

party of the second part,
WITNESSETH,that the party of the first part, in consideration of zero-------($0.00)---------

paid by the party of the second part, does hereby grant and release unto the party of the second part, the heirs
or successors and assigns of the party of the second part forever,
ALL that certain plot, piece or panel of land, with the buildings and improvements thereon erected, situate,
lying and beingj&Rxk at Fishers Island, Town of Southold, County of Suffolk and
State of New York, being more particularly bounded and described as set forth
on Schedule A hereto.
BEING AND INTENDED TO BE a portion of the same premises conveyed to the party
of the first part by deed recorded in the Office of the Suffolk County Clerk
in Liber 8696 page 104.
SUBJECT TO an easement which is hereby reserved by the party of the first part
for himself and his children, for the storage, maintenance and use of a canoe
or similar watercraft on the above described premises, which easement shall
include the right to use any existing paths for access to and from the site
where such watercraft shall be kept and shall terminate upon the date of death
of the last surviving child of the party of the first part.

TOGETHER with all right, title and interest, if any, of the party of the first part in and to any streets and roads
abutting the above described premises to the center lines thereof; TOGETHER with the appurtenances and all
the estate and rights of the party of the first part in and to said premises; TO HAVE AND TO HOLD the
premises herein granted unto the party of the second part, the heirs or successors and assigns of the party of
the second part forever.
AND the party of the first part covenants that the party of the first part has not done or suffered anything
whereby the said premises have been encumbered in any way whatever, except as aforesaid.

AND the party of the first part, in compliance with Section 13 of the Lien Law, covenants that the party of the
first part will receive the consideration for this conveyance and will hold the right to receive such consideration
as a trust fund to be applied first for the purpose of paying the cost of the improvement and will apply the same
first to the payment of the cost of the improvement before using any part of the total of the same for any other
purpose. The word "party' shall be construed as if it read "parties" when ever the sense of this indenture so
requires.

All that certain lot or parcel of land, with buildings and improvements thereon erected,
situate, lying and being at Fishers Island in the Town of Southold, County of Suffolk, State
of New York, being bounded and described as follows:
BEGINNING at a monument on the southwesterly line of a road at the most easterly corner
of land now or formerly of Walter Rafferty, said monument being located 910.90 feet South
of a point which is 2588.37 feet West of another monument marking the United States
Coast and Geodetic Survey Triangulation Station "CHOCOMOUNT 2'; and
RUNNING THENCE South 24 degrees 41 minutes 20 seconds West, 247.40 feet to a
monument;
THENCE continuing South 24 degrees 41 minutes 20 seconds West, 15.00 feet to the
shore of Middle Farms Pond, these last two lines abutting northwesterly on said land now
or formerly Rafferty;
THENCE following the meanders of said shoreline southerly, southwesterly and southerly
about 1730 feet to land now or formerly of Robert J. Miller;
THENCE South 03 degrees 15 minutes 27 seconds East, 436.40 feet to an iron pin,
abutting westerly on said land now or formerly of Miller;

THENCE following the meanders of said shoreline westerly, northwesterly, northerly and
