BETWEEN M. BAGLEY REID, now residing at 5414 Tuckahoe Avenue, Richmond,
Virginia 23226; B. SCOTT REID, now residing at 1727 Peter Street, N.W., Apt. C,
Washington, D.C. 20002; JAMES G. REID, now residing at 341 Lexington Avenue,
Richmond, Virginia 23225; and BAGLEY REID, now residing at (no #) Central Avenue,
Fishers Island,New York 06390; individually,party of the first part, and
FLAT ROCK, LLC, 901 East Byrd Street, Suite 1100,Richmond, Virginia 23219, a
Virginia limited liability company, party of the second part,
W' I T N E S S E T H:that the party of the first part, in consideration of Ten Dollars
($10.00), and other valuable consideration, paid by the party of the second part does
hereby grant and release unto the party of the second part,the heirs or successors and
assigns of the party of the second part forever.
ALL that certain plot, piece or parcel of land, with the buildings and improvements
thereon erected, situate, lying and being at Fishers Island, Town of Southold, County of
Suffolk and State of New York,being bounded and described as follows:
See SCHEDULE A attached hereto and made a part hereof.
TOGETHER with all right, title and interest, if any, of the party of the first part in and to
any streets and roads abutting the above described premises to the center lines thereof,
TOGETHER with the appurtenances and all the estate and rights of the party of the first
part in and to said premises; TO HAVE AND TO HOLD the premises herein granted unto
the party of the second part, the heirs or successors and assigns of the party of the second
part forever.
AND the party of the first part covenants that the party of the first part has not done or
suffered anything whereby the said premises have been encumbered in any way whatever,
except as aforesaid.
AND the party of the first part, in compliance with Section 13 of the Lien Law, covenants
that the party of the first part will receive the consideration for this conveyance and will hold
the right to receive such consideration as a trust fund to be applied first for the purpose of
paying the cost of the improvement and will apply the same first to the payment of the cost
of the improvement before using any part of the total of the same for any other purpose.
The word "party" shall be construed as if it read "parties" whenever the sense of this
indenture so requires.

ALL that certain plot, piece or parcel of land, with the buildings and improvements thereon
erected, situate, lying and being at Fishers Island, Town of Southold, County of Suffolk and State
of New York, being bounded and described as follows:
BEGINNING at a monument on the Northerly line of Central Avenue, said monument being
3602.00 feet North of a point which is 729.00 feet West of another monument marking the United
States Coast and Geodetic Survey Triangulation Stations"PROS" and thence running along the
northeasterly line of said avenue North 67 degrees 18 minutes 00 seconds West 79.65 feet to a
drill hole in a wall; thence North 3 7 degrees 42 minutes 00 seconds East 177.15 feet; thence
South 76 degrees 23 minutes 00 second East 77.95 feet; thence South 54 degrees 52 minutes 10
seconds East 132.63 feet to the Northwesterly line of said avenue; thence along said avenue line
South 55 degrees 18 minutes 20 seconds West 133.85 feet; thence along the Northerly line of said
avenue West 109.00 feet to the point of beginning.
BEING the same real estate conveyed to Bagley Reid by deed from Ocean Pond Corporation
dated March 4, 1975 and recorded March 17, 1975 in the Clerk's Office, Circuit Court, Suffolk
County, New York in Liber 7811, page 108. AND BEING the same real estate conveyed to M.
Bagley Reid, B. Scott Reid, and James G. Reid by deed from Bagley Reid i) dated December 19,
1989, recorded January 8, 1990 in the aforesaid Clerk's Office in Liber 10995, page 141; ii)dated
April 3, 1991, recorded April 22, 1991, in the aforesaid Clerk's Office in Liber 11250, page 560;
iii)dated May 13, 1992, recorded June 9, 1992, in the aforesaid Clerk's Office in Liber 11480,
