BARGAIN AND SALE DEED
THIS INDENTURE, made as of the 14th day of June, 2011 between 64300
MAIN ROAD SOUTHOLD LLC, a New York limited liability company, having an office c/o
Kriss & Feucrstein LLP, 360 Lexington Ave, Suite 1200, New York, NY 10017 ("Grantor")
and MILL CREEK PARTNERS LLC, a New York limited liability company, having an office
c/o Goggins & Palumbo, 13235 Main Road,. Mattituck, New York 11952 ("Grantee").
WITNESSETH:
That Grantor, in consideration of Ten Dollars ($10~00) and .other valuable
consideration paid by Grantee, does hereby grant and release unto Orantee, the heirs or
successors and assigns of Grantee forever, all that plot, piece or parcel of land, with the buildings
and improvements thereon erected, situate, lying and being in the County of Suffolk and State of
New York, and known as 64300 Main Road, Southold, NY (the "Premises"), as more
particularly described on Exhibit A annexed hereto and made a part hereof.
Together with all right, title and interest, if any, of Grantor in and to any streets
and roads abutting the above described premises to the center lines thereof;
Together with the appurtenances and all the estate and fights of Grantor in and to
said premises; and
Subjgct to such liens, agreements, covenants, easements, restrictions, consent~ and
other matters of record as pertain to the Premises.
TO HAVE AND TO HOLD the premises herein granted unto Grantee, thc heirs
or successors and assigns of Grantee, forever.
AND, the party of the first part covenants that the party of the first part has not
done or suffered anything whereby the said premises have been encumbered in any way
whatsoever, except as aforesaid.
AND Grantor, in compliance with Section 13 of the Lien Law, covenants that
Grantor will receive the consideration for this conveyance and will hold the right to receive such
consideration as a trust fund to be applied first for the purpose of paying the cost of the
improvements at the Premises and will apply the same first to the payment of the cost of the
improvements before using any part of the total of thc same for any other purpose.
