THIS INDENTURE,made the 28T'4 day of June nineteen hundred and ninety-six
BETWEEN DUDLEY C. PHILLIPS, now residing at 871 Weed Street, New Canaan, Connecticut 06840,
( ���'r as sole surviving Trustee under those two certain First Amended and Restated Agreements of Trust, each
Lll dated February 16, 1995, between (i) Dudley C. Phillips as Grantor and Nan E. Phillips and Dudley C.
Phillips, as Trustee and (ii) Nan E. Phillips as Grantor and Nan E. Phillips and Dudley C. Phillips as
Poi Trustee, said First Amended and Restated Agreements of Trust, having amended, restated and superseded
those two certain Agreements of Trust, each dated December 6, 1988, between the same parties, as to an
undivided one-half (112) interest with respect to each Trust,

party of the second part, Three Hundred Fifteen Thousand
WITNESSETH,that the party of the first part,in consideration of"Fen-Dollars and other valuable consideration paid
by the party of the second part,does hereby grant and release unto the party of the second part,the heirs or successors
and assigns of the party of the second part forever,
ALL that certain plot,piece or parcel of land,with the buildings and improvements thereon erected,situate,lying and
being in4he at Fishers Island, Town of Southold, County of Suffolk and State of New York, known, shown
and designated as Lot 2 in Block 29 on the Map of Fishers Island Development Corporation, which Map was
filed in the Office of the Suffolk County Clerk on September 25, 1991 as Map No. A421, being more
particularly bounded and described as set forth on Schedule A hereto.
BEING AND INTENDED TO BE Tract No. 1 as described in the two deeds, each dated December 6, 1988,
recorded in the Office of the Suffolk County Clerk in Liber 10784 page 330 and Liber 10784 page 333,
respectively.

TOGETHER with all right,title and interest, if any,of the party of the first part of, in and to any streets and roads
abutting the above-described premises to the center lines thereof; TOGETHER with the appurtenances and all the
estate and rights of the party of the first part in and to said premises; TO HAVE AND TO HOLD the premises herein
granted unto the patty of the second part,the heirs or successors and assigns of the party of the second part forever.
AND the party of the fust part covenants that the party of the first part has not done or suffered anything whereby the
said premises have been encumbered in any way whatever,except as aforesaid.
AND the party of the fust part,in compliance with Section 13 of the Lien Law,covenants that the party of the fust part
will receive the consideration for this conveyance and will hold the right to receive such consideration as a trust fund
to be applied first for the purpose of paying the cost of the improvement and will apply the same first to the payment
of the cost of the improvement befute using any part of the total of the same for:sty other purpose.
The word"party"shall be construed as if it read"parties"whenever the sense of this indenture so requires.
