THIS INDENTURE, made as of _, 1995, between
WALSH PARK BENEVOLENT CORPORATION ( "Granto ") , a Delaware
not-for-profit corporation, having an address c/o John E.
Schmeltzer, III, Esq. , Patterson, Belknap, Webb & Tyler LLP, 1133
Avenue of the Americas, New York, New York 10036-6710, and LUIS
F. HORN AND SUSAN E. HORN ( "Grantee") , having an address at 3
Peter' s Way, Fishers Island, New York 06390.

That Grantor, in consideration of ten dollars ($10 .00)
lawful money of the United States and other good and valuable
consideration paid by Grantee, does hereby grant, bargain, sell,
assign and release unto Grantee, its heirs or successors and
assigns forever., that., dwelling 1_TT l_t. (the 'ITTn - c� nVe the plane
defined by the top of the concrete foundation located on that
certain plot, piece or parcel of land situate, lying and being in
the town of Southold, County of Suffolk, State of New York,
described as:
Lot 3 according to the major subdivision plan
prepared for Walsh Park Benevolent
Corporation and filed in the Office of the
Clerk of the County of Suffolk, State of New
York, as Map No. 8871, on December 22, 1989
( "Filed Map No. 8871") ,
SUBJECT TO all restrictions, covenants and conditions
set forth in the Ground Lease Agreement (the "Lease") , dated as
of May 12, 1994, as amended by an Amendment to Ground Lease
Agreement dated as of September 19, 1994 (collectively, the
"Lease") , between Grantor, as lessor, and Grantee, as lessee, a
Memorandum of Lease with respect to the Lease being intended to
be recorded immediately prior to the recordation of this deed in
the Office of the Clerk of the County of Suffolk, State of New
York; all such restrictions, covenants and easements set forth in
the Lease to apply to and bind Grantee, its heirs, successors and
assigns; and
SUBJECT TO the Declaration of Covenants and
Restrictions recorded in the Office of the Clerk of the County of
Suffolk, State of New York, in Liber 10969 at Page 329 on
November 20, 1989 (the "Declaration") ; and
SUBJECT TO the Intercreditor, Leasehold Recognition and
Security Agreement, to which Grantee is a party, dated as of the
day and year first written above and recorded in the
