Ol{, by and between the TOWN OF SOUTHOLD, having its principal place of business at 53095 Main Road, Southold, NY 11971, hereinafter called the "TOWN" and DVIRKA AND BARTILUCCI CONSULTING ENGINEERS, A DIVISION OF D&B ENGINEERS AND ARCHITECTS, P.C., having its principal place of business at 330 Crossways Park Drive, Woodbury, NY 1179, hereinafter called the "ENGINEER." WITNESSETH: WHEREAS, the TOWN desires to employ the ENGINEER to render professional engineering services as described in the Request for Proposals (RFP) for landfill gas monitoring, dated April 4, 2011; and WHEREAS, the ENGINEER has the expertise and has a thorough knowledge of the performance of such professional engineering services and is qualified to render such professional services; and WHEREAS, the ENGINEER is willing to provide these services for the consideration and upon the terms contained in the ENGEINEER's response to the RFP, dated April 14, 2011 and hereinafter stated, NOW, THEREFORE, in consideration of these premises and of the mutual covenants set forth, the parties hereto agree as follows: · · · '0 SECTION I BASIC SERVICES OF THE ENGINEER 1.1 The services to be performed under this Agreement consist of the performance of professional engineering services related to the monitoring of gas(es) emitted from the Southold Town Landfill, capped as per New York State Department of Environmental Conservation Part 360 Regulations, located at 6155 Cox Lane, Cutchogue, NY 11935, through quarterly measurement and reporting (the "Project"). The scope and budget for specific services to be provided to the TOWN by the ENGINEER are described in the RFP attached to and made part of this Agreement. SECTION II TIME SCHEDULE 2.1 The ENGINEER shall commence performance of the services as described in the RFP upon receipt of written authorization from the TOWN. 2.2 The ENGINEER recognizes that the services under this Agreement are to be performed in character, sequence and timing so that they will be coordinated with the requirements of the TOWN. The schedule for the Project made under this Agreement will be as described in the RFP. SECTION III AMOUNT AND METHOD OF PAYMENT 3.1 Payment for services performed under this Agreement shall be in the amount(s) submitted by the ENGINEER in the ENGINEER's response to the RFP and as agreed to by resolution of the TOWN. 3.2 It is expressly understood and agreed that, in the absence of dispute raised by the TOWN, the ENGINEER will be paid by the TOWN for the services performed WITHIN THIRTY (30) DAYS of receipt of any invoice for services rendered. 4.1 own expense: SECTION IV INSURANCE; LIMITATIONS The ENGINEER shall secure and maintain the following insurance at its 1. Workers Compensation (Statutory, New York State) including Employer's Liability in the statutory amount. 2. Commercial General Liability, including contractual coverage, broad form property damage, bodily injury, completed operations and products coverages with minimum limits of liability of $1,000,000 per occurrence on a combined single limit basis. 3. Automobile Liability - For any owned, non-owned or hired vehicle with minimum limits of liability of $1,000,000 per occurrence on a combined single limit basis. 4. Umbrella Liability (Following Form) Minimum Limits of Liability of $5,000,000 per occurrence. 5. Architects and Engineers Professional Errors and Omissions Liability Insurance with limits of liability of $5,000,000 per claim and $5,000,000 aggregate coverage. 4.2 The ENGINEER shall maintain the policies specified herein for the term of this Agreement find for three (3) years following substantial completion of the ENGINEER's services under this Agreement. Prior to any non-renewal or cancellation of insurance policies ENGINEER shall give the TOWN at least THIRTY (30) DAYS advance written notice. The TOWN shall be named as an additional insured on all policies with the exception of the Architects and Engineers Professional Errors and Omissions Liability Insurance. · · · · · · · · · · · · · · · · · · · · · · 4.3 The TOWN and the ENGINEER recognize the relative risks and benefits of the Project to both parties. The risks have been allocated such that the TOWN agrees, to the fullest extend permitted by law, to limit the liability of the ENGINEER and its consultants or consultants to the TOWN for any and all claims, losses, costs, damages of any nature whatsoever, and claims expenses from any cause or causes, arising out of, resulting from or in any way related to the ENGINEER's or its consultant's or consultants' negligent acts, errors or omissions, so that the total aggregate liability of the ENGINEER and its consultant or consultants shall not exceed the amount of professional liability insurance then available to the ENGINEER, and then available to its applicable consultant or consultants at the time of the settlement or judgment of such claim. It is intended that this limitation applies to any and all liability or cause of action described herein, regardless of legal theory alleged, unless otherwise prohibited by law. 4.4 TOWN and ENGINEER waive all rights against each other and their respective officers, directors, employees and agents for all losses and damages caused by, arising out of or resulting from any of the perils covered by insurance including property insurance applicable to the Project; and, in addition, waive all such rights against subconsultants, subcontractors and all other persons or entities to be listed as insureds or additional insureds under such policies for losses and damages so caused. None of the above waivers shall extend to the rights that any party making such waiver may have to the proceeds of insurance held by the TOWN as trustee or otherwise payable under any policy so insured. 4.5 This Project will not involve the use of contractors or consultants by the TOWN aside from the ENGINEER and thus will not require 3rd party insurance coverage by the TOWN. SECTION V INDEMNIFICATION 5.1 To the fullest extend permitted by law, the ENGINEER shall indemnify and hold harmless the TOWN against all claims, actions, liabilities, losses, damages, and costs, including reasonable attorneys' fees and all other costs of defense to which the TOWN may be subjected, or which it may suffer, which were caused in whole or in part by negligence, error or omission of the ENGINEER or any of its consultants, or anyone retained by or employed by the ENGINEER, in the performance of their services for this Project. 5.2 To the fullest extend permitted by law, the TOWN shall indemnify and hold harmless the ENGINEER and its consultant or consultants against all claims, actions, liabilities, losses, damages, and costs, including reasonable attorneys' fees and all other costs of defense to which the ENGINEER may be subjected, or which they may suffer, which were caused in whole or in part by any act, error or omission of the TOWN or anyone retained by or employed by the TOWN, in the performance its work for this Project, or from the failure to comply with any of the provisions of their contract or the law. This indemnity shall not apply to the extent that the ENGINEER's or its consultants' own negligence caused bodily injury or property damage. 5.3 These indemnification obligations shall survive the completion or termination of this Agreement and shall remain in full fome and effect. SECTION VI DISPUTE RESOLUTION 6.1 This Agreement shall be governed by, and interpreted under, the laws of the State of New York. The venue for mediation or arbitration arising out of this Agreement shall be Nassau County, New York. 6.2 The parties shall negotiate in good faith to resolve to resolve any disputes that arise out of this Agreement. 6.3 The TOWN and ENGINEER may mediate any disputes that arise out of this Agreement at their discretion. The parties shall jointly determine the procedure for conducting the mediation and proceed therewith in good faith. Unless the parties mutually agree otherwise, the parties shall share the mediator's fee and any filing fees equally. A senior level officer with authority to resolve the dispute and significant responsibility for the Project shall attend each mediation session. Mediation shall not toll the applicable statute of limitations. SECTION VII SUSPENSION AND TERMINATION 7.1 This Agreement may be terminated by either party upon at least thirty (30) days' written notice should the other party fail to substantially perform the terms of this Agreement, through no fault of the party initiating the termination. The TOWN's willful failure to make payment in accordance with this Agreement will be considered its failure to substantially perform, and cause for termination by the ENGINEER. In the event of the TOWN's failure to substantially perform, the ENGINEER may elect to suspend its services until the TOWN's failure is cured and all amounts due prior to the suspension, plus any expenses incurred on account of the interruption and resumption of services, are fully paid. The ENGINEER will not be liable to the TOWN for any delay or damages resulting from such suspension of services. 7.2 If any portion of the Project or the services are stopped or suspended, through no fault of the ENGINEER, for more than (30) days in the aggregate, the ENGINEER may terminate this Agreement upon thirty (30) days' written notice to the TOWN. 7.3 In the event of any termination by the TOWN, the ENGINEER will be entitled to compensation for all services and Additional Services performed or furnished, and reimbursable expenses incurred, through the effective date of the termination. SECTION VIII MISCELLANEOUS 8.1 The services, data and opinions provided by the ENGINEER are for the sole use of the TOWN in connection with the Project, are not to be distributed to third parties without written consent of the ENGINEER, and may not be relied upon indefinitely. 8.2 Unless stated herein to the contrary (see Description of Work in the RFP), the TOWN shall be solely responsible for providing any notices or disclosures to public agencies or to the public required by law. 8.3 Certifications provided by the ENGINEER are expressions of professional opinion and shall not constitute a warranty or guarantee. 8.4 This Agreement represents the entire agreement between the parties and supersedes all prior agreements. · · ,0 '0 · · · · ,O · · · · · · · · IN WITNESS WHEREOF, the ENGINEER and the TOWN, acting herein by their duly authorized representatives, have hereunto set their hands this day and year first above written. PROJECT BACKGROUND Based on our review of the RFP, D&B understands that the Town of Southold (the Town) is seeking a qualified environmental consultant to perform periodic landfill gas monitoring at their Southold Landfill in accordance with New York State Department of Environmental Conservation (NYSDEC) requirements for solid waste facilities set forth in 6 NYCRR Part 360. The selected environmental consultant will perform the landfill gas monitoring services for a minimum of two years beginning in the second quarter of2011. The Town may elect to extend the selected consultant's contract for an additional two years. D&B understands that the RFP scope of work includes sampling a total of 15 landfill gas monitoring wells on a quarterly basis and the drafting of quarterly landfill gas monitoring reports. Dvirka and Bartilucci CONSULTING ENGINEERS Mr. James Bunchuck Solid Waste Coordinator April 14,2011 Page 2 QUALIFICATIONS D&B is a full-service environmental engineering consulting firm. D&B has been providing environmental consulting services for over four decades and has a staff of approximately 170 professional engineers, scientists and support personnel specializing in environmental projects. The firm's multidisciplined staff includes civil, mechanical, chemical, environmental, sanitary, electrical and structural engineers, cost estimators, designers and CADD operators, geologists and hydrogeologists, environmental scientists and ecologists, risk analysts, quality assurance specialists, health and safety specialists, citizen participation specialists, resident engineers, and construction inspectors. D&B's corporate headquarters is located in Woodbury, New York, with regional offices in East Syracuse and White Plains, New York, and South Plainfield, New Jersey. D&B's corporate headquarters in Woodbury, New York, will be responsible for supporting the Town of Southold with this important environmental assignment. As you are aware, D&B has successfully completed a number of assignments for the Town of Southold involving the 34-acre municipal solid waste landfill including: closure investigations, monitoring well installation and sampling, landfill closure design and construction management associated with the capping/closure of the landfill. D&B has over 25 years of experience in all phases of landfill development, design, operations, closure and related systems, including landfill gas and landfill gas condensate management systems. As a result of our experience in landfill studies, design and construction inspection in New York State, we are thoroughly familiar with the requirements of the Part 360 Regulations and the NYSDEC policies and procedures which govern development of new landfills, landfill related systems and closure of former landfills. As a result of our landfill-related experience in New York State, we have an excellent working relationship with the New York State Department of Environmental Conservation (NYSDEC), both in the Albany and regional offices. We are also equally familiar with the NYSDEC Local Government Regulatory Relief Initiative - Guidance on Landfill Closure Regulatory Relief and preparation of Landfill Closure Variance Requests to reduce the cost of landfill closure. D&B was instrumental in negotiating NYSDEC approval ora number of variance requests on behalf of many local municipalities. We have included as Attachment A to this letter a brief summary of projects that D&B has completed or that are currently ongoing that focuses on monitoring at solid waste facilities. While Attachment A is far from a complete listing of all monitoring projects completed by D&B in recent years, we believe that it provides sufficient detail to clearly demonstrate D&B~s competency in the management and execution of the scope of work required as part of this RFP. As required by the RFP, Attachment A demonstrates that D&B has well over five years of experience in completing monitoring programs consistent with NYSDEC protocols and requirements. · Dvirka and Bartilucci CONSULTING ENGINEERS Mr. James Bunchuck Solid Waste Coordinator April 14, 2011 Page 3 TECHNICAL APPROACH AND SCHEDULE Proiect Mobilization D&B understands that there are a total of 15 landfill gas monitoring wells to be sampled quarterly as part of the RFP scope of work. Prior to undertaking any field work, D&B will draft a site-specific health and safety plan for use by our field sampling team that presents the potential contaminants of concern, the on-site scope of work, suspected hazards associated with this work and their appropriate controls. The HASP will address all work to be completed at the landfill and present an emergency contact telephone sheet with all pertinent emergency agencies. The plan will provide a map identifying the hospital emergency room located closest to the landfill. Written directions to the hospital emergency room will ~ISO b~ included2 In addition, prior to starting the project, D&B will meet with the Town's landfill management team in order to plan the work and to establish lines of communication between the Town and D&B. Landfill Gas Monitoring Each of the 15 landfill gas monitoring wells will be sampled utilizing a Landtec GEM 2000 Plus landfill gas analyzer. D&B will measure and automatically log the following parameters: · Temperature, in Celsius · Oxygen, by percent · Carbon Monoxide, in Parts Per Million (PPM) · Hydrogen Sulfide, in PPM · Combustible Gas, by percent of Lower Explosive Limit (% LEL) In addition, weather conditions such as ambient temperature, wind direction and speed, sky condition and precipitation, will be documented during each sample round. Reposing Each quarterly letter report will include the following: · A description of the sampling methods used for obtaining the landfill gas samples. · A summary table of all recorded field measurements. · · Dvirka and Bartilucci CONSULTING ENGINEERS · · · · · · · :0 · · · · · · · · · · · Mr. James Bunchuck Solid Waste Coordinator April 14, 2011 Page 4 · A figure showing the location of each of the monitoring wells sampled. · A summary table of all recorded landfill gas measurements collected during the quarterly sample round: · A second table will be included that compares the current sample round data with previous sample round data in order to identify any apparent trends in the data. · Each report will include a summary discussion of the data including a comparison to previous sample data. The report will include an evaluation of the potential exposure of persons on and off-site of the landfill to combustible gases. Schedule D&B antieipates completing the monitoring of all 15 landftl~ gas monitoring wells within one day utilizing a one-man crew. D&B would combine this work with the planned quarterly groundwater sampling in order to reduce the costs associated with this effort. D&B will provide the Town with a draft quarterly report within two weeks of completing the sampling. Therefore, D&B will easily meet the stated RFP deadlines with regard to report deliverables. OVERVIEW OF THE PROJECT TEAM In order to undertake this project and satisfy the technical and administrative requirements described in the Town's RFP, we have assembled a unique team of experienced and highly qualified professionals within the firm. These individuals are thoroughly familiar with completing landfill gas monitoring pr·grams in accordance with NYSDEC requirements. 'The following is a summary of the key project staff and th6ir roles and responsibilities. Note that if needed, D&B can provide full resumes for the following individuals. Mr. Thomas P. Fox will serve as Project Director for this important assignment. Mr. Fox is a Vice President with the firm and a registered Professional Geologist with over 22 years of experience covering a broad range of groundwater monitoring programs, environmental investigation projects and remediation projects working for private and governmental clients. Mr. Fox has successfully completed a number of projects involving groundwater monitoring at solid waste facilities including the East Northport Landfill and the Southampton Town Landfill. Mr. Fox has extensive experience in managing complex, multidisciplinary projects and has been involved in more than 150 environmental assessments, investigations and remediations of commercial and industrial properties located throughout New York State. Mr. Fox will be responsible for the review of all documents before submission to the Town as well as ensuring that adequate resources are available to successfully complete the project. Serving as the firm's Project Manager for this assignment, Mr. Anthony M. Caniano will be responsible for the day-to-day management of the project and will communicate directly with the Town's project manager. Mr. Caniano will be working daily with Mr. Fox to ensure that ,O · · · Dvirka and Bartilucci CONSULTING ENGINEERS Mr. James Bunchuck Solid Waste Coordinator April 14, 2011 Page 5 sampling activities are conducted efficiently and are adequately documented. Mr. Caniano has over 9 years of experience and currently serves as the project manager for the Town of Brookhaven's Landfill Groundwater Monitoring Program. Edward J. Reilly, an Associate of the finn, will serve as [he Senior Landfill Engineer for this project. Mr. Reilly has over 30 years of experience in all phases of landfill design, development, operation, closure and post closure monitoring and maintenance. Mr. Reilly's experience involves work at more than 12 local municipal landfills in Suffolk County, Nassau County and New York City, including the Town of Southold's Landfill. Many of these activities involved leachate collection systems, landfill gas monitoring and landfill gas management systems, post- closure monitoring and maintenance, groundwater remediation, as well as instruction of personnel. Mr. Reilly is well versed in the requirements of 6 NYCRR Part 360 and will oversee the preparation of the Quarterly Reports. Report preparation will be the responsibility of Mr. Caniano and Paul Barusich, who both have extensive experience in the preparation of landfill monitoring program reports. The field team leader for the landfill gas sampling program will be Mr. Barusich, who is an environmental scientist with D&B. Mr. Barusich has implemented groundwater and gas sampling programs for various projects in accordance with NYSDEC requirements and protocols. PROJECT COSTS In accordance with the Town's RFP, provided as Attachment B to this letter is D&B's completed "Contractor Cost Proposal - Quarterly Gas Monitoring Schedule" for our proposed costs from 2011 through 2015.
