THIS INDENTURE, made the day of SEPTEMBER, in the year 2010,

WITNESSETH, that the party of the first part, in consideration of SIX HUNDRED SEVENTY
THOUSAND DOLLARS and no cents ($670,000.00) paid by the party of the second part, does hereby
grant and release unto the party of the second part, the heirs or successors and assigns of the party of the
second part forever,
ALL that certain plot, piece or parcel of land, with the buildings and improvements thereon erected,
situate, ly/ng and being at Indian Neck, near Peconic, Town of Southold, County of Suffolk, and State of
New York, being described in Schedule "A" attached hereto and made a part hereof.
BEING AND INTENDED TO BE the same premises conveyed to the Grantor by deed made by THE
NATURE CONSERVANCY dated September 1, 1993 in Liber 11645 Page 947. ~
TOGETHER with all right, title and interest, if any, of the party of~e first part in and to any streets
and roads abutti.ng the above described premises to the center lines th'ereo/~ TOGETHER with the
appurtenances and all the estate and rights of the party of the first part in and to said premises; TO
HAVE AND TO HOLD the premises herein granted unto the party of the second 'part, the heirs of
successors and assigns of the party, of the second part forever.
AND the party of the first part covenants that the party of the first part has not done or suffered an3ahing
whereby the said premises have been encumbered in any way whatever, except as aforesaid.
AND the party of the first part, in compliance with Section 13 of the Lien Law, covenants that the party
of the first part will recei;ee the consideration for his conveyance and will hold the fight to receive such
consideration as a trust fund to be applied first for the purpose 0fpaying the cost of the improvement
and will apply the same first to the payment of the cost of the improvement before using any part of the
· total of the same for any other purpose. The word "party" shall be construed as if it read "parties"
whenever the sense of this indenture so requires.

County of Suffolk and State of New York, bounded and described as follows:
BEGINNING at a point on the northerly side of a 20 foot right-of-way at the
southwesterly corner of the premises herein described adjoining lard now or formerly of
Lang On the west;
RLrNNING THENCE along said land of Lang, North 3 degrees 48 minutes 30 seconds
East. 296.00 feet to ordinary high water line of Richmond Creek;
RUNNING THENCE along said ordinary high water line of Richmond Creek, North 70
degrees 49 minutes 10 seconds East, 81.47 feet to land now or formerly of Lawther,
formerly of Brest;
RUNNING THENCE along said last mentioned land South 3 degrees 48 minutes 30
seconds West, 311.00 feet to a monument on the northerly side of said 20 foot
right-of-way;
RUNNING THENCE along the northerly side of said 20 foot right-of-way, South 81
