BARGAIN AND SALE DEED
· THIS INDENTURE, made as of May 27, 2010, between WALSH PARK
BENEVOLENT CORPORATION ("Grantor"), a Delaware not-for-profit corporation, having an
address c/o John E. Schmeltzer, III, Esq., Patterson Belknap Webb & Tyler LLP, 1133 Avenue
of the Americas, New York, New York 10036-6710, and GEORGE PEABODY and
KIMBERLY PEABODY (collectively, "Grantee"), having an address at 4 Peter's Way, Fishers
Island, New York 06390.
WITNESSETH:
That Grantor, in consideration of ten dollars ($10.00) lawful money of the United
States and other good and valuable consideration paid by Grantee, does hereby grant, bargain,
sell, assign and release unto Grantee, its heirs or successors and assigns forever, that dwelling
unit (the "Unit") above the plane defined by the top of the concrete foundation located on that
certain plot, piece or parcel of land situate, lying and being in the Town of Southold, County of
Suffolk, State of New York, described as Lot 4 according to the major subdivision plan prepared
for Walsh Park Benevolent Corporation and filed in the Office of the Clerk of the County of
Suffolk, State of New York, as Map No. 8871, on December 22, 1989 ("Filed Map No. 8871"),
and more particularly described in Schedule A attached hereto; BEING AND INTENDED to be
the same dwelling unit as conveyed to the Grantor by deed from Thomas J. Suedmeier and
Carmen M. Suedmeier, dated November 7, 1999 and recorded in the Suffolk County Clerk's
Office on December 2, 1999 in Liber 12004 Page 512.
SUBJECT TO all restrictions, covenants and conditions set forth in the Ground
Lease Agreement, dated.as of November 23, 2009 (the "Lease"), between Grantor, as lessor, and
Grantee, as lessee, a Memorandum of Lease with respect to the Lease being intended to be
recorded immediately prior to the recordation of this deed in the Office of the Clerk of the
County of Suffolk, State of New York; all such restrictions, covenants and easements set forth in
the Lease to apply to and bind Grantee, its heirs, successors and assigns; and
SUBJECT TO the Declaration of Covenants and Restrictions recorded in the
Office of the Clerk of the County of Suffolk, State of New York, in Liber 10969 at Page 329 on
November 20, 1989 (the "Declaration"); and
SUBJECT TO the covenants and restrictions set forth on Filed Map No. 8871;
TOGETHER with the appurtenances and all the estate and rights of Grantor in
and to said Unit;
TO HAVE AND TO HOLD the Unit herein granted unto Grantee, its heirs or
successors and assigns forever.
AND Grantor, in compliance with Section 13 of the Lien Law, covenants that it
will receive the consideration for this conveyance and will hold the right to receive such

consideration as a trust fund to be applied first for the purpose of paying the cost of the
improvement before using any part of the total of the same for any other purpose.
Grantee accepts this deed and the Unit as satisfaction in full of the obligations of
Grantor under Section 12.1 of the Lease and accepts the Unit as is, where is, in its condition on
the date hereof and without any warranty or representation, express or implied.

the day and year first written above.
