THIS INDENTURE, made as of June 23, 2010, by AUDREY N. LUDEMANN,
residing at 32 Saddle Ridge Road, Wilton, Connecticut 06897, hereinafter referred to as
"Grantor", and AUDREY NOYES LUDEMANN, AS TRUSTEE OF THE AUDREY
NOYES LUDEMANN QUALIFIED PERSONAL RESIDENCE TRUST dated
September 25, 2009, having an address at 32 Saddle Ridge Road, Wilton, Connecticut
06897, hereinafter referred to as the "Grantee", (the words "Grantor" and "Grantee" to
include their respective heirs, successors and assigns where the context requires or
permits).
WITNESSETH, that Grantor, in consideration of the sum of Ten Dollars
($10.00), lawful money of the United States, and other valuable consideration in hand
paid by the Grantee, does hereby grant and release and quitclaim unto the Grantee forever
all that certain plot, piece or parcel of land with the buildings and improvements thereon
erected, situate, lying and being in the Town of Southold, County of Suffolk, State of
New York as more particularly described on Exhibit "A" attached hereto and
incorporated herein by this reference (hereinafter referred to as the "Property").
BEING and intended to be the same premises as conveyed to Audrey N.
Ludemann from Richard C. Edwards and Barbara A. Edwards, by deed dated as of March
30, 1999 and recorded on April 21, 1999 with the Suffolk County Clerk's Office in Liber
11958 Page 708.
TOGETHER with all right, title and interest, if any, of the Grantor, in and to any
streets and roads abutting the Property to the center lines thereof,
TOGETHER with the appurtenances and all the estate and rights of the Grantor
and to said Property,
TO HAVE AND TO HOLD the Property herein granted unto the Grantee, the
heirs or successors and assigns of the party of the Grantee forever. Grantor is the owner
of the Property. The Property is not located in an agricultural district.
AND the Grantor, in compliance with Section 13 of the Lien Law, hereby
covenants that Grantor will receive the consideration for this conveyance and will hold
the right to receive such consideration as a trust fund to be applied first for the purpose of
paying the cost of the improvement and will apply the same first to the payment of the
cost of the improvement before using any part of the total of the same for any other
purpose. The word "party" shall be construed as if it reads "parties" whenever the sense
of this indenture so requires.

situate, lying and being at Fishers Island in the Town of Southold, County of Suffolk, and
State of New York, bounded and described as follows:
BEGINNING at a monument at an angle in the southeasterly line of Madeline Avenue,
said monument being located 4270.89 feet north of a point which is 676.81 feet west of a
monument marking the U.S. Coast and Geodetic Survey Triangulation Station "Pros";
THENCE running along said road line on the following courses: North 87 degrees 36
minutes 00 seconds East, 153.21 feet to a monument, and North 68 degrees 50 minutes
00 seconds East, 131.02 feet to a monument, and North 80 degrees 54 minutes 15
seconds East, 18.00 feet; '
THENCE South 16 degrees 43 minutes 20 seconds West, 262.12 feet to an iron pipe;
