THIS IS TO CERTIFY THAT THE FOLLOWING RESOLUTION WAS
ADOPTED AT A REGULAR MEETING OF THE SOUTHOLD TOWN BOARD
HELD ON AUGUST 29, 2000:
Resolved that the Town Board of the Town of Southold hereby authorizes
and directs Supervisor Jean W. Coehran to execute an agreement with
Nelson, Pope and Voorhis regarding the LWRP to prepare a Conservation
Subdivision and preparation of a draft ordinance according to the terms and
conditions set forth in the proposal for services dated August 13, 2000 for
the sum of $4,000.00

AGREEMENT
THIS AGREEMENT, made this ~ day of September, 2000 between the TOWN
OF SOUTHOLD, a municipal corporation of the state of New York, having its office
and principal place of business at 53095 Main Road, Southold, New York 11971,
hereinafter called the "Town" and, Nelson, Pope & Voorhis, LLC, 572 Walt
Whitman Road, Melville, New York 11747 hereinafter called the "Contractor".
WHEREAS, the Town of Southold did heretofore request and receive a proposal
from the Contractor to perform all the work required for the preparation of a draft
ordinance to implement a conservation subdivision related to the Local Waterfront
Revitalization Plan, in the amount of four thousand dollars ($4,000.00)
WHEREAS, the Town of Southold accepted the proposal of the Contractor on the
29th of August, 2000.
NOW, THEREFORE, IT IS AGREED AS FOLLOWS:
1. The Contractor does hereby agree to perform all the work required to perform
and complete work related to a preparation of a draft ordinance in relation to a
conservation subdivision regarding the Local Waterfront Revitalization Plan in
accordance with the plans, contractor's proposal and all conditions set forth in
the correspondence document entitled "Conservation Subdivision Preparation of
Draft Ordinance Proposal for Services, NP&V Job No. 99191 dated August 13,
2000, including attached exhibits, which is annexed hereto and made part of this
contract.
2. The Town does hereby agree to pay the Contractor for the work, up to and
including the total sum of Four Thousand Dollars ($4,000.00) within sixty (60)
days of the completion of said work and the acceptance thereof by the Town.
3. The Contractor shall secure and maintain such insurance that will protect
him/her from claims under the Worker's Compensation Acts and from claims
for bodily injury, death or property damage which may arise from the
performance of his services under this Agreement, in limits of $1,000,000 and
$2,000,000 aggregate liability for bodily injury and property damage. The
Contractor shall indemnify and hold harmless the Town from and against all
suits, claims, demands or actions for any injury sustained or alleged to be
sustained by any party or parties in connection with the alleged negligent
performance or negligent performance by the Contractor, his employees or
agents or any subcontractor and in case of any such action brought against the
Town, the Contractor shall immediately take charge of and defend the same at
his own cost and expense. In addition, the Contractor will name the Town as an
additional insured on any applicable policies.
4. Contractor agrees that any "Change Orders" shall be in writing and effective
after mutual consent in writing.
5. IN WITNESS WHEREOF, the parties hereto have set their hands and seals the
day and year first above written.

As per discussions with Ben Orlowski, it has been determined that staff time to
write this proposed ordinance cannot be spared due to other pending deadlines
on LWRP- and transportation-related projects.
As a result, I was authorized to begin preliminary discussions with Timothy
Hopkins of the Suffolk County Water Authority and with Charles Voorhis of
Nelson, Pope & Voorhis, LLC, to determine the cost of obtaining outside
assistance to draft this ordinance.
VVhile I have not managed to contact Mr. Hopkins, yet, it is anticipated that he will
most likely be providing assistance in accordance with the SCWA's original grant
of money and in-kind services on the water supply management and watershed
protection project. Mr. Voorhis, our last consultant on this project, has prepared
a Proposal for Services, a copy of which is attached.
Please place this item on the Town Board work session of August 29th to discuss
the attached proposal from Mr. Voorhis and to discuss the time-frame within
which this draft ordinance is to be prepared.
If Mr. Orlowski's presence will be required, please contact Carol to set aside a
time when he would be able to attend the work session.

Dear Valerie:
As per your request, this proposal for services provides you with a scope and cost for the
preparation of a draft ordinance to implement the conservation subdivision for the Town of
Southold. The following services and costs are proposed:
l. Review prior Suffolk County Planning Commission Conservation Subdivision Legislation.
2. Review Water Supply Management & Watershed Protection Strategy and sU'ategy preparation
notes.
3. Meet with Town Planner to coordinate and discuss Cohservation Subdivision Concept.
4. Perform Planning Advisory Services review of other municipal conservation subdivision
ordinances and review Town of Southampton Draft Agricultural Lands Overlay District
legislation.
5. Prepare draft legislation for the Southold Zoning Code that implements the "conservation
subdivision" process within the Watershed Protection Zone in consideration of Tasks 1-4.
Fee: Time Rates
Budget ($4,000.00)
Work will be performed by AICP level senior planning or partner level staff. Work will be
coordinated with Town planning stall' to ensure best product. Follow-up Will be provided as ma
additional time rate billable task on an as needed basis at the request and discretion of the Town
of Southold.
