Cochran, or Deputy Supervisor William D. Moore, to execute an agreement with Terry Contracting and Materials, Inc. ("Terry Contracting") to accept the delivery of approximately 5,000 cubic yards of fill at the Town of Southold Landfill. Terry Contracting to pay the Town $8.00 per cubic yard of fill. The fill shall meet the requirements established by Dvlrka and Bartilucci and shall come exclusively from the property of George's Sanitation Service, Mid Hampton Road, Quogue, New York, all in accordance with the approval of the Town Attorney. Southold Town Clerk August 17, 1999 * * * DRAFT PROPOSED CONTRACT* * RE: "GEORGE'S SANITATION FILL" August 9, 1999 Bob Terry Terry Contracting & Materials, Inc. 840 West Main St. Riverhead, NY 11901 Dear Mr. Terry: I am writing in response to your offer to deliver fill to the Town of Sonthold for use as grading material at the Cut~hogue Landfill. As you discussed with our engineering consultants Dvirka and Bartilucei, and with Jim Bunchuck of my staff, your offer is to deliver approximately 5,000 cubic yards of fill at a fee of $8 per cubic yard, to be paid by Terry Contracting and Materials, Inc., to the Town at the time of delivery. The Town is prepared to accept the fill on this basis. Should this be acceptable to both parties, the Town and Terry Contracting & Materials, Inc. also agree to the following: 1) The source of the fill delivered to the Town under this agreement shall be exclusively the pwperty at George's Sanitation Service, Mid Hampton Rd., Quogue, NY. Tbe fill to be delivered shall be limited to the stockpile viewed by Dave Glass of Dvirka and Bartilucci, on behalf of the Town of Southold, on July 23, 1999, and approved in writing by the DEC in a letter to the Town dated July 27, 1999 (see Attachment 'A') 2) The fill delivered to the Town under this agreement shall posses thc same chemical and physical/geoteehnical characteristics as that described in the representative sample analyses you provided the Town in May and June1999, and which was ~wiewed and approved for use as grading material at the Sonthold landfill by the DEC (see Attadm~ont 'B'). 3) Terry Contracting and Materials, Inc. shall certify to the accuracy of the test report specified in paragraph 2 with respect to material to be delivered to the landfill. Teny Contracting & Materials, Inc. 8/9/99 Letter re: George's fill p. 2 4) Employees at the Town landfill will visually inspect each load delivered for cleanliness and other physical makeup. Based on these inspections, the Town reserves the right to reject any load for apparent non-compliance, in which case the load will not be dumped, but will be removed from the landfill by Terry Coning and Materials, Inc., at no cost to the Town. At the Town's sole option, any fill delivered and unloaded at the Cutchogue landfill under this agreement that is later judged by the Town, based on visual inspection, to be in apparent non-compliance shall be subject either to removal by Terry Contracting at no cost to the Town, or subsequent chemical and/or geoteclmical testing as described in paragraph (2) above, also at no cost to the Town. Any fill delivered under this agreement that is found, through testing, to be unacceptable due to non-compliance with the chemical and/or geoteehnical standards set forth in paragraph (2) above shall be removed by Terry Contracting at no cost to the Town. Rejected material shall be removed within 15 business days. 5) ff requested by the Town, Terry contracting will agree to provide the Town with 24 hours advance notice of the time, date, and quantity of each delivery. 6) Prior to the delivery of any fill to the Town under this agreement, Teny Contracting agrees to provide the Town with a list of mlcks and/or trailers to be used for delivering the fill along with the volumetric capacities of each vehicle. The information shall include the license plate #, water level capacity in terms of cubic yards, and amount of fill expected to be hauled in each vehicle should it be either greater or less than the water level capacity for any reason. The information shall be provided to the Solid Waste Coordinator. Terry Contracting agrees to provide the same information for any ~d_&itional vehicles it may use under the conlx-act that are not on the original list, such information to be provided before said vehicle delivers its first load. The Town reserves the right to check the capacity of any truck and/or trailer used by Teny Contracting under this agreement, either through talcing measurements of volume or through calculating vehicle weights (loaded and/or tare) using the Town's truck scales loca~l at the Cutcbogue landfill. Actual payment for deliveries by Terry Contracting shall be based on measurements made by and the records maintained by the Town. 7) Terry Contracting shall dump the deliveries of acceptable material at the locations specified by the Town. 8) 9) Terry Contracting & Materials, Inc. will comply with all applicable federal, state, and local laws and regulations concerning transportation of the fill material. Either party may terminate this agreement, for any reason, with at least 24 hours notice to the other party. Such termination will not absolve either party of their responsibilities under this agreement while the agreement was in effect. A signed copy of this letter will constitute a contract between Terry Comraeting & Materials, Inc. and the Town of Southold. Please sign below if the above terms are aeceptable, and return a copy to me. Upon my receipt of the signed conhact, deliveries of fill to the landfill may begin at any time. The Department has reviewed the analytical data provided and has no objection to the use of the material as alternate grade at the Southold Landfill as long as it is used only beneath the geomembrane liner. Terry Contracting & Materials, Inc will deliver approximately 5,000 cubic yards if fill at a fee of $8 per cubic yard, to be paid by Terry Contracting and Materials, Inc. on a monthly basis to the Town of Southold. In addition, the Town of Southold will submit monthly invoices to Terry Contracting and Materials, Inc. and payment thereafter must be made to the Town of Southold within 30 days of the invoice date.
