Box 1179 Southold, New York 11971 Fax (516) 765-1823 Telephone (516) 765-1800 THIS IS TO CERTIFY THAT THE FOLLOWING RESOLUTION WAS ADOPTED BY THE SOUTHOLD TOWN BOARD AT A REGULAR MEETING HELD ON AUGUST 5, 1997: RESOLVED that the Town Board of the Town of Southold hereby authorizes and directs Supervisor Jean W. Cochran to execute an agreement between the Town and John Henry Ship, retired Southold Town Police Department Sergeant, for payment of his accumulated unused vacation and sick days, all in accordance with the provisions of the PBA contract. Said agreement as prepared by the Town Attorney. Judith T. Terry Southold Town Clerk August 6, 1997 THIS AGREEMENT, made this .~ day of July, 1997, is between the TOWN OF SOUTHOLD, a municipal corporation of the State of New York, having its principal office at 53095 Main Road, Southold, New York, hereinafter called the "Town," and JOHN HENRY SHIP, residing at 100 Grand Avenue, Mattituck, New York, hereinafter called "Ship." WHEREAS Ship was a Police Officer in the Town's Police Department, and WHEREAS, Ship's position is within the employee organization which represents the uniformed police officers of the Town, and accordingly the terms and conditions of employment of Ship is provided for by the PBA contract between the Town and the PBA, and WHEREAS, Ship retired from the Town's Police Department on June 12, 1997, and WHEREAS, upon so retiring, Ship accumulated a certain number of unused vacation days and sick days and under the applicable provisions of the PBA contract is entitled to receive compensation for accumulated unused vacation days and sick days, and WHEREAS, the Town and Ship are desirous of entering a formal agreement specifying the manner in which Ship will receive this compensation. NOW, THEREFORE, IT IS AGREED AS FOLLOWS: 1. The Town does hereby recognize: (a) that Ship has two hundred sixty- one (261) sick days on the books, seventy-five (75) of which are to be compensated separately so that Ship is entitled to be compensated under this retirement contract for one hundred eighty-six (186) sick days and fifty-three (53) vacation days, and (b) further recognizes that, under Ship's annual salary at the time of retirement, Ship was compensated at a daily rate of $331.69 and (c) that, therefore, Ship is entitled to be compensated a total of $79,273.91 as shown on Schedule A annexed hereto and incorporated herein. 2. The Town shall make payment of the above said amount in three (3) payments (less a withholding of appropriate federal and state wage and social security deductions). The Town's first payment of $9,840.15 will be made on the first payroll period in January, 1998. The second payment in the amount of $34,716.88 will be made on the first payroll period in January, 1999. The third payment in the amount of $34,716.88 will be made on the first payroll period in January, 2000. 3. In the event of the occurrence of Ship's death prior to the first payroll period in January, 2000, then said money shall go to his estate. 4. Notwithstanding the foregoing provisions of the agreement, it is understood and agreed that the terms and conditions thereof, including compensation, is subject to such changes or revisions as may, from time to time, be mutually agreed to by the parties hereto.
