REVIEWED BY ATTORNEYS FOR SELLER AND PURCHASER BEFORE SIGNING.
THIS INDENTURE, made the /~/'kday of March, 2010, between CAROLINE
BOYAR and MARY GW1NNE MCNEILLY DOHERTY, as Co-Executrices of the ESTATE OF
BARBARA MARIE MCNEILLY, One Corwin Court, Newburgh, New York 12550, late of
Orange County, New York who died on the 8th day of April, 2009, party of the first part, and
CAROLINE BOYAR, residing at 79 Cypress Lane, Briarcliff Manor, New York 10510, and
MARY GW1NNE MCNEILLY DOHERTY, residing at 73 Canaan Road, New Paltz, NY 12561,
party of the second part,
WITNESSETH, that the party of the first part, to whom Letters Testamentary were
issued by the Surrogate's Court, Orange County, New York on the 8th day of May, 2009, and by
virtue of the power and authority given in and by Article 11 of the Estates, Powers and Trusts
Law, to CONFIRM the grant of the following described premises to said parties of the second
part in Paragraph FIFTH of the Last Will and Testament of said BARBARA MARIE
MCNEILLY, dated June 18, 2007, and admitted to probate in Orange County, New York as
aforesaid, does hereby grant and release unto the parties of the second part, the distributees or
successors and assigns of the parties of the second part forever, as tenants in common with no
right of survivorship,
ALL THE RIGHT, TITLE AND INTEREST OF SAID BARBARA MARIE MCNEILLY
AND HER ESTATE (BEING A ONE-HALF INTEREST) IN AND TO ALL THAT
CERTAIN PIECE OR PARCEL OF LAND, together with the.~buildings and improvements
thereon, situate, lying and being at Bayview near Southold, in the T6wn of Southold, County of
Suffolk and State of New York particularly described as follows: 5k
BEGINNING at a point on the northerly line of an existing road or right of way 170.7
feet southwesterly along said line from the westerly line of North Bayview Road, said point
being the southwesterly comer of land of Howard A. Toedter, lnc.;
RUNNING thence along the northerly line of said road or right of way South 61 degrees,
47 minutes, 20 seconds West 149.3 feet to a concrete monument;
THENCE along other land of the party of the first part North 29 degrees, 12 minutes, 40
seconds west 215 feet more or less to ordinary high water mark of Goose Creek;
THENCE northeasterly along said ordinary high water mark of Goose Creek 150 feet;
THENCE along said land of Howard A. Toedter, Inc. South 29 degrees, 12 minutes, 40
seconds East 225 feet more or less, to the point or place of beginning.
Also with a right of way over said, existing road or right of way from the southwesterly
comer of the premises northeasterly to said North Bayview Road.
TOGETHER with all right, title and interest, if any, of the party of the first part in and to
any streets and roads abutting the above described premises to the center lines thereof,
TOGETHER with the appurtenances, and also all the estate which the said decedent had
at the time of decedent's death in said premises, and also the estate therein, which the party of
the first part has or has power to convey or dispose of, whether individually, or by virtue of said
will or otherwise,
TO HAVE AND TO HOLD the premises herein granted unto the party of the second
part, the heirs or successors and assigns of the party of the second part forever.
AND the party of the first part covenants that the party of the first part has not done or
suffered anything whereby the said premises have been encumbered in any way whatever, except
as aforesaid.
AND the party of the first part, in compliance with Section 13 of the Lien Law, covenants
that the party of the first part will receive the consideration for this conveyance and will hold the
right to receive such consideration as a tmst fund to be applied first for the purpose of paying the
costs of the improvement and will apply the same first to the payment of the cost of the
improvement before using any part of the total of the same for any other purpose.
The word "party" shall be construed as if it read "parties" whenever the sense of this
indenture so requires.
IN WITNESS WHEREOF, the party of the first part has duly executed this deed as of
the day and year first above written.
