Americold will &ssign an account representative who will aggressively consult with you on matters relating to your refrigeration needs 2, Tagging of equipment- A member of our service team will tag & bar code your equipmenl to allow easy Iracking of equipment service histories. 3 Amedcold will provide all labor and material required to perform ongoing maintenance thoughout the term of the contract. 4 Americold will provide all labor required to properly service the refrigeration equipment (as listed on attached equipment schedule) from Monday - Saturday between the hours of 8:00am and 5:00pm, This is a labor only contract and does not include parts, 5 Americctd will guarantee response times as follows: General repairs- Same day service Not. emergency service (i.e water leak. cosmetic repairs) 24-48 hours Calls received after 3:00pm will be done next day or on an ovedime basis (at your discretion) 6. Amedcold will be available to prowde emergency service beyond the hours covered under the terms of this contract at anytime day or night, three hundred sixty five days a year at prevailing overtime rates. 7 Service performed on holidays or after 10:00pm will be billed at a 3-hour minimum labor charge THE PURCHASER AGREES: To pay Americold the quarterly sum of $436.00 -- terms may be arranged w/Americold's credit dept 2. Americold wilt bill you for service at a preferred rate of $115.00 per hour for work performed outside the scope of the service contract Weekday calls received after 3:00pm or on weekends/holidays are subject to overtime rates. 3. To supply water in sufficient quantity and electricity of proper characteristics [o operate the equipment IT IS MUTUALLY AGREED: This agreement is not valid or binding until or unless approved in writing by Americold and subject to Pre-Contract sur~ey We reserve the right to require correction of certain pre-existing conditions prior to signing of contract, This agreement is conditioned upon the Purchaser's affirmative and expressed representation to Americold, that the units above stated are at the date of the signing hereof in good working condition and that the Purchaser has not withheld any fact concerning the performance and condition of said units ~he following conditions also apply: This agreement is assignable and transferable upon notice in writing by the Purchaser to Amedcold 2 Americold shall not be required to cover labor for major component failures, ia. system change out, compressors, condensing units, evaporator coils, or equipment deemed obsolete. We shall not cover repairs on water-cooled systems either city water or building tower water, Le water regulator valves, water cooled condenser replacement or cleanings. 3. Americold shall not be required to cover labor for second Technician or Fire Watch labor required by the building regulations for soldering, torch use, moving of equipment, nor the labor or equipment required for rigging 4 Americold shall not be required to make repairs or service the equipment in thc event same has been injured or damaged through thc carelessness IControl wiring accepted). 6 Americold is not responsible for water treatment for water circulating or re-circulating system, Americold, Inc. 200 Broadhollow Road Suite 207 Melville, New York 11747 Phone (631) 262-7964 Fax (631) 262-3375 Americold shall not be required to refinish or repair the exterior or intedor of the refrigeration or other cooling container, or to replace any hardware, drains, lights, trays, gaskets, hinges, latch springs, drain p~ping, etc. or furnish labor Incident thereto. but not limited to delay in servicing or repair of equipment requiring replacement of any pad or parts at a time when such part or pads are available m Amencold stock or when the distribulor of such equipment or pads is closed for business or out of stock of such pad or pads This agreement shall automatically come to an end and Americold shall not be responsible under the provmiens herein if the above equipment is moved or serviced during the term of this agreement by any person other than Americald.Americold is not obligated to assume the charges or ta make a refund to the Purchaser for any service work performed or for any material furnished by others There are no implied warranlies or agreements between the parties, all the warranties and or agreements, expressed or implied with respect to this agreement are herein set forth: all provisions, representations, communications, specifications, estimates, or other writing between padies, either oral or wdt/en is withdrawn and annulled, and no modification of this agreement shall be binding on Ihe parties hereto unless it is executed in wdling and signed by the parties hereto. This agreement may be cancelled, in wdting only, by either pady with sixty days notice. Any refund or sum due to Purchaser will be pro ..... This agreement will be automatically renewed from year to year by an adjusted invoice sent to the Purchaser thirty (30) days before renewal time. tn ~he event the Purchaser does not wish to renew, it shall be his obligation to notify Americold on or before [he anniversary date of the agreemenL Purchaser Will be charged for any damage caused to water-cooled refrigeration equipment as a result of the shut down of Ihe water tower. Any required work on water tnwer system will be pertormed on a time and matedal basis Water damage caused by internal leaks in water-cooled condenser will be repaired at the expense of the Purchaser. We Will only make mechanical repairs.
