BEING AND INTENDED to be the same premises conveyed by said
hgrantees pursuant to the deeds described above to the grantor
erein, Peconic Land Trust, Incorporated, by simultaneous
closing by deeds dated November 17, 1999, said deeds intended to
be recorded prior in time to this deed.
TOGETHER with all right, title and interest, if any, of the
party of the first part in and to any streets and roads abutting
the above described ;premises to the center lines thereof;
TOGETHER with the appurtenances and all the estate and
rights of the party of the first part in and to said premises;
TO HAVE AND TO HOLD the premises herein granted unto the
party of the second part, the heirs or successors and assigns of
the party of the second part forever.
AND the party of the first part covenants that the party of
the first part has not done or suffered anything whereby the
said premises have been encumbered in any way whatever, except
as aforesaid.
AND the party of the first part, in compliance with Section
13 of the Lien Law, covenants that the party of the first part
will receive the consideration for this conveyance and will hold
the right to receive such consideration as a trust fund to be
applied first for the purpose of paying the cost of the
improvement and will apply the same first to the payment of the
cost of the improvement before using any part of the total of
the same for any other purpose.
FURTHER, this conveyance is made subject to and with the
benefit of the Declaration and Clarification of Easement dated
1/5/1998, Recorded 6/30/1998, at Liber 11901, Page 936 running
from the subject premises to New York State Route 25 a/k/a Main
Road.
AND the following covenant and restriction shall be deemed
to be imposed only upon the TOWN OF SOUTHOLD' s undivided fifty
percent (50%) interest in the subject premises, and only
applicable to it; and further shall not be deemed to be a
covenant and restriction imposed upon the COUNTY OF SUFFOLK' S
undivided fifty percent (50%) interest in the subject premises,
and not applicable to it :
The Town of Southold has purchased its interest in this
parcel of property pursuant to Chapter 59 entitled "Open Space"
of the Southold Town Code.
Pursuant to Chapter 59 the Town' s interest in this parcel
of property shall not thereafter be alienated except upon the
affirmative vote of a majority of the Town Board after a public
hearing thereon and upon the approval by the electors of the
town voting on a proposition submitted at a special or biennial
town election. No subsequent amendment of the provisions of the
subsection shall alter the limitation imposed upon the
alienation of the fee or any lesser interest or right acquired
by the town prior to any such amendment. This covenant shall
run with the land in perpetuity, only as to the TOWN OF SOUTHOLD
and its undivided fifty percent (50%) interest therein.
And the TOWN OF SOUTHOLD has joined in the execution of
this deed as and for its acceptance of the aforestated covenant
and restriction, as set forth herein.
THE WORD "PARTY" shall be construed as if it read "parties"
whenever the sense of this indenture so requires .
IN WITNESS WHEREOF, the party of the first part has duly
executed this deed the day and year first above written.
