Russell to execute the Agreement amon~ the Shelter Island Fire District~ the Shelter Island Heights Fire District~ and the Town of Southold regarding receiving and dispatching radio transmissions on behalf of the Shelter Island Fire District and the Shelter Island Heights Fire District by the Town of Southold at its radio base station, whereby the Fire Districts agree to pay the Town of Southold the sum of $5,000.00 per year, commencing on January 1,2010, subject to the approval of the Town Attorney. Wickham, Councilman AYES: Ruland, Orlando, Krupski .Ir., Wickham, Evans, Russell Generated December 16, 2009 Page 34 ORIGINAL AGREEMENT THIS AGREEMENT made this c~,5'~dday of---~d.4~ , 20J~, by and between the SHELTER ISLAND FIRE DISTRICT, having its principal office at 49 North Ferry Road, Shelter Island, Suffolk County, New York (hereinafter the "Fire District"), and the TOWN OF SOUTHOLD, a municipal corporation of the State of New York, having its principal office at 53095 Main Road, P.O. Box 1179, Southold, Suffolk County, New York (hereinafter the "Town"). The Fire District operates and maintains a fire alarm system within the Town of Shelter Island consisting, in part, of plectrons, pagers, sirens, and air horns, but do not maintain a radio transmission base station. The Town operates and maintains a radio transmission base station with the enhanced 911 system which may receive radio communications from fire vehicles and transmit radio communications to home alarms. The parties agree that fire alarms will be received and dispatched at the base station at the Police Department headquarters of the Town on behalf of the Fire District. IT IS AGREED AS FOLLOWS: 1. Southold Town Police Department radio operators will answer fire alarms on behalf of the Fire District, will dispatch necessary information to aforesaid Fire District, and will test the complete fire alarm system of the Fire District one (1) time per week. .]_ 2. The Southold Town Police Department shall document ail fire alarms and will make these records available to representatives of the Fire District. 3. The Fire District will pay the Town of Southold an annual fee of Five Thousand dollars ($5,000.00) in consideration of the aforementioned services. Payment will be made no later than January 31 of each year. 4. The Fire District shall defend, indemnify and hold harmless the Town of Southold as to any and all claims, actions, suits and liabilities arising from this agreement as a result of their negligence or carelessness in responding, answering or handling any such radio transmissions from the Town of Southold Police Department. 5. This Agreement shall be effective January 1, 2010. Either party may terminate this Agreement on December 31 of any calendar year by giving written notice to the other party, no less than ninety (90) days prior to the termination date. -:2- IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be executed on the day and year first above written.
