party of the first part, and
JAMES SPANOS, residing at 1600 Bay Avenue, Apt. 5, East Marion, New York 11939,~
MELANTHIA SPANOS, residing at 31-06 34th Street, Apt. 1, Astoria, New York 11106, and
NIKOLAOS SPANOS, residing at 90 Thompson Street, Apt. A-l, New York, New York 10012,
being all of the Shareholders of the party of the first part,
party of the second part,
WITNESSETH, that the party of the first part, in consideration of Ten Dollars and other valuable
consideration paid by the party of the second part, does hereby grant and release unto the party of
the second part, the heirs or successors and assigns of the party of the second part forever,
ALL that certain plot, piece or parcel of land, with the buildings and improvements thereon
erected, situate, lying and being at Greenport, Town of Southold, County of Suffolk and State of
New York, being more particularly bounded and described as follows:
BEGINNING at the comer formed by the intersection of the northerly side of Champlin Place
and the easterly side of Main Street;
RUNNING THENCE along said easterly side of Main Street, North 23 degrees 41 minutes 30
seconds West, 134.34 feet to a point in the said easterly side of Main Street where the same is
intersected by the northerly side of the premises herein described and the southerly side of
Straussner;
RUNNING THENCE North 73 degrees 22 minutes 50 seconds East, 160.65 feet along said
division line to a point in the westerly side of the land now or formerly of Cisterino;
RUNNING THENCE along said land now or formerly of Cisterino, South 23 degrees 23 minutes
40 seconds East, 134.37 feet to an iron pipe in the said northerly side of Champlin Place;
RUNNING THENCE along said northerly side of Champlin Place, South 73 degrees 25 minutes
00 seconds West, 150.56 feet to the aforesaid comer of Main Street and Champlin Place, the
point or place of BEGINNING.
BEING AND INTENDED TO BE the same premises conveyed to the party of the first part by
deed dated October 22, 1994, and recorded October 24, 1994, in the Office of the Suffolk County
Clerk in Liber 11699, CP 565.
This conveyance is made for the express purpose of winding up the affairs of the party of the first
part and the distribution of assets to the Shareholders.
TOGETHER with all right, title and interest, if any, of the party of the first part in and to any
streets and roads abutting the above described premises to the center lines thereof; TOGETHER
with the appurtenances and ail the estate and rights of the party of the first part in and to said
premises; TO HAVE AND TO HOLD the premises herein granted unto the party of the second
part, the heirs or successors and assigns of the party of the second part forever.
AND the party of the first part covenants that the party of the first part has not done or suffered
anything whereby the said premises have been encumbered in any way whatever, except as
aforesaid.
AND the party of the first part, in compliance with Section 13 of the Lien Law, covenants that
the party of the first part will receive the consideration for this conveyance and will hold the right
to receive such consideration as a trust fund to be applied first for the purpose of paying the cost
of the improvement and will apply the same first to the payment of the cost of the improvement
before using any part of the total of the same for any other purpose.
The word "party" shall be construed as if it read "parties" whenever the sense of this indenture so
requires.
IN WITNESS WHEREOF, the party of the first part has duly executed this deed the day and year
first above written.
