party of the first part, and
McKaCo ISLAND LLC, a Delaware limited liability company, with an
address of 1000 Main Street, Suite 3270, Houston, TX 77002,
party of the second part,
W1TNESSETH, that the party of the first part, in consideration of ten dollars and other valuable
consideration paid by the party of the second part, does hereby grant and release unto the party of the
second part, the heirs or successors and assigns of the party of the second part forever,
ALL that certain plot, piece or parcel of land, with the buildings and improvements thereon erected, situate,
lying and being in the

BEING AND iNTENDED TO BE part of the same premises conveyed to the
party of the first part by deed dated February 15, 1996 and recorded in the
Office of the Suffolk County Clerk on March 5, 1996 in Liber 11764, Page
895.
TOGETHER with all right, title and interest, if any, of the party of the first part, in and to any streets and
roads abutting the above-described premises to the center lines thereof; TOGETHER with the
appurtenances and all the estate and rights of the party of the first part in and to said premises; TO HAVE
AND TO HOLD the premises herein granted unto the party of the second part, the heirs or successors and
assigns of the party of the second part forever.
AND the party of the first part, in compliance with Section 13 of the Lien Law, covenants that the party of
the first part will receive the consideration for this conveyance and will hold the right to receive such
consideration as a trust fund to be applied first for the purpose of paying the cost of the improvement and
will apply the same first to the payment of the cost of the improvement before using any part of the total of
the same for any other purpose.
AND the party of the first part covenants as follows: that said party of the first part is seized of the said
premises in fee simple, and has good right to convey the same; that the party of the second part shall quietly
enjoy the said premises; that the said premises are free from encumbrances, except as aforesaid; that the
party of the first part will execute or procure any further necessary assurance of the title to said premises;
and that said party of the first part will forever warrant the title to said premises.
The word "party" shall be construed as if it read "parties" whenever the sense of this indenture so requires.

ALL that certain plot, piece or parcel of land, situate, lying and being a part of that
portion of Fishers Island formerly belonging to Fishers Island Corporation, lying easterly
of the following Line, viz;
BEGINNING at the southeasterly comer of land owned by the United States, known as
the Fort H.G. Wright Military Reservation, Mount Prospect Tract, on the shorn of Block
Island Sound or the Atlantic Ocean; and
RUNNING THENCE northerly following the East boundary of the said land of the
United States to the southerly line of East End Road (sometimes called Oriental Avenue)
and which point is the northeasterly comer of land of the United States;
THENCE crossing the East End Road and following the same course as the last to the
shore of West Harbor or Fishers Island Sound, said lots or parcels of land being bounded
and described as follows:

BEGINNING at a stone monument set on the easterly side of a road 40 feet wide, said
monument being 2218.37 feet West of a point which is 29.74 feet South of another
monument marking the U.S. Coast and Geodetic Survey Triangulation Station
"Chocomount 2" (which said "Chocomount 2" monument is located on the summit of the
highest hill on Fishers Island, N.Y., about 2 1/4 miles west of the eastern end of Fishers
Island and lies South 79 degrees 29 minutes 46 seconds East of North Dumpling Light in
Fishers Island Sound); and
RUNNING THENCE South 74 degrees 34 minutes 10 seconds West 40.40 feet to a
stake;
THENCE North 19 degrees 44 minutes 20 seconds West 281.02 feet to the shorn of
Fishers lsland Sound;
THENCE, with the meanders of said Sound, North 85 degrees 51 minutes 30 seconds
East 72.54 feet, North 28 degrees 15 minutes East 76.06 feet, South 74 degrees 8 minutes
East 98.76 feet, and North 62 degrees 58 minutes East 45.85 feet to a stake;
THENCE South 24 degrees 42 minutes East 250.59 feet to a stake; and
THENCE South 66 degrees 48 minutes West 233.97 feet to the place of BEGINNING.

side of another road 40 feet wide;
THENCE westwardly along the northerly side of said road (and following the arc of a
curve to the left, whose radius is 578.88 feet and the direction of whose radius at that
point is South 16 degrees 13 minutes 2 seconds West) 331.17 feet to a stake;
THENCE northwestwardly still along the northerly side of said road (and following the
arc ora curve to the right, whose radius is 36.72 feet and the direction of whose radius at
that point is North 16 degrees 33 minutes 40 seconds West) 78.74 feet to a stake set at its
intersection with the easterly side of still another road 40 feet wide;
THENCE northwardly along the easterly side of said road (and following the am of a
curve to the left whose radius is 154.78 feet and direction of whose radius at that point is

THENCE still along the easterly side of said road North 25 degrees 53 minutes 20
seconds West 60 feet to a stake; and
