THIS IS TO CERTIFY THAT THE FOLLOWING RESOLUTION NO. 2010-164 WAS
ADOPTED AT THE REGULAR MEETING OF THE SOUTHOLD TOWN BOARD ON
FEBRUARY 23, 2010:
RESOLVED that the Town Board of the Town of Southold hereby authorizes and directs
Supervisor Scott A. Russell to execute an Agreement with Cornell Cooperative Extension in
connection with the 2010 Southold Town Shellfish Program in the amount of $18,000 for the
term January 1.2010 through December 3 I, 2010, all in accordance with the approval of the
Town Attorney.

CONTRACT FOR SERVICES
THIS GREEMENT, entered into this 1st day of Jmmary 2010, between the Town of
Southold, with offices at 53095 Main Road, Southold, New York 11971, hereinafter
called the "Town" and Cornell Cooperative Extension, with offices at 423 Griffing
Avenue, Riverhead, New York 11901 hereinafter called the "Corttractor"
WITNESSTH
WHEREAS, the Town of Southold desires to engage the consultant to render certain
professional services hereinafter described in connection with an undertaking.
NOW, therefore, the parties hereto mutually agree as follows:
1. Employment of the Contractor - The Town hereby agrees to engage the
Contractor and the Contractor hereby agrees to perfoxuu the services hereinafter
set forth.
2. Scope of Work -- The Contractor shall perfom~ and cra'fy out, on a satisfactory
and proper manner thc services described in Exhibit A: attached hereto and made
a part of the contract.
3. Personnel - A. The Contractor represents that all personnel engaged in the work
shal! be fully qualified by reason of training and experience to pcrform such
servme set forth herein. B. None of the work or services covered by this contract
shall be subcontracted without the prior written approval of the Town.
4. Tixne of Performance - The services of the Contractor are to commence npon
execution of this contract and shall end on December 31, 2010 or at the
completion of thc task outlined in Exhibit A.
5. Coml)ensation The Town agrees to pay the Contractor the total sum not to
exceed $18,000.
6. Method of Payment - The payment shall be made in accordance with the billing
schedule and upon receipt by the Town of Southold of a properly completed
voucher form supplied by the Town. It is expressly understood and agreed that in
no event will the total compensation and reimbursement be paid hereunder exceed
the maximum stun of $18,000 for all of the services required
7. Monthly Reports and Activity Reports - Monthly activity rcports should be
submitted along with a monthly voucher for reimbursement of approved
expenditures.
8. Additional Rights and Remedies - This contract shall be governed by, subject to
and construed according to the laws of the State of New York
IN WITNESSOF, the parties hereto have executed this contract as of the date
hereinabove set forth.

Program Description

Environmental Learning Center- Staff and Equipment
$18,000
The above represents the contractual expenses for the operation of the hatchery and
grow-out facility fol' the Town of Southold's 2010 Shellfish Program(s).
The SuffoLk County Marine Environmental Learning Center will spawn and grow-
out hard clams, oysters and scallops in the quantities recommeuded by the Town of
Southold, for shellfish seeding in Southold' creeks aad bays.
