EXECUTOR'S WARRANTY DEED
THIS INDENTURE made as of the'-I~?~- day of I~A,4~:~Y 2009, between Ann E. DeLuise and Gloria
Joan Adcox, as Executors of the Last Will and Testament dated December 9, 2006, of Nicholas J. DeLuise
who died on the 27th day of January, 2008, party of the first part, having an address at cio Wiggin and
Dana LLP, 450 Lexington Avenue, Suite 3800, New York, New York 10017 and Ann E. DeLbise,
individually, party of the second part, having an address at 51'1 East 20th Street, New York, New York
10010.
WITNESSETH, that the Party of the First Part, to whom Letters Testamentary were issued by the
Surrogate's Court, New York County, New York on April 16, 2008, and by virtue of the power and authority
given in and by said Last Will and Testament and/or by Article 11 of the Estates, Powers and Trusts Law of
New York, in consideration of (a) TEN ($10.00) dollars, lawful money of the United States, and other
valuable consideration paid by the party of the second part do hereby grant and release unto the party of
the second part, the heirs or successors and assigns of the party of the second part forever,

All that certain plot, piece or parcel of land, with the buildings and improvements thereon erected,
situate, lying and being at Laurel, Town of Southhold, County of Suffolk and State of New York
known and designated as Lot #41 on a certain map entitled "Map of Laurel Estates," and filed in the
Office of the Clerk of the County of Suffolk on June 22, 1970 as Map. No. 5486;
BEING AND INTENDED TO BE THE SAME PREMISES as conveyed to Nicholas DeLuise
individually by deed made the 27th day of December, 1993 from James DeLuise, Nicholas J.
DeLuise, Claudia Dlug, Gloria J. Adcox and Rita DeLuise (as all the heirs at law and next of kin of
Adeline DeLuise, deceased) and recorded in the Office of the Clerk of the County of Suffolk on
January 24, 1994, in Liber 00011661, page 492.
Subject to covenants and restrictions and to conditions (if any) and easements (if any) of record affecting
said premises.
TOGETHER with all right, title and interest, if any, of the parties of the first part in and to any streets and
roads abutting the above described premises, to the center lines thereof;
TOGETHER with the appurtenances and also all the estate which the said decedent had at the time of
decedent's death in said premises, and also the estate therein which the party of the first part has or has
power to convey or dispose of, whether individually, or by virtue of said Will or otherwise;
TO HAVE AND TO HOLD the premises herein granted unto the party of the second part, the heirs
successors and assigns of the parties of the second part forever.
AND the parties of the first part, in compliance with Section 13 of the Lien Law, covenants that the parties of
the first part will receive the consideration for this conveyance and will hold the right to receive such
consideration as a trust fund to be applied first for the purpose of paying the cost of improvement and will
apply the same first to the payment of the cost of the improvement before using any part of the total of the
same for any other purpose.
AND the parties of the first part covenant solely to the party of the second part as fellows: that the parties of
the first part are seized of the said premises in fee simple, and have good right to convey the same; that the
party of the second part shall quietly enjoy the said premises; that the said premises are free from
encumbrances, except as aforesaid; that the parties of the first part will execute or procure any further
necessary assurance of title to said premises; and that said parties of the first part will forever warrant the
title to said premises.
