THIS IS TO CERTIFY THAT THE FOLLOWING RESOLUTION NO. 2010-55 WAS
ADOPTED AT THE REGULAR MEETING OF THE SOUTHOLD TOWN BOARD ON
JANUARY 5, 2010:
WHEREAS, the Land Preservation Committee has made a recommendation to the Town Board
that the Town Board engage outside legal counsel to prepare contracts for and to provide legal
services with regard to the Town's farmland preservation program for the year 2010; and,
WHEREAS, funding for such legal counsel is provided for and will be charged to the
appropriate Community Preservation Fund budget line; now, therefore, be it
RESOLVED that the Town Board of the Town of Southold hereby enea~,es the orofessional
services of 1 .ina Clare Kombrink~ Esquire~ to provide legal counsel to the Land
Preservation Committee and authorizes the Supervisor to sign a 2010 Retainer Agreement.
Compensation shall be at a municipal rate of $200.00 per hour for preparing contracts for and to
provide legal services with regard to farmland acquisitions, and to assist in any other matter
related to the Town's land preservation program. Time for paralegals will be billed at $95.00 per
hour. Additional expenses subject to reimbursement shall include, but are not limited to, travel
time, courier or messenger services, photocopies, telephone calls, telecopies, and postage.
Invoices submitted monthly under the terms of this retainer agreement shall be a legal charge to
the 2010 Community Preservation Fund budget H3.8660.2.500.100 (Legal Counsel).

Re: 2010 Retainer Agreement
Dear Supervisor Russell and Town Board Members:
This letter confirms that I will serve as special counsel to the Town of Southold
in certain matters related to the Town's land preservation program. I will
continue to provide legal advice to IVlelissa Spiro and her Department, prepare
and negotiate agreements for the purchase of development rights, including
contracts and conservation easements, attend closings, and perform any
needed legal research related to these duties. My work will continue to focus
on the farmland preservation program, including revisions to the grant of
development rights easement and to advise Melissa, the Town Board and the
Land Preservation Committee regarding policy issues.
My time from .lanuary 2010 through December 31, 2010 will be billed at a
municipal rate of 200.00 per hour. Time for the paralegals will be billed at
$95.00. In addition, you will be billed for such out-of-pocket expenses the firm
may incur in providing services to you. Such expenses include, but are not
limited to, charges for courier or messenger services, photocopies, telephone
calls, and postage. Our office will send invoices on a monthly basis. We have
worked closely with Melissa Spiro and. Melanie Doroski to keep legal expenses
on these matters at a reasonable level, with continued emphasis on efficiency
and coordination. We will continue these efforts.
I have enjoyed representing the Town in this very important work. If you
have any questions on our past work or as we move forward, please feel free
to call me.
Please confirm your agreement to this retainer by signing and returning
the enclosed copy of this letter to us. ! look forward to working with you and

RE: 2010 Retainer Agreement
Dear Supervisor Russell:
The letter shall confirm that I would be pleased to serve as special counsel to the Town of
Southold in certain matters related to the Town's land preservation program. Upon the request
of Melissa Spiro, Land Preservation Coordinator, I will prepare and negotiate agreements for the
purchase of fee interests or lesser interests in real property, for open space parcels as
designated by the Community Preservation Project Plan, attend closings and perform legal
research related to these duties. My work will focus on the Open Space component of the
Town's land preservation efforts.
My professional time shall be billed at a municipal rate of $200.00 per hour. Other additional
expenses shall include travel time, long distance telephone cells, telecopies, photocopying and
printing fees. Services shall be submitted in the proper voucher form and invoice, on a monthly
basis, and as required by the Comptroller's Office.
Any fee understanding to the contrary of the terms set forth in this letter shall be acknowledged
by me in writing.
