THIS INDENTURE, made the 19th day of November, Two Thousand Nine
BETWEEN
ROBERT E. PALADINO, residing at 485 Raccoon Road, Mattituck, New York 11952,
party of the first part, and
BR1AN G. WITHERS and DIANNE M. WITHERS, Trustees or their successors in trust, under
the Withers Living Trust, dated November 15, 2006 and any amendments thereto, residing at 95
Marion Avenue, Merrick, New York 11566,
party of the second part,
WITNESSETH, that the party of the first part, in consideration of Ten Dollars and other valuable
consideration paid by the party of the second part, does hereby grant and release unto the party of
the second part, the heirs or successors and assigns of the party of the second part forever,
ALL that certain plot, piece or parcel of land, with the buildings and improvements thereon
erected, situate, lying and being at Mattituck, in the Town of Southold, County of Suffolk and
State of New York, bounded and described as follows:

BEING AND INTENDED TO BE the same premises conveyed to the party of the first part by
deed dated April 16, 1992, and recorded April 23, 1992, in the Office of the Suffolk County
Clerk in Liber 11455, Page 42.
TOGETHER with all right, title and interest, if any, of the party of the first part in and to any
streets and roads abutting the above described premises to the center lines thereof; TOGETHER
with the appurtenances and all the estate and rights of the party of the first part in and to said
premises; TO HAVE AND TO HOLD the premises herein granted unto the party of the second
part, the heirs or successors and assigns of the party of the second part fomveF.
AND the party of the first part covenants that the party of the first part has not done or suffered
anything whereby the said premises have been encumbered in any way whatever, except as
aforesaid.
AND the party of the first part, in compliance with Section 13 of the Lien Law, covenants that
the party of the first part will receive the consideration for this conveyance and will hold the right
to receive such consideration as a trust fund to be applied first for the purpose of paying the cost
' of the improvement and will apply the same first to the payment of the cost of the improvement
before using any part of the total of the same for any other purpose.
The word "party" shall be construed as if it read "parties" whenever the sense of this indenture so
requires.

ALL that certain plot, piece or parcel of land, situate, lying and being at Mattituck, in
the Town of Southold, County of Suffolk and State of New York, bounded and
described as follows:
BEGINNING at a concrete monument set at the intersection of the northerly line of a
certain 24 foot right of way known as Fox Hollow Road and the easterly line of a
certain 24 foot known as Raccoon Road, which said point of beginning is the following
courses and distance from the point of intersection of the easterly line of Cox Neck
Road (a public highway) and the southerly side ora private road known as Miller's
Right of Way;
1) south 85 degrees 30 minutes east, a distance of 1147.61 feet, more or less, to a
concrete monument;
2) south 18 degrees 7 minutes 30 seconds east, a distance of 560.33 feet to the concrete
monument at the point of b'eginning of the within described pacel from said point of
beginning;
RUNNING THENCE north 18 degrees 7 minutes 30 seconds west along the easterly
line of said 24 foot right of way known as Raccoon Road, a distance of 125.0 feet to a
concrete monument;
RUNNING THENCE north 71 degrees 52 minutes 30 seconds east along other lands of
William H. Wertenberg, a distance of 153.37 feet to a concrete monument;'
RUNNING THENCE south 22 degrees 30 minutes east along land, now or formerly,
of Kenneth Ramssuer, a distance of 125.36 feet to a concrete monument set on the
northerly line of said 24 foot right of way known as Fox Hollow Road;
RUNNING THENCE south 71 degrees 52 minutes 30 seconds west along the northerly
line of said 24 foot right of way known as Fox Hollow Road, a distance of 162.93 feet
to the concrete monument set at the point or place of BEGINNING.
