THIS 1S TO CERTIFY THAT THE FOLLOWING RESOLUTION NO. 2009-942 WAS
ADOPTED AT THE REGULAR MEETING OF THE SOUTHOLD TOWN BOARD ON
DECEMBER 1, 2009:
RESOLVED that the Town Board of the Town of Southold hereby authorizes and directs
Supervisor Scott A. Russell to retain the services of Linda Kowalski to assist the Zoning
Board of Appeals as a consultant, effective December 7, 2009, for a period not to exceed one
year, at a rate of $31.07 per hour, with total compensation not to exceed $10,000, subject to
review by the Town Board in 90 days, all in accordance with the approval of the Town Attorney.

Re: Consulting Agreement
Town of Southold Zoning Board of Appeals
Dear Ms. Kowalski:
I am pleased to report that the Town Board of the Town of Southold has
authorized me to engage your services as a consultant to assist the Town of
Southold Zoning Board of Appeals on the following terms:
Your services shall include:
1. Provide training to Vicki Toth as needed and as dictated by the
Chairman of the Zoning Board of Appeals in all duties and
responsibilities of the Secretary of the Board of Appeals; and
2. Assist in the preparation of handbooks for Municity.
The compensation to you shall be on an hourly basis at the rate of $31.07
per hour but will not exceed the sum of $10,000 during the term of this
agreement.
The consulting services required of you under this agreement will
commence December 71 2009 and will continue on an as needed basis for
a term not to exceed one (1) year. The term of this agreement is subject
to review by the Town Board on or before March 1, 2010 and may be
changed unilaterally by the Town Board.

The expected time commitment for consulting services shall not exceed
/,5' hours per week and may be adjusted on a month to month basis by
the Chairman of the Zoning Board of Appeals.
· Either party may terminate this agreement at any time, for any reason,
without liability to the other party, to the extent permitted by law.
It is expressly understood that you will provide consulting services under
this agreement as an independent contractor and that this agreement shall
not give rise to an employment or agency relationship between you and
the Town.
This agreement shall terminate automatically in one (1) year or upon
exhaustion of the $10,000 allocated for consulting services, whichever
occurs first, unless previously terminated in writing by both parties.
