AUTHORIZATION
Pursuant to the provisions of Chapter 275 and/or Chapter 111 of the Town Code of the Town of
Southold and in accordance with the Resolution of the Board of Trustees adopted at the meeting held on
March 18. 2009, and in consideration of application fee in the sum of $250.00 paid by John Elick, as Trustee
and subject to the Terms and Conditions as stated in the Resolution, the Southold Town Board of Trustees
authorizes and permits the following:
Wetland Permit to construct beach access stairs and related walkways and
platforms, with the conditions of the use of open-grate material on the stairs and
platforms, and as depicted on the site plan prepared by Jeffrey T. Butler, P.E., P.C.,
last dated June 10, 2009, and received on June 11, 2009.
IN WI'I~qESS WHEREOF, the said Board of Trustees hereby causes its Corporate Seal to be affixed,
and these presents to be subscribed by a majority of the said Board as of this date.
TERMS AND CONDITIONS
The Pernfittee John Elick as Trustee, residing at 9 Rockhall Lane, Rocky Point, New York
11778 as part of the consideration for the issuance of the Permit does understand and prescribe
to the following:
That the said Board of Trustees and the Town of Southold are released from any and all
damages, or claims for damages, of suits arising directly or indirectly as a result of any
operation performed pursuant to this permit, and the said Permittee will, at his or her own
expense, defend any and all such suits initiated by third parties, and the said Permittee
assumes full liability with respect thereto, to the complete exclusion of the Board of
Trustees of the Town of Southold.
That this Permit is valid for a period of 24 months, which is considered to be the estimated
time required to complete the work involved, but should circumstances warrant, request for
an extension may be made to the Board at a later date.
That this Permit should be retained indefinitely, or as long as the said Permittee wishes to
maintain the structure or project involved, to provide evidence to anyone concerned that
authorization was originally obtained.
That the work involved will be subject to the inspection and approval of the Board or its
agents, and non-compliance with the provisions of the originating application may be cause
for revocation of this Permit by resolution of the said Board.
That there will be no unreasonable interference with navigation as a result of the work
herein authorized.
That there shall be no interference with the right of the public to pass and repass along the
beach between high and low water marks.
That if future operations of the Town of Southold require the removal and/or alterations in
the location of the work herein authorized, or if, in the opinion of the Board of Trustees,
the work shall cause unreasonable obstruction to free navigation, the said Permittee will be
required, upon due notice, to remove or alter this work project herein stated without
expenses to the Town of Southold.
That the said Board will be notified by the Permittee of the comPletion of the work
authorized.
That the Permittee will obtain all other permits and consents that may be required
supplemental to this permit, which may be subject to revoke upon failure to obtain same.

Dear Mr. Butler:
The Board of Town Trustees took the following action dudng its regular meeting held on
Wednesday, March 18, 2009 regarding the above matter:
WHEREAS, Jeffrey T. Butler on behalf of JOHN ELICK, AS TRUSTEE applied to the
Southold Town Trustees for a permit under the provisions of Chapter 275 of the
Southold Town Code, the Wetland Ordinance of the Town of Southold, application
dated January 18, 2008, and,
WHEREAS, said application was referred to the Southold Town Conservation Advisory
Council and to the Local Waterfront Revitalization Program Coordinator for their findings
and recommendations, and,
WHEREAS, a Public Hearing was held by the Town Trustees with respect to said
application on March 18, 2009, at which time all interested persons were given an
opportunity to be heard, and,
WHEREAS, the Board members have personally viewed and are familiar with the
premises in question and the surrounding area, and,
WHEREAS, the Board has considered all the testimony and documentation submitted
concerning this application, and,

WHEREAS, the structure complies with the standards set forth in Chapter 275 of the
Southold Town Code,
WHEREAS, the Board has determined that the project as proposed will not affect the
health, safety and general welfare of the people of the town,
NOW THEREFORE BE IT,
RESOLVED, that the Board of Trustees have found 'the application to be Consistent
with the Local Waterfront Revitalization Program pursuant to Chapter 268-5 of the
Southold Town Code, and,
RESOLVED, that the Board of Trustees approve the application of JOHN ELICK, AS
TRUSTEE to construct beach access stairs and related walkways and platforms, with
the conditions of the use of open-grate material on the stairs and platforms, and as
depicted on the site plan prepared by Jeffrey T. Butler, P.E., P.C., last dated June 10,
2009, and received on June 11,2009.
Permit to construct and complete project will expire two years from the date the permit
is signed. Fees must be paid, if applicable, and permit issued within six months of the
date of this notification.
Inspections are required at a fee of $50.00 3er inspection. (See attached schedule.

The proposed action has been reviewed to Chapter 268, Waterfront Consistency Review of the Town of
Southold Town Code and the Local Waterfront Revitalization Program (LWRP) Policy Standards. Based
upon the information provided on the LWRP Consistency Assessment Form submitted to this
department, as well as the records available to us, it is our recommendation that the proposed action is
NOT REVIEWABLE at this time because the applicant has not proven that Covenant and
Restriction g. (referenced below) established for the subject parcel (Parcel #2 of the Oregon
Landing II Conservation Subdivision) has been met. See attached appendices; C & R Declaration and
Cross Easement.
g. that on areas of the bluffthat have exposed soil, beach grass (Ammophilia Breviligulata) shall be
planted prior to the release of the performance guarantee and that said beach grass shall survive for a
period of five (5) years
Pursuant to Chapter 268, the Board of Trustees shall consider this recommendation in preparing
its written determination regarding the consistency of the proposed action.

THIS DECLARATION made by Luigi Badenchini, General Partner of the
Badenchini Family Limited Partnership located at 37 Countisbury Avenue, North valley
Stream, New York 11580, herein after referred to as DECLARANT, as owner of
premises described in Schedule "A" annexed hereto (hereinafter referred to as
PREMISES) desire to restrict the use and enjoyment of said Premises and has for such
purpose determined to impose on said PREMISES covenants and restrictions and does
hereby declare that said PREMISES shall be held and shall be conveyed subject to the
following covenants and restrictions:
1. DECLARANTS have made application to the Town of Southold (herein
after referred to as TOWN) for a permit to construct, approval of plans or approval of a
Major Cluster Subdivision or development on the PREMISES.
2. As a condition of approval by the TOWN of the subdivision or
development application, the DECLARANTS covenant as follows:
a. that there shall be 50' buffer "set back from the top of Bluff' said buffer
to be undisturbed with the expectation of the removal of dead or noxious vegetation, and
within the 50' buffer dead trees and cherry trees smaller than 5" can be removed by hand,
re-vegetate understory with low bush blueberry, ink berry and bayberry. Existing trees
may be manually pruned and trimmed as necessary. Grading within the 50' buffer is
prohibited; and
b. that no clearing of said 50' buffer, with the expectation of the removal of
dead or noxious vegetation, shall take place without the approval of the TOWN Planning
Board; and
e. that their successors and/or assigns, must submit an erosion control and re-
vegetation plan to the TOWN Planning Department when seeking the aforementioned
approval; and
d. that newly planted areas as noted on the plat shall survive for a period of
two (2) years following the release of bond; and
e. that no storm water resulting from the development and improvement of
the subdivision or any of its lots shall be discharged down the face of the bluff in any
marmer; and
f. that no new residential structure or sanitary facility shall be constructed or
otherwise located within 100 ft. landward from the top of bluff, and
g. that on areas of the bluff that have exposed soil, beach grass (Ammophilia
Breviligulata) shall be planted prior to the release of the performance guarantee and that
said beach grass shall survive for a period of five (5) years; and
h. that prior to the final approval of this major cluster subdivision
DECLARANTS shall provide a signed written statement addressed to the Planning Board
that states "the creation of this subdivision in no way commits either the Town of
Southold or the County of Suffolk to any program to protect this property from bluff and
shoreline erosion through the construction of engineering or other works; and
i. that prior to any construction activity, DECLARANTS shall secure a
General Permit for Storm Water Runoff from Construction Activity (GP-02-01)
adrninistemd by the New York State Department of Environmental Protection (DEC)
trader the Phase II State Pollutant Discharge Elimination System (SPDES) Program; and
that no stairways, stairs or other structures shall be installed which allow
access to the beach from parcel l; and
k. that no structures shall be proposed or permitted within 100 feet from the
top of the bluff line without a grading plan approved by the Office of the Town Engineer
_and the Planning Board and all appropriate permits; and
I. that the clearing of existing woods/vegetation in the northern area of
parcel $ is prohibited; and
m. that the final map shall be rendered null and void and the approval of the
subdivision invalid in the event that the closing oftbe development rights sale is not
complete and proof of such closing is not submitted to the Town of Southold Planning
Department, and
n. that all structures use gutters, leaders and subsurface drywells to retain
surface runoff, and
o. that DECLARANT, their heirs, successors and assigns use native plants
and attempt to use disease-resistant and drought-tolerant plants in the landscaping of the
subject subdivision, and
p. that DECLARANT, their heirs, successors and assigns refrain from the
residential application and use of synthetic pesticides and fertilizers capable of entering
the potable water supply, and
q. that DECLARANT, their heirs, successors and assigns use only low flow
fimcets and toilets as per Suffolk County water Authority, and
r. that DECLARANT, their heirs, successors and assigns use only pervious
driveways to serve each lot, and
s. that the Town of Southold Building Department shall not issue building
permits for any lot depicted on the final map until the closing of the development rights
sale completed in accordance with the approved map and proof of such closing is
submitted to the Town of Southold Planning department, and
t. that the subdivision open space is equal to 87,439 square feet or 2.02 acres
and is included in and part of pamel 5, and
u. this subdivision is subject to the Article XXII, Farmland Bill of Rights
(Added 5-27-1997 by L.L. No. 11-1997) Section 100-220. Right to Farm of the Town of
Southold Town Code.
3. The DECLARANTS their successors and/or assigns shall set forth these
covenants, agreements and declarations in any and all leases to occupants, tenants and/or
lessees of the above-described property and shall, by their terms, subject same to the
covenants and restrictions contained herein. Failure of the DECLARANTS, their
successors and/or assigns to so condition the leases shall not invalidate their automatic
subjugation to the covenants and restrictions.
4. All of the covenants and restrictions contained herein shall be in addition
to and not in derogation of limitation upon any provisions of local, state, and federal
laws, ordinances, and/or regulations in effect at the time of execution of this agreement,
or at the time such laws, ordinances, md/or regulations may thereafter be revised,
mended, or promulgated.
5. This document is made subject to the provisions of all laws required or by
their provisions to be incorporated here'm and they are deemed to be incorporated herein
and made a part hereof, as though fully set forth.
6. The aforementioned restrictive covenants shall be enforceable by the
Town of Southold, State of New York, by injunctive relief or by any other remedy in
equity or at law. The failure of said agencies of the Town of Southold to enforce the
same shall not be deemed to affect the validity of this covenant nor to impose any
liability whatsoever upon the County of Suffolk or any officer or employee thereof.
7. These covenants and restrictions shall mn with the land and shall be
binding on the DECLARANTS, their successors and assigns, and upon all persons or
entities claiming under them.
8. If any section, subsection, paragraph, clause, phrase or provision of these
covenants and restrictions shall, by a Court of competent jurisdiction, be adjudged illegal,
unlawful, invalid, or held to be unconstitutional, the same shall not effect the validity of
the covenants as a whole, or any pm or provision hereof other than that part so adjudged
to be illegal, unlawful, invalid, or unconstitutional.
9. These covenants and restrictions cannot be revised, modified or otherwise
amended without a majority plus one of the Planning Board, subject to a public heating.
10. The within Declaration is made subject to the provisions of all laws
required by law or by their provisions to be incorporated herein and made a part hereof,
as though fully set forth. That the within declaration shall ran with the land and shall be
binding upon the DECLARANT and its successors and assigns, and upon all persons or
entities claiming under them, and may not be annulled, waived, changed, modified,
terminated, revoked or amended by subsequent owners of the property unless and until
approved by a majority plus one vote of the Planning Board of the Town of Southold or
its successors, after a public heating.

located at 37 Countisbury Avenue, North valley Stream, New York 11580,
respectively, hereinafter referred to as OWNER:
WITNESSETH:
That for and in consideration of ONE and 001100 ($1.00) DOLLAR, and other
good and valuable consideration, the receipt of which is hereby acknowledged,
the parties hereby agree as follows:
The OWNER named herein, Owner of a parcel more particularly described
in Schedule "A" and specifically known as SCTM # 1000-095.00-01.00-005.000,
desiring to effect a Major Cluster Subdivision, hereby grant to each parcel, their
successors and assigns, guests and invitees, a perpetual easement and Hght-of-
way for the ingress and egress, for gas, electric, cable TV, telephone, water mains
and lines, and any and all utilities under and through the right-of-way, aa
described in Schedule "B" the subject premises for parcels 1, 2, 3 and 4, of a
Major Cluster Subdivision map of Oregon Road, located in Cutchogue, New York,
said parcels lying and being in the Town of Southold, County of Suffolk and State
of New York, said easement and right-of-way is more particularly described in
Schedule "B" attached hereto and made a part hereof. Further, a ten foot (10')
wide easement shall extend through the subject parcel to the Long Island Sound,
said easement is more particularly described in Schedule "C" attached hereto
and made a part hereof. Moreover, the installation of stairs, stairways or any
other structure proposed to access the beach from parcels 1, 3 and 4 shall be
prohibited, as access to the beach shall be limited to a single structure contained
within the aforementioned 10 ft. wide easement on parcel 2, which shall serve the
rasidente of the entire subdivision.
That OWNERS, their successors and assigns, guests and invitsss, take the
premises subject to the above described easements and rights-of-way and rights
of others along said rights-of-way.
That this grant and easement shall, at all times, be deemed to be
continuing covenants running with the land and shall be binding upon the heirs,
successors and/or assigns of the parties herein.
It shall be the obligation of the then OWNERS of the subject parcel, their
heirs, successors and/or assigns, to repair and/or maintain the said easement
area. Each property owner shall be required to pay a 25% share of said
maintenance and repair cost. In addition, the lot owners, their heirs, successors
and/or assigns shall be equally responsible for the clearing of snow and
maintenance of the easement and right-of-way, including but not limited to the
maintenance of grass, tress, and bushes, if any. The owners of parcel 2, their
successors or assigns shall be responsible for the collection and management of
all of the aforementioned maintenance fees and activities in perpetuity.
Upon its full execution by the parties herein named, this document shall be
recorded in the Suffolk County Clerk's Office, and upon said recording, this
Cross Easement shall be fully enforceable by the Town of Southold.

Enclosed are 2 sets of revised plans which include planting specifications for revegetation of the
bluffs. By copy of this letter we are requesting permission to revegetate the bluffs pursuant to the
covenants and restrictions on final map. All disturbed soil area along the slope of the bluff shall be
planted with Cape American beach grass (Ammophila Breviligulata) 8-12 inch shoots, 12" on
center. In addition, the areas of the bluffthat have exposed soil shall be planted with the same.
This includes Lots 1-2 pursuant to filed covenants on final map. The project does not involve any
excavation, filling or terracing.
Also enclosed is a copy of the final map for your use. Should you have any questions, please do
