THIS IS TO CERTIFY THAT THE FOLLOWING RESOLUTION NO. 2009-587 WAS
ADOPTED AT THE REGULAR MEETING OF THE SOUTHOLD TOWN BOARD ON
JULY 14, 2009:
RESOLVED that the Town Board of the Town of Southold hereby authorizes and directs
Supervisor Scott A. Russell to execute a letter of interest permitting New Age Enerk, v, Inc.
to conduct a feasibility study for a solar farm at the Southold Town Landfill, subject to the
approval of the Town Attorney.

RE: Landfill Solar Farm Proposal
Dear Mr. Santos:
Thank you for meeting with the Town Board on June 30, 2009 and presenting
your proposal to establish a renewable energy project at our Cox Lane Landfill site. The
Town of Southold is interested in pursuing the possibility of entering into a lease
agreement with your company with respect to the installation and operation of a solar
collection system for the production of electricity at the Town of Southold Landfill site.
Please be advised that, in addition to the negotiation of acceptable terms and
conditions with the Town of Southold, any lease will be subject to the approval of the
New York State Department of Environmental Conservation and may be subject to a
permissive referendum.
In the meantime, the Town of Southold hereby authorizes New Age Energy Inc.
and Long Island Green Power Advisors Inc., its employees and agents to enter upon the
Southold site for the purpose of evaluating the suitability and economic feasibility of
installing large scale renewable energy production equipment at such site, provided the
study shall not interfere with the normal operations of the facilities at such site. This
authorization is subject to the execution of a License Agreement approved by the Town
Attorney.

This letter of interest shall not be construed to constitute an offer to lease or grant
of any rights to you other than as specified above. No lease shall be binding upon the
Town of Southold until it is duly approved'by the Town Board, executed by the
Supervisor, and any and all conditions and precedentS have been fulfilled.
