THIS IDZEMM, MADE the Z day of July, 1983, between
ILNG ISLAND vIlmmmg, INC., a New York corporation with its principal g
offices at (No#) Alvah's Lane, Catchogue, New York 11952, party of the
first part, and the County of Suffolk, a municipal corporation having
its office and principal place of business at (No#) Center Drive,
Riverhead, New York, party of the second part;
WITNESSETH:
that the party of the first part, in consideration of $10.00 and other
good and valuable consideration paid by the party of the second part,
DOES HEREBY GRANT AND RELEASE unto the party of the second part, its
successors and assigns forever, THE DEVELOPMENT RIGHTS, by which is
meant the penranent legal interest and right, as authorized by §§247 of
the New York State General Municipal law, as amended, to permit, require
or restrict the use of the premises exclusively for agricultural
production as that term is presently defined in §5301 of the New fork
State Agriculture and Markets Laws, and Suffolk County Local law 16-81
and the right to prohibit or restrict the use of the premises for any
purpose other than agricultural production, to the property described as
follows:
ALL that certain plot, piece or parcel of land, situate, lying
and being in the Hamlet of Cutchogue, Town of Southold, County
of Suffolk and State of New York, being more particularly
described as follows:
BEGINNING at an interior point distant the following three (3)
courses and distances from the corner formed by the
intersection of the Southeasterly side of Long Island Railroad
with the northeasterly side of Alvah's lane:
(1) North 67° 06' 50" East 122.56 feet;
(2) North 67° 11' 30" East 633.11 feet;
(3) South 26° 56' 00" East 20 feet;
From said point of Beginning, running

BEING AND INTENDED TO BE the development rights to a portion
of the premises conveyed to the party of the first part by
deed dated July 26, 1973 and recorded in the Suffolk County
Clerk's Office in Liber 7458, page 74.
HAVE AND TO HOLD the said Development Rights in the premises herein
unto the party of the second part, its successors and assigns,
forever;
DEED is made in the ordinary course of business of the party of the
first part and does not constitute a conveyance of all or substantially
of its assets.
the party of the first part covenants that the party of the first
has not done or suffered anything whereby the said premises have
encumbered in any way whatever, except as aforesaid. The party of
the first part, as a covenant running with the land in perpetuity,
further covenants and agrees for the party of the first part, and the
heirs, legal representatives, successors and assigns of the party of the
first part, to use of the premises on and after the date of this
instrument solely for the purpose of agricultural production.
The development rights conveyed herein are subject to the further terms
and provisions as set forth in a certain contract of sale between the

portions of which as contained -therein have and will survive the delivery
of this instrument of conveyance.
