THIS INDENTURE, made the ~ day of January, 2009,
be~veen J PMorgan Chase Bank, with an address of 345 Park Avenue, New York, New York, 10154, as
Executor of The Last Will and Testament of Bertha S. Brown, late of New York, New York, who died on
the 25th day of November, One Thousand Nine Hundred Sixty-Nine, party of the first part, and
Cynthia P. MacNair, residing at 23 East 10th Street #518, New York, New York 10003, party of the
second part;
WITNESSETH, that the party of the first part, to whom letters testamentary were issued by the
Surrogate's Court, New York County, New York on February 3, 1970, and by virtue of the power and
authority given in and by said last will and testament, and/or by Article 11 of the Estates, Powers and
Trusts Law, and in consideration of 0.00 dollars, lawful money of the United States, paid by the party of
the second part, does hereby grant and release unto the party of the second part, the distributees or
successors and assigns of the party of the second part forever;
ALL that certain plot, piece or parcel of land, with the buildings and improvements thereon erected,
situate, lying and being in Fisher's Island, Town of Southold, Suffolk County, State of New York, as more
particularly described on Schedule A attached hereto;
TOGETHER with all right, title and interest, if any, of the party of the first part in and to any streets
and roads abutting the above described premises to the center lines thereof;
TOGETHER with the appurtenances, and also all the estate which the said decedent had at the time
of decedent's death in said premises, and also the estate therein, which the party of the first part has or has
power to convey or dispose of, whether individually, or by virtue of said will or otherwise;
TO HA VEAND TO HOLD the premises herein granted unto the party of the second part, the heirs or
successors and assigns of the party of the second part forever.
AND the party of the first part covenants that the p~/rty of the first part has not done or suffered
anything whereby the said premises have been encumbered in any way whatever, except as aforesaid.
AND the party of the first part, in compliance with Section 13 of the Lien Law, covenants that the
party of the first part will receive the consideration for this conveyance and will hold the right to receive
such consideration as a trust fund to be applied first for the purpose of paying the costs of the
improvement and will apply the same first to the payment of the cost of the improvement before using
any part of the total of the same for any other purpose.
The word "party" shall be construed as if it read "parties" whenever the sense of this indenture so
requires.
IN WITNESS WHEREOF, the party of the first part has duly executed this deed the day and year
first above written.

PROPERTY DESCRIPTION
FISHERS ISLAND PROPERTY
ALL that lot or parcel of land, with the buildings and improvements thereon, in the Town
of Southold, Suffolk County, State of New York, being a part of that portion of Fishers
Island belonging to the Fishers Island Corporation lying Easterly of the following line,
viz:
BEGINNING at a southeasterly comer of land owned by the United
States, known as the Fort H. G. Wright Military Reservation, Mount Prospect Tract, on
the shore of Block Island Sound or the Atlantic Ocean and running thence northerly
following the East boundary of the said land of the United States to the southerly line of
East End Road (sometime called Oriental Avenue) and which point is the northeasterly
comer of land of the United States, thence crossing the East End Road and following the
same course as the last to the shore of West Harbor or Fishers Island Sound;
Said lot or parcel of land being bounded and described as follows:
BEGINNING at a stone monument set on the southerly side of a road
forty feet wide, said monument being nine hundred and thirty-six and eighty-hundredths
feet East of a point which is two hundred and sixty-six and sixty-seven hundredths feet
North of another monument marking the U.S. Coast and Geodetic Survey Triangulation
Station "Nin" (which said "Nin" monument is located near the Westem end of a ridge
overlooking the South shore of Fishers Island and on the highest point between
Chocomount and Mount Prospect and lies South forty-five degrees seventeen minutes'
and twenty-six seconds East of North Dumpling Light in Fishers Island Sound); and
running thence South twenty-three degrees fifteen minutes and twenty seconds East two
hundred and eighty and thirty-eight hundredths feet to a stake; thence South sixty-eight
degrees and thirty-eight minutes West three hundred and thirty-four and forty-nine
hundredths feet to a stake; thence North ten degrees fifty-eight minutes and fifty seconds
West two hundred and ninety-nine and seventeen-hundredths feet to a stake set on the
Southerly side of said road; thence Northeastwardly along the Southerly side of said road
(following the arc of a curve to the left whose radius is five hundred and forty-one and

eighty-two hundredths feet and the direction of whose radius at that point is North
fourteen degrees seven minutes and twenty-six seconds West) forty-four and one-
hundredth feet to a stake; and thence, still along the Southerly side of said road, North
seventy-one degrees thirteen minutes and twenty seconds East two hundred and twenty-
seven and seventy-two hundredths feet to the place of beginning; containing two acres,
more or less.
BEING the same premises conveyed to the party of the first part by Agnes
deF. C. Buckingham by deed dated September 22, 1931, recorded in the office of the
Clerk of Suffolk County in Liber 1608 of Conveyance, at Page 17, etc.
