This Indenture, made the 16th day of October, Two Thousand and Eight
BETWEEN
JAMES WELLES, with an address at 275 Munn Lane, Orient, New York 11939
party of the first part, and
MICHAEL CHRISTOPHER WELLES, residing at 86 Edgemont Road, Montclair,
New Jersey 07043, as Trustee of THE JIM WELLES IRREVOCABLE TRUST
AGREEMENT, dated October 16, 2008 with an eighty-five (85%) percent interest in the
premises and MICHAEL CHRISTOPHER WELLES, residing at 86 Edgemont Road,
Montclair, New Jersey 07043, as Trustee of THE JIM WELLES FAMILY TRUST #I
with a fifteen (15%) percent interest in the premises;

WITNESSETH, that the party of the first part, in consideration of Ten Dollars and other
valuable consideration paid by the party of the second part, does hereby grant and release
unto the party of the second part, the heirs or successors and assigns of the party of the
second part forever,

ALL that certain plot, piece or parcel of land, with the buildings and improvements thereon
erected, situate, lying and being at Orient, Town of Southold, County of Suffolk and State
of New York bounded and described as follows:
BEGINNING at a concrete monument set on the Northerly line of the Main Road, at the
Southwesterly corner of the premises hereby conveyed and being the Southeasterly corner
of land now or formerly of Kirby Dwight;
RUNNING THENCE along said land now or formerly of Kirby Dwight, North 4 degrees
50 minutes East 284.75 feet, to a concrete monument and land now or formerly of
Raymond Mount;
THENCE along said land of Raymond Mount, the following two courses as follows: 1. South 82 degrees 52 minutes East, 31 .I0 feet, to a concrete monument;
2. North 4 degrees 22 minutes 40 seconds East, 29.21 feet, to a concrete monument and
land now or formerly of Kathrine Newell;

of land now or formerly of Kirby Dwight;
RUNNING THENCE along said Southerly line of the Main Road, South 88 degrees 06
minutes 20 seconds East, 100.00 feet, to a locust stake and land now or formerly of
Elizabeth K. Dexter;

more or less to the point or place of BEGINNING.

ALL that certain plot, piece or parcel of land, situate, lying and being at Orient, Town of
Southold, County of Suffolk and State of New York, bounded and described as follows:
BEGINNING at a point on the Westerly line of a certain right-of-way, extending to the
Main Road, which point is the southeasterly corner of land now or formerly of Newell;
RUNNING THENCE along the Westerly line of said right-of-way, South 4 degrees 50
minutes West, 88 feet, to a point;
THENCE along other land formerly of Clement J. Welles, North 87 degrees 12 minutes
West, 94.94 feet, to the Easterly line of lands formerly of Clement J. Welles;
THENCE North 4 degrees 50 minutes East, 88 feet, to a point on the Southerly line of
lands of Newell;
THENCE along the Southerly line of lands of Newell, South 87 degrees 12 minutes East,
94.94 feet, to the point or place of BEGINNING.
TOGETHER WITH all the right, title and interest of the party of the first party, of, in and
to the land lying in the streets in front of and adjoining said three parcels, and all rights of
way appurtenant to said parcels, and to the lands under water of Orient Harbor adjoining
Parcel III.
BEING AND INTENDED TO BE the same premises conveyed to the Grantor by Deed
dated April 6, 1996 and recorded in the Suffolk County Clerk's Office on April 9, 1996,
in Liber 11769 page 264.
Together with all right, title and interest, if any, of the party of the first part in and to any
streets and roads abutting the above-described premises to the center lines thereof;
Together with the appurtenances and all the estate and rights of the party of the first part in
and to said premises;
To have and to hold the premises herein granted unto the party of the second part, the heirs
or successors and assigns of the party of the second part forever.
And the party of the first part covenants that the party of the first part has not done or
suffered anything whereby the said premises have been encumbered in any way whatever,
except as aforesaid.
And the party of the first part, in compliance with Section 13 of the Lien Law, covenants
that the party of the first part 'will receive the consideration for this conveyance and will
hold the right to receive such consideration as a trust fund to be applied first for the purpose
of paying the cost of improvement and will apply the same first to the payment of the cost
of the improvement before using any part of the total of the same for any other purpose.
The word "party" shall be construed as if it read "parties" whenever the sense of this
indenture so requires.
