A. Description of the Subject Site
The subject consists of one parcel. The parcel is located on the east side of
Alvah's Lane, approximately 2,873' north of Main Road, hamlet of Cutchogue, town~h~
of Southold, County of Suffolk and State of New York. The subject property is vacant
fallowland without ii~.[,rovements. The subject is partly farmed and fallow lands, with no
trees. The total acreage is 20.4 acres. There is a subdivision plan to subdivide out three
homesites of two acres each. The lots are located along the north and south boundaries.
The center portion of 14.4 acres is being offered to the Town of Southold. This land is
vacant farmland and-faflowland. There is a slope of approximately 16' from Alvah's Lane
to the center of the subject parcel This valley area at the enter does not appear to flood
but would make faji,iiiig operations a bit more difficult. The lot dimensions are 730' W
on Alvah's Lane x 135', 347', 267' N x 977' E x 361,407' S. The parcel is rectangular in
shape. There is an irrigation well and a test well. There is a planned 35' to 50' no-
structure zone along Alvah's Lane. The parcel is not in a flood zone. The 14.4 acres is
considered to be subdividable. The public utilities are electric and telephone, water is
provided from private well and there would be private cesspools. Alvah's Lane is a
macadam road publicly maintained. There are streetlights and no sidewalks. The soils are
mostly Riverhead sandy loam or RdB with a slope of 3-8 percent. Hazard of erosion is
slight, and the soils are well suited for crops and housing developments.

the acquisition of agricultural lands, farmland development rights, is there
anyone that would llke to speak either in favor or against this
acquisition? Mr. Ryan is Chairman of the Land Preservation Committee.

DICK RYAN: The maP outlines the area of the subject parcel that is
under consideration located on the east side of Alvah~s Lane in the Hamlet
of Cutchogue. It is difficult to see, and I apologize for it, but it is the
yellow highlighted area that is the subject under consideration. The pink
lines that you see there are the boundary lines of other preserved
farmland, that are either already owned or the development rights are
owned by the County, as is the case of Hargrave Vineyard to the north,
and to the south of the subject is the Kaloskl farm, which the Town is
now in contract for the development rights, so you have this connect here
between the extensive area now of farmlands, that would preserved.
Richard Rienhardt, contract vendee for this property, offered the
development rights to a certain portion of the property, by application to
the Committee in January, 1997. Subsequent to this application, Mr.
Rienhardt has made application to the Planning Board for approval of a
mlnor subdivision of the entire property he has under purchase contract
with the owners, Malcolm and Franklin Blachley. The committee Indicated
its interest in acquiring the development rights to approximately lU,.6 acres
of the property, as is shown on the map before you. The entire property
consists of approximately 20.~ acres fronting on Alvah's Lane. It is
adjacent to the Kaloski farm on the south and the Hargrave's vineyard
on the north. The parcel is also adjacent to the residential development
known as ~'Highland Estates~ on the east. Land of the Kaloski farm is
currently in contract with the Town of Southold for the purchase of a
development rights easement. Land of the Hargrave vineyards is subject
to ', development rights easement held by the County of Suffolk. The
proposed purchase of development rights to approximately 10,.6+ acres will
provide a connection to the adjacent farms and vineyards, thereby
preserving in one contiguous block, approximately 110 acres of productive
agricultural lands. Additionally, the proposed 1~,.6 acre purchase has about
730 feet of frontage on the east side of Alvah~s Lane, which provides a
magnificent easterly view over preserved farmlands. The area of the
proposed purchase is presently cultivated and planted in a cover crop.
The soils are mostly of the Riverhead sandy loam class, well suited to
agricultural crops. The zoning for the property is
Agriculture-Conservation, which permits single family residential
development on 80,000 SF plots.The purchase price is $7800. per acre,
totaling approximately $113,880.00. The market value of the proposed
purchase reflects in part, the development potential and road frontage of
the subject property. Mr. Reinhardt has also agreed to a covenant, which
will prohibit the erection of any greenhouse structure within the proposed
development rights area. The proposed purchase price is supported by a
September 15, 1998 appraisal, prepared by Andrew Stype, SRA of
Mattituck. Because of the factors of agricultural us, proximity to other
preserved farmland and the open space vistas, these 1Lt.6+ acres of
farmland are of significant importance to agricultural land preservation.
The Land Preservation Committee recommends the purchase of the
development rights to the lands here described. The purchase will most
certainly preserve and enhance the rural character of this area of
Cutchogue and the Town of Southold. I urge the Town Board to accept the
offer of development rights to approximately 1~.6 acres of this property of

$7,800. per acre, pursuant to the provisions of Chapter 25 of the Town
Code, entitled, Agricultural Lands Preservation, as the same is shown on a
subdivision map presently before the Town of Southold Planning Board.

of this unlisted action, has determined that there will be no significant
effect on the environment.
DESCRIPTION OF ACTION Acquisition of the development rights in the

WHEREAS, the Town Board of the Town of Southold wishes to purchase the
development rights in the agricultural lands of Richard Reinhardt; and
WHEREAS, the Town Board held a public hearing with respect to said
acquisition on the 24th day of November 24, 1998, pursuant to the
provisions of the Southold Town Code; and
WHEREAS, the Town Board deems it in the public interest that the Town of
Southold acquire the development rights tn the agricultural lands set forth
in the proposed acquisition between the Town of Southold and Richard
Relnhardt, now, therefore, be It

The Reinhardt closing will be a dual closing- Mr. Reinhardt will purchase
the property and then immediately sell the development tights to the Town.
Mr, Reinhardt, through his attorney, has requested that the Town waive
the proposed environmental inspection for his property, The reason being
money, the sooner the closing the less it costs him, the later the closing the
more it costs him per his contract with the current owner,
As discussed, Environmental Inspections are not being done for the
following purchases- Kaloski, Ruland, and Raphael Vineyards, However, I
believe that the Town was going to require environmental inspections starting
with the Rainhardt purchase.
Please advise.

Re: Reinhardt - Sale of Development Rights
Dear Greg:
This is to confirm our conversation that my father and I have lived in the area of
Alvah's Lane for many years, and neither of us are aware of any use of the property other
than as field crops or fallow ground. My father represented the Krysztapowicz family
who fanned the property and lived in what is now the Best residence. He recalls that they
grew potatoes and other field crops. They sold the property in the 1960's, and since
that time the property was used for field crops or lay fallow. It was recently cleared by
Mr. Reinhardt, who has planted it with a cover crop for soil enrichment.
This letter is not intended as a representation, but is given as our recollection as to the
past use of the property.

TOGETHER with the non-exclusive right, if any, of the party of the first
part as to the use for ingress and egress of any streets and roads abutting the
above described premises to the center lines thereof.
TOGETHER with the appurtenances and all the estate and rights of the
party of the first part in and to said premises, insofar as the rights granted
hereunder are concerned.
TO HAVE AND TO HOLD the said Development Rights in the premises
herein granted unto the party of the second part, its successors and assigns,
forever;
AND the party of the first part covenants that the party of the first part has
not done or suffered anything whereby the said premises have been
encumbered in any way whatever, except as aforesaid. The party of the first
part, as a covenant running with the land in perpetuity, further covenants and
agrees for the party of the first part, and the heirs, legal representatives,
successors and assigns of the party of the first part, to use the premises on and
after the date of this instrument solely for the purpose of agricultural production.
AND The party of the first part, as a covenant running with the land in
perpetuity, further covenants and agrees for the party of the first part, and the

heirs, legal representatives, successors and assigns of the party of the first part,
that the parcels of real property described herein are open agricultural lands
actually used in bona fide agricultural production as defined in GML section 247.
This covenant shall run with the land in perpetuity.
AND the party of the first part, covenants in all aspects to comply with
Section 13 of the Lien Law, as same applies with said conveyance.
The definition of "Agricultural Production: as defined in Section 25-30 of
Chapter 25 of the Southold Town Code is as follows:
"Agricultural Production- shall mean the production for
commercial purposes of crops, livestock and livestock products, but not
land or portions thereof used for processing or retail merchandising of
such crops, livestock or livestock products. Land used in "agricultural
production" shall also include fences, equipment storage buildings,
livestock barns, irrigation systems, and any other structures used
exclusively for agricultural purposes."
THE party of the first part and the party of the second part do hereby
convenant and agree in perpetuity that either of them or their respective heirs,
successors, legal representatives or assigns, shall only use the premises on and
after this date for the purpose of such agricultural production and the grantor

covenants and agrees that the underlying fee title may not be subdivided into
plots by the filing of a subdivision map pursuant to Sections 265, 276 and 277 of
the Town Law and Section 335 of the Real Property Law, or any of such sections
of the Town or Real Property Law or any laws replacing or in furtherance of
them. The underlying fee may be divided by conveyance of parts thereof to heirs
and next of kin, by will or by operation of law, or with the written recordable
consent of the Purchaser. This covenant shall run with the land in perpetuity.
Nothing contained herein shall prohibit the sale of the underlying fee or any
portion thereof.
THE word "party" shall be construed as if it reads "parties" whenever the
sense of this indenture so requires.
THE party of the first part, the heirs, legal representatives, successors
and assigns of the party of the first part covenants and agrees that it will (a) not
generate, store or dispose of hazardous substances on the premises, nor allow
others to do so; (b) comply with all of the Environmental Laws; allow party of the
second part and its agents reasonable access to the premises for purposes of
ascertaining site conditions and for inspection of the premises for compliance
with this agreement. This covenant shall run with the land in perpetuity.

THE party of the first part, its heirs, legal representatives, successors
and assigns of the party of the first part covenants and agrees that it shall
indemnify and hold party of the second part and any of its officers, agents,
employees, and, their respective successors and assigns, harmless from and
against any and all damages, claims, losses, liabilities and expenses, including,
without limitation, responsibility for legal, consulting, engineering and other costs
and expenses which may arise out of (1) any inaccuracy or misrepresentation in
any representation or warranty made by seller in this agreement; (2) the breach
or non-performance of any convenants required by this agreement to be
performed by the party of the first part, either prior to or subsequent to the
closing of title herein; or (3) any action, suit, claim, or proceeding seeking money
damages, injunctive relief, remedial action, or other remedy by reason of a
violation or non-compliance with any environmental law; or the disposal,
discharge or release of solid wastes, pollutants or hazardous substances; or
exposure to any chemical substances, noises or vibrations to the extent they
arise from the ownership, operation, and/or condition of the premises prior to or
subsequent to the execution of the deed of Development Rights. This covenant
shall run with the land in perpetuity.
AS set forth in Chapter 25 of the Town Code of the Town of Southold
DEVELOPMENT RIGHTS acquired by the Town pursuant to the provisions of
that chapter shall not thereafter be alienated, except upon the affirmative vote of

a majority of the Town Board after a public hearing and upon the approval of the
electors of the Town voting on a proposition submitted at a special or biennial
town election. No subsequent amendment of the provisions of this subsection
shall alter the limitations imposed upon the alienation of development rights
acquired by the Town prior to any such amendment. This covenant shall run
with the land in perpetuity.

The following took place at a meeting of the Southold Town Planning Board on
Monday, May 24, 1999:
The final public hearing which was opened on December 14, 1998, and held
open until May 24, 1999, was closed. The following resolution was adopted:
WHEREAS, Richard Reinhardt is the owner of the property known and
designated as SCTM# 1000-102-4-5, located on Alvah's Lane in Cutchogue; and
WHEREAS, this minor subdivision, to be known as minor subdivision for Richard
Reinhardt, is for 3 lots on 20.3995 acres; and
WHEREAS, proposed lot #1 is for a total of 16.6060 acres, of which the
development rights have been sold to the Town on 14.6060 acres; and
WHEREAS, the Southold Town Planning Board, pursuant to the State
Environmental Quality Review Act, (Article 8), Part 617, declared itself lead
agency and issued a Negative Declaration on November 16, 1998; and
WHEREAS, a final public hearing was closed on said subdivision application at
the Town Hall, Southold, New York on May 24, 1999; and

WHEREAS, the Southold Town Planning Board, pursuant to Chapter 58, Notice
of Public Hearing, has received affidavits that the applicant has complied with
the notification provisions; and
WHEREAS, all the requirements of the Subdivision Regulations of the Town of
Southold will have been met upon fulfillment of the following conditions; be it
therefore
RESOLVED, that the Southold Town Planning Board grant conditional final
approval on the surveys dated April 12, 1999, and authorize the Chairman to
endorse the final surveys subject to fulfillment of the following condition. All
conditions must be met within six (6) months of the date of this resolution:
The Declaration of Covenants and Restrictions must be revised in
accordance with condition Number 2 below, and must be recorded in the
County Clerk's office. A copy of the recorded document just be submitted
to this office.
The Cutchogue Fire District, in a letter dated November 15, 1998,
recommended that a fire well be installed for the subdivision. The location
of the fire well must be indicated on the final subdivision map. The fire
well must be installed by the developer, and conveyed to the Fire District,
prior to the issuance of any building permits for the lots within the
subdivision. The condition in regard to the issuance of building permits
must be included in the Declaration of Covenants and Restrictions.
The Park and Playground fee of $6,000.00 ($2,000.00 per vacant lot)
must be submitted.
Final maps (five paper copies and two mylars) must be submitted. Ail
maps must contain the liber and page number of the recorded Declaration
of Covenants and Restrictions and a valid stamp of Health Department
approval.
