A Organizational Meeting of the Southold Town Board was held Tuesday, January 6, 2009 at the
Meeting Hall, 53095 Main Road, Southold, NY. Supervisor Russell opened the meeting at 11:00
AM with the Pledge of Allegiance to the Flag.

but would anybody like to comment on any of the items as they appear on the agenda?

COUNCILMAN ORLANDO: To you, too.
MR. SCHWARTZ: Benja Schwartz, Cutchogue. I am getting over a little called. Or as I was
called at the last meeting, sledgehammer. I don’t blame you, it is a tough job and you have got a
lot of work to do at this meeting and I will let you get to it but to call it an organizational meeting
is kind of pushing it. Really what you are doing is dividing (inaudible) municipal corporation is
organized to some extent. It will never be completely organized. I cannot envision that in my
lifetime. But I think it should be reorganized every year and I understand why you are not doing
it today but I hope that you will do it over the course of the year, incrementally. Try to make this
organization more efficient, economical and more effective. Thank you.

COUNCILMAN WICKHAM: What about number 1, you are skipping over?
JUSTICE EVANS: We are tabling it.
SUPERVISOR RUSSELL: Oh, I am sorry, number 1 is with reference to the appointment of my
deputy supervisor. I want time to talk to the deputy and some other candidates as I look to
evaluate my needs over the next year. And I am not making an appointment today.
COUNCILMAN WICKHAM: Does that mean that the current incumbent is a holdover?
SUPERVISOR RUSSELL: No, there is no need for a holdover in that position. It is a
discretionary position that gets filled every January. It is not a deliberative board, like the
Planning Board or ZBA member.

RESOLVED
BE IT FURTHER , that the Supervisor and Deputy Supervisor be end they hereby
are authorized to borrow from time to time on behalf of this from the above Bank sums of money
for such period or periods of time, and upon such terms, rates of interest and amounts as may to
them in their discretion seem advisable and to execute notes or agreements in the forms required
by said Bank in the name of the Corporation for the payment of any sums so borrowed.
That said officers are hereby authorized to pledge or mortgage any of the bonds, stocks or other
securities, bills receivable, warehouse receipts or other property real or personal of the
Corporation, for the purpose of securing the payment of any moneys so borrowed; to endorse
said securities and/or to issue the necessary powers of attorney and to execute loan, pledge or

Corporation and signed by one purporting to be the Secretary or Assistant Secretary of this
Corporation and bearing the purported seal of this Corporation; that the Secretary or any
Assistant Secretary or any other officer of this Corporation is hereby authorized and directed to
certify, under the seal of this Corporation or not, but with like effect in the latter case, to the
Bank the foregoing Resolutions, the names of the officers and other representatives and

persons at any time certified to it to be officers or other representatives of this Corporation
continue as such until receipt by the Bank of written notice to the contrary.

that the Corporation agrees that any oral or written stop-payment order must
specify the precise account number and payee, date, amount and number of item and be given by
one authorized in paragraph 3 hereof. The Corporation agrees to indemnify and hold the Bank
harmless from and against any and all claims and suits, whether groundless or otherwise, and
from and against any and all liabilities, losses, damages, expenses and costs (including but not
limited to counsel fees) resulting from the Bank's non-payment of such item. The Corporation
further agrees that the Bank will in no way be responsible or liable (a) for certification or
payment through error or inadvertence of items which the Corporation has requested said Bank
not to payor for delay in executing such request, (b) if by reason of such certification or payment
items drawn, accepted for or delay in Corporation are dishonored by said Bank and returned
unpaid, or (c) for dishonoring and returning items unpaid for any reason which, but for a stop
payment order , would be applicable. Said Bank shall not be liable for loss in transit or otherwise
of cancelled vouchers and/or statements or loss resulting from failure to present or by reason of
late presentation of any item.
RESOLVED
that unless the Corporation shall notify the Bank in writing within fourteen
calendar days of the delivery or mailing of any statement of account and cancelled check, draft
or other instrument for the payment of money (hereinafter referred to as 'Instrument') of any
claimed errors in such statement, or that the Corporation's signature upon any such returned
Instrument was forged, or that any such Instrument was made or drawn without the authority of
this Corporation or not in accordance with the signature arrangement set forth in paragraphs 2 or
3 hereof, or that it was raised or otherwise altered, or unless this Corporation shall notify said
Bank in writing within six months after the delivery, or mailing of any such Instrument that any
endorsement was forged, improper, made without the authority of the endorser or missing, said
statement of account shall be considered correct for all purposes and said Bank shall not be liable
for any payments made and charged to the account of the Corporation or for any other errors in
the statement of account as rendered to it. No legal proceedings or actions shall be brought by
this Corporation against the Bank to recover any payment of any instrument upon which any
signature or endorsement has been forged or was improper, or which was drawn, made, accepted
or endorsed without the authority of the Corporation or the endorser or not in accordance with
the signature arrangements stated in paragraphs 2 or 3 hereof, or which was raised or altered, or
on which an endorsement was missing unless (a) the Corporation shall have given the written
notice as provided hereinabove, and (b) such legal proceedings or action shall be commenced
within one year after the date when such statement and cancelled Instruments were delivered or
mailed to the Corporation in the case of an unauthorized signature or any alteration on the face or
back of the item or one and one-half years in the case of an unauthorized endorsement.
RESOLVED
that the Corporation also agrees to be bound by all the rules, regulations,
conditions, limitations and agreements contained in any signature card, deposit ticket, check
book, statement of account, receipt, instrument or other agreement received by this Corporation
from the Bank or delivered to the Bank by this Corporation, with the same effect as if each and

RESOLVED
that in the event of any litigation in which the Bank and the Corporation are
adverse parties, the right to a trial by jury and to interpose any defense based upon any Statute of
Limitations or any claim of laches and any set-off or counterclaim of any nature or description, is
hereby waived by the Corporation. All such litigation shall be brought exclusively in Supreme
Court, Suffolk County, New York and shall be governed by the Laws of the State of New York.
The Corporation agrees that if an attorney is used, from time to time, to enforce, declare or
adjudicate any of the provisions herein or any of the rights herein granted to the Bank or to
obtain payment for any amount due the Bank by reasons of transactions arising out of, relating
to, authorized by, or made pursuant to this agreement, whether by suit or by any other means
whatsoever the Bank's reasonable attorney's fees shall be due and payable by the Corporation.
The Bank shall not, by any act, delay, omission or otherwise, be deemed to have waived any of
its rights or remedies hereunder unless such waiver be in writing, signed by the Bank, and then
only to the extent therein set forth; failure of the Bank to insist on compliance with, or to
exercise any right or remedy granted to it by, the resolutions and agreements set forth herein or
any of its rules, regulations, conditions, limitations and agreements contained in any signature
card, deposit ticket, check book, statement of account, receipt, notice, instrument, or other
agreement shall not be deemed a waiver thereof or a bar thereto on any other occasion nor shall
same establish a course of conduct.

that any notice to the Bank shall be deemed effective only if sent to and actually
received at the branch, division or department of the Bank conducting the transaction hereunder.

$1300.00 per officer and employee for the actual and necessary expenses for registration,
meals, travel, and lodging incurred while attending said meeting and adhering to the
following policy adopted by the Southold Town Board:

ATTENDANCE AT ASSOCIATION OF TOWNS MEETING
There will be NO compensatory time given for attendance at the Association of Towns Meeting,
including the Presidents Day holiday.
Wherever possible training should be taken advantage of when offered by Suffolk County at
FREE classes rather than attending the Association of Towns Training School.
Wherever possible, attendance should be made on a day trip basis.
There will be a two night maximum for hotel accommodations, unless an attendee is
participating in a Wednesday class or event.

COUNCILMAN KRUPSKI: I would like a motion to table resolutions 40, 41, 42 and 43 and the
reason is that the Town Board made decision last year to see if there was any interest in
appointing different people to the Planning Board and the Zoning Board which normally there
would be one vacancy of each every year and so because we are advertising for those positions
and that advertisement time hasn't come due yet and the Board therefore hasn't made a decision
on who to appoint, then I would make a motion to table those four resolutions, two of which deal
with appointing someone to each of those positions and the other two which deal with appointing
a chairman to those two Boards.

HIGHWAY SUPERINTENDENT HARRIS: Just a question on the resolution about the
Highway Superintendent’s, the purchasing. Was there not, did there not used to be a dollar
figure?
SUPERVISOR RUSSELL: A dollar figure up to $10,000. Now there is no dollar figure, you
just need to follow the procurement policy. Which should have been done anyway.
Benja Schwartz
BENJA SCHWARTZ: Good morning again. Mr. Schwartz, Cutchogue. And happy holiday,
today is the last day of the 12 days of Christmas. Christian holiday known as Epiphany, which I
know very little about but I would like to recognize it and what really made me think of it was I
am hoping that this Town Board will have an epiphany at this meeting that we need to reorganize
Southold Town government. Somebody was speaking this morning about conversion from low
band to high band and said we were the last town on Long Island that hasn’t done this yet and we
are debating whether to do it or not. I think it will happen this year. As he said, the time has
come to utilize new technologies. But also we need to get back to our roots. I was watching on
the public channel the other day, the school board and someone came up and said that they
would like to have a conference with their, a parent wanted to have a conference with their
teacher and all the school board members agreed that when the parents are engaged in the
children’s education, well, it works better. Well, is there anybody here that would disagree that
when the citizens are engaged in the local government, local government works better? Do I
hear any agreement or disagreement?

COUNCILMAN KRUPSKI: It is true.
COUNCILMAN ORLANDO: Yeah, absolutely.
MR. SCHWARTZ: Well, I am not just talking about citizen activists, I am talking about seniors,
businessmen, religious leaders and non-profit leaders in our town and youths, I think there is a,
we have a great potential to reorganize the Southold Town government to make involvement by
the, by everybody to facilitate. Involvement by everybody. Let me give you some specific
examples. Number one, town board meeting agendas. After Christmas, about 10 days ago, I
called up and asked what the agenda would be for today’s meeting. I said I understand it is not
finished yet but normally the procedure is to publish a draft agenda. Unfortunately, the practice
for the past year has been the draft agenda is published Monday, the day before the meeting.
They publish the draft agenda and then they take it off and there is no agenda on the website and
the next day the final agenda is ready at the meeting. Well, when we have a public hearing, we
try to give the public notice of what will be at the public hearing two weeks before the public
hearing. Now, I am not sure an agenda for the Town Board meeting which are every two weeks
can be published two weeks but I would like to see at least a draft agenda at least a week in
advance. Now that is up to the Supervisor. It is his job but I am sure he will consider it. But the
rest of you Town Board members also have a say. You may not be able to require the Supervisor
to publish that, to post it on the website a week early but you certainly can request it. And I ask
that you do that. The fiscal impact would be none, the impact for a stronger democracy in
Southold Town, significant. You are going to love this one but you know, the Town’s website.
For example, here is the web page for the, do you recognize that? That is for the Highway
Department, it has a very nice under construction sign. It is kind of a joke. But it is not a joke
because I don’t know how long the website’s been up, 10 years, and that is still pretty much all
that is on the webpage for the Highway Department. And the other web pages are not much
better. This webpage, the website was started under the Jean Cochran administration and it didn’t
get very far. They said every department could do their own thing. There had been no
coordination in the Horton administration, I talked to Josh Horton and he said we don’t have one
penny in the budget for the website. Well, let me tell you something, I shouldn’t have to tell you
what a website can do for this town. None of you may be computer experts, but if any one of you
wants some help and wants to learn more about using the computer, I volunteer. I will just, tell
me when and I will be there. Computer is not only the most effective, it is the most economical.
It is the easiest, it is the most efficient, it is the most functional, practical and extraordinary
method to enable citizen participation in government today. The Town Board doesn’t even have
a web page. The Supervisor’s office doesn’t have a web page. It is using the home page sort of,
you know, parts of it but you know, that is wrong too. The home page should be the home page.
That should belong to the whole government and the whole people. Supervisor’s office should
have its own web page, as should the Town Board and there is a lot of information that could be
put on the website. I have volunteered, I have come in and I have tried to, you know that I have
tried to work with the town on this. But I only got certain amount of progress and then I have hit
a dead end. I hope that this year you will realize that the website is not just something that
people with computers use, the website reflects the entire town government and as I mentioned
earlier, I do not believe that Southold Town government will ever be the most efficient and

organized and you know, we are not a military organization let’s face it. But a little bit of
organization and a little bit of attention to these things would make a big difference, the fiscal
impact would be minimal in terms of expense and it would be, it would probably be positive in
terms of effects it would have to reduce (inaudible), there are things that law requires, now New
York State law requires that the town respond to FOIL requests by email. Now it still may cost
the town a little bit to respond to a FOIL request by email but for the citizens it won’t cost them
anything whereas right now if you come in, you have to pay per page plus then you make all the
copies, we are spending tens of thousands of dollars a year on copies. That could be reduced. It
could be much more effective. It is required by town law. I tried it once, it doesn’t work or
hardly works in the Town of Southold, certainly there is no, there should be a form on the
website that says FOIL request. There is a form that you can print out but that is buried among
all the forms on the Town Clerk’s page, very hard to find; whereas that is a very central tool for
citizens to use, to learn about their town government, to get involved to know what you are doing
with our tax money. A little less specific but you know, it strikes me that two weeks ago I spoke
about a link on the town website to the Cutchogue, what is it?
SUPERVISOR RUSSELL: Chamber of Commerce.
MR. SCHWARTZ: Chamber of Commerce, right. How long have they been out of business?
SUPERVISOR RUSSELL: They are not, they just simply merged with other organizations.
They have come together under the umbrella of the North Fork Chamber.
MR. SCHWARTZ: But there is no longer a Cutchogue Chamber of Commerce and when you
click on the link on the website it says this website is for sale. And you know, I mentioned that
at the last meeting two weeks ago and it takes about two minutes to delete a link from a, it is still
on there. But the thing, too, I am from Cutchogue. You know, this whole town was purchased
from the Corchaug Indians, nice thing about Cutchogue, one of the nice things they say is it is
the sunniest town, it is the sunniest place in New York state. Well, Tom Wickham, you might
know, is Southold Town the sunniest town in New York State?
COUNCILMAN WICKHAM: I don’t know.
MR. SCHWARTZ: But that is an interesting thought, right?
COUNCILMAN WICKHAM: Mmmhmm.
COUNCILMAN ORLANDO: It is the happiest town in New York State.
MR. SCHWARTZ: It is the happiest.
SUPERVISOR RUSSELL: Since Benja moved in there, that is for sure.
MR. SCHWARTZ: I am a happy guy. Well, if that is true then that might be a great way to
promote our town, right?

COUNCILMAN WICKHAM: Why don’t we put on a work session in the future dealing with
the website?
MR. SCHWARTZ: I would be very happy to attend that. But this is, you know, beyond the
website, I am talking about our town identity. I think we need to develop a brand, if you want to,
you know, I don’t think we are going to reduce taxes just by cutting back on government, I think
we are going to have to do some new things too. That is why I am speaking today at the
organizational meeting and I realize it can’t all happen today but hopefully over the course of the
next year, if you need help, maybe I can help you. We can find some ways to reorganize this
government to make it work better for the people. One of those would be to develop a town
identity so people don’t say ‘I am from Mattituck’, ‘I am from Cutchogue’, ‘I am from
Greenport’ but ‘I am from Southold Town’. You know, we have the garbage bags we sell, a lot
of the supermarkets are selling those bags you can take to the supermarket so that you don’t
waste the plastic bags which are all going in the landfill. So why don’t you have some Town
bags? Some of the libraries are doing that. It is actually a source of revenue. Wouldn’t be an
expense to the town to have some town bags for people, reusable bags, canvas, you know, maybe
Mills would like to put out a bid on it. Do you understand what I am talking about? Because I
am not, the voice is not too good. What would go on a town bag if we had a town bag? Well,
we could put our great seal of the Town of Southold but it is not the greatest thing in town, it is
red and white and you know, it has been a pet peeve of mine for 40 years or more that Southold
Town doesn’t have a flag. I would like to see a request for proposals and invitations to artists
and people in town for suggestions, maybe a design contest and maybe you can adopt a town flag
this year. That would be a nice way to generate some town spirit. I think we do have a very
good spirit, very happy spirit in our town and I think the people in our town are willing to get
involved in, it is just it is very difficult when you come here and you know, people say, why do
you talk so long? Well, there is no one else talking and there is a lot of things that need to be
said. First off, I have been trying to volunteer for a couple of years now to work at the transfer,
to help at the transfer station to become more economical and more efficient and you know, all it
would take would to put a couple of garbage cans or a big container for returnable deposit bottles
and a lot of people would be happy to separate out their deposit bottles and put t hem in that
container, the town could use the money, maybe one of the, I mentioned that to someone at the
town clerk’s office today and they said yeah, some one used to do that out by the boat’s out in
Orient there and after a couple of years, they bought a new truck with the money. Just the
money they made from the deposit bottles. But in addition to the actual cash flow that would
come from that, we separate those out from the waste stream also, that would be a cash impact.
But there is also this spirit of it, people feel like they are involved. Alright, those are just a few
of the examples of how we can facilitate ongoing increased civic participation in agenda setting.
You know, I know you do work very hard, Scott, and you have a very difficult job but it should
be all on you. The agenda for this town government, the agenda for these meetings is the
responsibility of everybody in town and certainly the entire Town Board. Participation in
discussion and deliberation in local government, you know, if we can’t be involved here, where
can we get involved? Creation of policies, legislation and other means of policy implementation.
I know I am not alone. There is a lot of people, say, businessmen, seniors, youths, who have a
lot to offer and we need to work together. So, thank you very much.

COUNCILMAN KRUPSKI: Thank you. Just to touch on a couple of things that you
mentioned, one, when you stood up before the meeting and you mentioned that we should be
working on these things all year long, actually this past year we have been working on an awful
lot of things and it definitely was not rubber stamping this organizational agenda, as you can see.
We put a lot of work into it. We made some changes, employee participation in town committees
is getting a lot of attention right now. the dues for organizations, how people, town employees
leave town hall to go to different organizations, how that affects their work, how that affects their
department performance. All these things are being reviewed and really scrutinized this past
year. And another thing you mentioned was community participation in town government. You
are right, it is extremely important and we have, we mentioned 12 or 13 committees today on the
agenda and they are full of people that live in town that really donate a lot of their time and a lot
of their energy and a lot of their expertise toward making government much more efficient and
much more useable. So we do have that, quite a bit of community input that I think we all
appreciate.
SUPERVISOR RUSSELL: You know, I didn’t want to belabor this because it has been a long
half hour but the reality is the best way to participate or to have the community participate is to
listen to them. That is the best way. I tell you, I have been in government 18-19 years now and
the public is 10 times smarter than I am and you listen to them, they will give you the direction
you need to do a good job. So when I organized the meeting down at Knights of Columbus one
night to have community input, to talk to me about the process, you were at the next Town Board
meeting telling me it was an illegal meeting because I didn’t duly notice it. So either you mean it
or you don’t, Benja. You can’t say it one week and then three weeks later or a few months later,
have a different viewpoint. That is not consistent. You know, that is what you do, you go out
and you reach out to the public and you listen to them. That is the participation they want taken.
That is most beneficial.
MR. SCHWARTZ: Scott, I didn’t expect you to be receptive.
SUPERVISOR RUSSELL: I am receptive.
MR. SCHWARTZ: Well, you say you are but you haven’t been. I have been here, I have been
at this Town Board, I have taken my time from my day, my work and I am a very busy guy, I
come here and I try to participate and listen to the meetings and you know what? I get shut out
because you have executive sessions on a regular basis everyday at the work sessions. Now that
doesn’t get televised but under the state law, executive sessions are supposed to be the exception
and not used, now the problem with these executive sessions, I don’t know what you discuss at
these executive sessions, the substance of that but I can see the way that you go into the
executive session and the resolutions that you use to call for those executive sessions, including
the resolutions that are on the agenda today, are illegal, according to my interpretation of the law.
And I have tried to share that with you at least a half a dozen times over the past year and am I
getting anywhere? Obviously, I am not making any progress.

SUPERVISOR RUSSELL: I have actually agreed with you on that and referred that to the Town
Attorneys so that we can run a tighter ship when it comes to calling for executive session and
what it says on the agenda. I have agreed with you there.
MR. SCHWARTZ: I have made myself available to the town attorneys and I have not gotten
any, they said they didn’t have time to talk to me. So I said, not this one but the town attorney,
she didn’t have time to talk to me so I said when you have time, please let me know. Please
contact me. I never heard anything from her. I contacted the committee on open government
who shared my opinion that many of the practices by the Southold Town Board are improper, in
a letter which was sent to me and also to the Town and yet the agenda today reflects that that
letter was not comprehended or hasn’t been….
ASSISTANT TOWN ATTORNEY CORCORAN: Can we be clear that the agenda are not
resolutions to go into executive session? The agenda items relating to executive session items
are topics; resolutions are made before the Board goes into executive session. Quite often, there
are things that come up either the day of the meeting or the day before the meeting that need to
be discussed in executive session and resolutions are made as you go into session.
SUPERVISOR RUSSELL: Right. Right.
MR. SCHWARTZ: I have heard the, I have read the agenda and I have heard some of the
resolutions. I can’t be here every time for every resolution but from what I can see, if the
resolution, if the agenda items and the resolutions are not clear, then I have very little confidence
that what is discussed in the executive session is limited to the allowable subject.
SUPERVISOR RUSSELL: Attorney-client privilege, as well. And we specify.
MR. SCHWARTZ: There is also an attorney-client privilege but for that you don’t need an
executive session. You can just say we are going to talk to our attorney, we are going to go and
meet with our attorney. But there are very limited number of subjects that you can, when you are
talking to the attorney you need to be talking to the attorney and not with each other and
discussing legal matters.
SUPERVISOR RUSSELL: We do have another meeting and if you want to raise the issues with
that specific agenda, with regard to executive session, I will be happy to clarify it then but there
were not executive items on the organizational agenda.
ASSISTANT TOWN ATTORNEY CORCORAN: And it should be noted that it is a quite
common occurrence that the attorneys in the executive session, sitting in the executive session
will say to the members of the Board, this is not an appropriate topic for executive session and it
will either be continued outside of the executive session or the discussion will be terminated. So
I don’t want you to think that anything goes once we go into executive session.
MR. SCHWARTZ: Well, I hope that we can clarify this so that we won’t have the friction that

is apparent when there is a disconnect between what the public, public has a right to understand
you know what the executive session is, the subject of the executive session. Okay?
