of David E. DeFriest and the southwesterly corner of premises hereinafter described, said point also
being distant south 75 degrees 14 minutes 50 seconds east, 188.04 feet easterly from the easterly side
of Main Road;
THENCE from said point of beginning, along lands now or formerly of David E. DeFriest, north 16
degrees 04 minutes 30 seconds east, 79.81 feet to lands now or formerly of Kathleen McDowell;

TOGETHER with all dght, title and interest of the party of the first part in and to any streets and roads abutting the
above described premises to the center lines thereof, TOGETHER with the appurtenances and all the estate and
rights of the party of the first part in and to said premises. TO HAVE AND TO HOLD the premises herein granted
unto the party of the second part, the heirs or successors and assigns of the party of the second part forever.
AND the party of the first part convents that the party of the first part has not done or suffered anything whereby
the said premises have been encumbered in any way whatever, except as aforesaid.
AND the party of the first part, in compliance with Section 13 of the Lien Law, covenants that the party of the first
part will receive the consideration for this conveyance and will hold the right to receive such consideration as a trust
fund to be applied for the purpose of paying the cost of the improvement and will apply the same first to the
payment of the cost of the improvement before using nay part of the total of the same for any other purpose.
The word "party" shall be construed as if it read "parties" whenever the sense of this indenture so requires.

SALE OF PROPERTY
BE IT RESOLVED, this 18th day of December, 2008, by the Board of Education of the
Southold Union Free School District, Southold, New York, as follows:
WHEREAS, contract of sale was duly executed on or about March 18, 2008 by and
between the Board of Education of the Southold Union Free School District f/k/a
Southold Union Free School District Number 5 and First Settlers, Ltd. Regarding the
sale of a portion of premises known as Suffolk County Tax Map District 1000 Section 70
Block 2 p/o Lot 23.001, having the dimensions of 79_+ by 142_+ feet containing
approximately 11,218_+ square feet or .26-+ acres; and bounded on the west by Suffolk
County Tax Map District 1000 Section 70 Block2 Lot 2 with a common boundary of 79+_
feet, on the north by Suffolk County Tax Map District1000 Section 70 Block 2 Lot 1 with
a common boundary of 142_+ feet and on the south by Suffolk County Tax Map District
1000 Section 70 Block 2 Lot 3 with a common boundary of 142-+ feet; which said
premises has now bee more particularly described as:
All that certain plot, piece or parcel of land situate, lying and being in the Town Of
Southold at Southold, County of Suffolk and State of New York, being bounded and
described as follows:

held on May 20, 2008 by 851 "yes" and 230 "no" votes, to wit:
Shall the Board of Education of the Southold UFSD be authorized to sell, at a price of
not less that One Hundred Nine Thousand Six Hundred Ninety ($109,690.00) Dollars,
certain vacant real property located in the Town of Southold; comprised of
approximately 11,218_+ square feet or.26-+ acres, and designated on the Tax Map of the
County of Suffolk as part of District 1000 Section 70 Block 2 Lots 23.001; as more fully
described in a legal description on file in the Office of the District Clerk; which sale shall
be on substantially the terms and conditions set forth in a contract of sale on file in the
Office of the District Clerk.
NOW THEREFORE, be it
RESOLVED that the President of the Board of Education, Judi Fouchet, be and
hereby is authorized and directed to execute the deed of conveyance of the
aforedescribed premises to First Settlers, Ltd., pursuant to the provisions of the
aforesaid contract of sale between the School District and First Settlers, Ltd., together
with such other and further documents as may be necessary to consummate this
transaction; and be it further
RESOLVED that District Administration be and hereby are authorized to take
such other steps as may be necessary to consummate the aforesaid transaction.
