WITNESSETH, that the party of the first part, in consideration of One Hundred Twenty-Two Thousand Nine

ALL that certain plot, piece or parcel of land, with the buildings and improvements thereon erected, situate, lying

bounded and described as set forth on Schedule A hereto.
BEING AND INTENDED TO BE a conveyance to the holder of the remainder interest of the life estate reserved
by the party of the first part in the same premises conveyed to the party of the second part by deed, dated
January 12, 2005 and recorded in the Office of the Suffolk County Clerk on February 18, 2005 in Liber 12372
page 468.
SUBJECT TO Easement Agreement, dated as of August 1,2004 and recorded in the Office of the Suffolk County
Clerk on September 1,2004 in Liber 12341 page 298.
TOGETHER with all right, title and interest, if any, of the party of the first part in and to any streets and roads
abutting the above described premises to the center lines thereof; TOGETHER with the appurtenances and all
the estate and rights of the party of the first part in and to said premises; TO HAVE AND TO HOLD the premises
herein granted unto the party of the second part, the heirs or successors and assigns of the party of the second
part forever.
AND the party of the first part covenants that the party of the first part has not done or suffered anything whereby
the said premises have been encumbered in any way whatever, except as aforesaid.
AND the party of the first part, in compliance with Section 13 of the Lien Law, covenants that the party of the first
part will receive the consideration for this conveyance and will hold the right to receive such consideration as a
trust fund to be applied first for the purpose of paying the cost of the improvement and will apply the same first
to the payment of the cost of the improvement before using any part of the total of the same for any other
purpose. The word "party" shall be construed as if it read "parties" whenever the sense of this indenture so
requires.

All that certain plot, piece or parcel of land, with the'buildings and improvements
thereon erected, situate, lying and being at Fishers Island, Town of Southold, County of
Suffolk and State of New York, bounded and described as follows:
BEGINNING at a stone monument set on the easterly side of a proposed road, said
monument being located 928.72 feet North of a point which is 761.35 feet East of another
monument marking the United States Coast and Geodetic Survey Triangulation Station
"PROS"; and
RUNNING THENCE South 73 degrees 20 minutes 00 seconds East, 240.00 feet to a point;
THENCE North 32 degrees 22 minutes 00 seconds East, 197.50 feet to a point at the high
water mark on the shore of Inner Bay of Great Harbor;
THENCE with the meanders of Inner Bay following along the high Water mark thereof, the
following two (2) courses: '
(1) North 70 degrees 50 minutes 00 seconds West, 141.00 feet; and
(2) North 08 degrees 50 minutes 00 seconds West, 231.80 feet;
THENCE South 37 degrees 33 minutes 00 seconds West, 367.26 feet to the northeasterly
line of said proposed road; and
THENCE along the northeasterly line of said proposed road South 34 degrees 45 minutes 00
seconds East, 99.92 feet to the monument at the point or place of BEGINNING.
TOGETHER with all the right, title and interest of the grantor in and to all land which may lie
between the meander lines above set forth and the actual high water mark and in and to all
land under the waters of Inner Bay of Great Harbor in front of and adjoining said premises.
TOGETHER with an easement to the grantee, his heirs and assigns, for ingress to and egress
from the premises hereby conveyed over and along such private roads as now or may
hereafter exist connecting the premises hereby conveyed with a public highway.
TOGETHER with all right, title and interest, if any, of the grantor in and to any streets and
roads abutting the above described premises to the center lines thereof.
TOGETHER with the appurtenances and all the estate and rights of the grantor in and to the
said premises.
