THIS INDENTURE, made thc 2"~ day of January, two thousand ~md nine,

George P. Lauinger as Executor under the Last Will and Testament of Kathryn
Beverly Lauinger, (who died a resident of Suffolk County on April 22, 2008, Suffolk County
Surrogate's file # 1066P2008) residing at 700 Peconic Bay Blvd., Laurel, New York 11948
party of the first part, and
George P. Lauinger and John M. Lauinger as Trustees of the Kathryn Beverly
Lauinger Testamentary Trust, having its principal place of business at 700 Peconic Bay Blvd.,
Laurel, New York 11948
party of the second part,
WITNESSETH, that the party of the first part, to whom Letters Testamentary were
issued by the Surrogate's Court, Suffolk County, New York on July 24, 2008 by virtue of the
power and authority given in and by said Last Will and Testament, and/or by Article 11 of the
Estates, Powers and. Trusts Law, and for no consideration paid by the party of the second part,
does hereby grant and release unto the party of the second part, the distributees or successors
and assigns of the party of the second part forever,
ALL that certain plot, piece or parcel of land, with the building and improvements
thereon erected, sibiate, lying and being at Laurel, Town of Southold, County of Suffolk and
State of New York, known and designated as and by the plots numbers four (4), five (5) and
six (6), on a'certain map'entitled "Map df Dudley Park", To:~.;n' Of Southold, County of Suffolk
and State of New York, Daniel R. Young, P.E. and L.S., Riverhead, County of Suffolk and State
of New York, May 1927, filed in the office of the Clerk of the County of Suffolk September 17%
1928, under map number 212, together with all the right, title and interest of the party of the
first part of, in and to that portion of the road shown on said map in front of and adjacent
owners of lots on said map to pass over and use the same.
SUBJECT, however, to the following covenants and restrictions-that no more than two
dwellings and necessary outbuildings shall be built on any plot shown on said map.
That no p'ordon of any of the plots, shown on said map shall be used for any trade or
business purposes, and nothing which shall be a nuisance, unwholesome or offensive to the
neighborhood shall be permitted on any plot shown on said map.
These restrictions run with the land and all of the plots shown on said map.
SAID premises being known as and by the street address 700 Great Peconic Bay
Boulevard, Laurel, New York.
BEING and intended to be the same premises as conveyed to the party of the first part
herein by deed dated November 24, 2004 and recorded on December 30, 2004 in the Suffolk
County Clerk's Office at Liber 12362 Page 959.
TOGETHER with all right, title and interest, if any, of the party of the first part in and
to any streets and roads abutting the above described premises to the center lines thereof,
TOGETHER'. with the appurtenances, and also all the estate which the said decedent
had at;.the,.time;.,of:~tecedent's death in said premises, and also the estate therein, which the
party 6f!.the first part has or has power to convey or dispose of, whether individually, or by

TO HAVE AND TO HOLD the premises herein granted unto the party of the second
part, the heirs or successors and assigns of the party of the second part forever.
AND the party of the first part covenants that the party of the first part has not done or
suffered anything whereby the said premises have been encumbered in any way whatever,
except as aforesaid.
AND the party of the first part, in compliance with Section 13 of the Lien Law,
covenants that the party of the first part will receive the consideration for this conveyance and
will hold the right to receive such consideration as a trust fund to be applied first for the
purpose of paying the costs of the improvement and will apply the same first to the payment
of the cost of the improvement before using any part of the total of the same for any other
purpose.
The word "party" shall be construed as if it read "parties" whenever the sense of this
indenture so requires.

and year first above written.
